AFFIDAVIT OF POSSESSION
TO WHOM IT MAY CONCERN: STATE OF IOWA, BLACK HAWK COUNTY, ss:
The undersigned, being first duly sworn on oath, deposes and states as follows:
That KWWL Television Inc. is now the record titleholder of the following described real estate situated
in Black Hawk County, Iowa:
The Southeasterly 95 feet of Lots 8 and 9, except that part of said Lot 8 lying East of
the West line of East Fourth Street deeded to the City of Waterloo, IA in X TLD 485.
A part of Lot 1 commencing at a point on the Northeasterly line of said Lot 8 that is 55 feet
Southeasterly from the most Northerly corner of said Lot 8; thence Northeasterly along a line drawn
at right angles to the Northeasterly line of said Lot 8, 60 feet; thence Southeasterly along a line that
is parallel with the Northeasterly line of said Lot 8 to the West line of East Fourth Street; thence
South along the West line of East Fourth Street to the Northeasterly line of said Lot 8; thence
Northwesterly along the Northeasterly line of said Lot 8 to the point of beginning.
All in Block 61 in The Cooley Addition to the City of Waterloo, Black Hawk County, Iowa.
That said KWWL Television Inc. is now in complete actual and sole possession of all of said real
estate except as may be herein stated. That this affidavit is made from the personal knowledge of the
undersigned, who is familiar with said real estate, its titleholders, and its parties in possession; and that this
affidavit is for the purpose of confirming title to the above-describ d real estate under the provisions of
Sections 614.17
and 614.17A, Code of Iowa, and othe tatute /relative thereto.

WAIVER OF LEASE -BACK RIGHTS

Reference is made to that certain Development Agreement (the "Agreement") between the undersigned
and City of Waterloo, Iowa, dated Jun 24, 2013 and filed September 23, 2014 as Doc. No. 2015-05218.
Paragraph 3.D of the Agreement grants to the undersigned the right to lease back from the City the real
property identified in said paragraph. By this instrument, the undersigned hereby waives any and all lease-
back rights granted pursuant to said paragraph.
