RESOLUTION NO. 2017-318
RESOLUTION APPROVING CONFLICT OF INTEREST
WAIVER BETWEEN THE CITY OF WATERLOO AND
AHLERS & COONEY, P.C. FOR WORK ON A 28E
AGREEMENT BETWEEN HAWKEYE COMMUNITY
COLLEGE AND THE CITY OF WATERLOO.
WHEREAS Ahlers and Cooney, P.C. are in the process of drafting 2
a 8 Agreement in

connection with a housing project for Hawkeye Community College, and
WHEREAS, said housing project involves City owned property being sold to Hawkeye
Community College for a nominal sum, Hawkeye Community College building a residential
structure on the property and selling the property back to the City of Waterloo for the value of the
property and cost of building the structure, and the City in turn re-selling the property, and
WHEREAS, Ahlers and Cooney, P.C. has frequently represented the City of Waterloo in
connection with various City matters, and
WHEREAS, Ahlers and Cooney, P.C., separately has regularly represented Hawkeye
Community College in connection with various matters, and
WHEREAS, in regards to the 28E Transaction,the City of Waterloo will be represented
by City attorney, Dave Zellhoefer, and
WHEREAS, in regards to the 28E Transaction the factual and legal issues likely to arise
in the work the College has requested appear to be unrelated to the work the Firm is presently
performing or likely to perform for the City of Waterloo, and
WHEREAS,the Rules of Professional Conduct require the Firm to disclose any potential
conflict of interest and obtain a waiver for said conflict of interest allowing the Firm to represent
the College in the 28E transaction.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF CITY OF
WATERLOO, STATE OF IOWA:
That Waiver of Conflict of Interest is hereby approved and the Mayor Pro Tem and Deputy
City Clerk are authorized and directed to execute the same on behalf of the City of Waterloo, Iowa.
