PURCHASE AND SALE AGREEMENT
T S FIRST AMENDMENT TO PURCHASE AND SALE AGREEMENT (this
"A11 endment") is made effective as of the loth day of January, 2015, by and between
FLOWERS BAIRN CO. OF WATERLOO, LLC, an Iowa limited liability company
("Seller"), and T CITY OF WATERLOO, an Iowa municipal corporation ("Buyer").

WHEREAS, Seller and Buyer entered into that certain Purchase and Sale Agreement
dated as of December 15, 2014 (the "Contract"), regarding certain real property and
improvements lying and being in Waterloo, Iowa, as more particularly described in the Contract
(the "Property");

REAS, Buyer and Seller now desire to amend the Contract; and
h REAS, Seller and Buyer are entering into this Amendment for the purpose of
setting forth their agreement with respect to such amendment.

NOW, T .:il REFORE, for and in consideration of the foregoing premises, and other
good and valuable consideration, the receipt and sufficiency of which Buyer and Seller
acknowledge, Buyer and Seller agree as follows with respect to the Contract:
1. Definitions. To the extent not otherwise defined herein, all capitalised terms used
in this Amendment shall have the meanings ascribed to them in the Contract.
2. Personal Property. Notwithstanding what is set forth in the last sentence of
paragraph 1 of the Contract, Buyer and Seller hereby agree that the items hi.blighted in green
on the list of personal property attached hereto as Exhibit "A", and made a part hereof by
reference, are the only items of personal property that Seller will be removing from the Property.
All other items of personal property shall remain on, and become part of, the Property and shall
transfer to Buyer at Closing.
3. Due `Iilige.i ce Date. Notwithstanding what is set forth in paragraph 5(b) of the
Contract, the Due Diligence Date is hereby extended to January 30, 2015.
4. Acknowledgment. Seller and Buyer hereby acknowledge that all references to
the "Purchase and Sale Agreement" in the documents delivered in connection with the Closing
shall be deemed to refer to the Contract, as amended by this Amendment.
5. Miscellaneous.
(a) Except as and to the extent expressly modified and amended herein, Buyer
and Seller ratify the Contract in accordance with its terms.

(b) This Amendment may be executed in a number of identical counterparts.
If so executed, each of such counterparts shall be deemed an original for all purposes, and all
such counterparts shall, collectively, constitute one agreement.
(c) This Amendment may be signed and transmitted electronically or by
facsimile machine. The signature of any person on an electronically or facsimile copy hereof
shall be considered an original signature and an electronically or facsimile transmitted copy
hereof shall have the same binding effect as an original signature on an original document.
(d) Each party to this Amendment represents and warrants that such party has
full and complete authority to execute this Amendment, and each person executing this
Amendment on behalf of a party represents and warrants that he or she has been fully authorized
to execute this Amendment on behalf of such party, and that such party is bound by the signature
of such representative.
(e) In the event of a conflict between the terms of this Amendment and the
other terms of the Contract, the terms of this Amendment shall control.
(i) This Amendment shall be governed by, interpreted under, and construed
and enforceable in accordance with, the laws of the State where the Property is located.

to execute, seal and deliver this Amendment, all as of the day and year first written above.
