PROFESSIONAL MANAGEMENT PROGRAM
This Amendment (the "Amendment") is entered into as of July 7, 2014, by and between
the City of Waterloo, Iowa ("Owner") and Nutri-Ject Systems, Inc. ("NJS").
RECITALS
A. NJS and Owner are parties to that certain Agreement for Turnkey Biosolids
Professional Management Program dated September 8, 1998, as previously
amended (the "Agreement").
B. The parties desire to amend the Agreement on the terms set forth herein.
NOW, THEREFORE, in consideration of the premises and of other consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows:
1. Article IV is hereby amended to extend the term of the Agreement for a period of
five (5) years, from August 1, 2014 until and including July 31, 2019.
2. Article V is hereby amended (a) to set the Base Compensation for the renewal
term of the Agreement at $4,900.00 per month, and (b) to set the fee for biosolids transportation
and application at $17.88 per wet ton, effective as of August 1, 2014.
3. Except as modified herein, the Agreement shall continue unmodified in full force
and effect. The Agreement and this Amendment shall inure to the benefit of and be binding
upon the parties and their respective successors and assigns.
IN WITNESS WHEREOF, the parties have executed this Amendment to Agreement for
Turnkey Biosolids Professional Management Program by their duly authorized representatives as
of the date first set forth above.
