I received the 3 original SA#11 in the mail on Monday. I have not signed them yet. FHWA has had the request for authorization since January 22. I understand they are short-handed and sharing the duties of absent staff. I hope they can complete the authorization in the next several days or so. I have reviewed the original authorization for preliminary engineering (PE) in the corridor that the city received in 2006 (see attached) and understand the "all phases of PE" approval should technically extend to the PE tasks in SA#11. If that understanding were unquestionable, AECOM could begin work now since the City and State have executed Addendum B and the City and AECOM have executed SA#11. The FHWA authorization process could be completed after the fact. However, I hesitate signing SA#11 based on the 2006 approval and seeing the City issue a notice to proceed for the following reasons: • Funding Project Number: The funding for SA#11 is from a STIP entry with a different project number than the one used in 2006. The Surface Transportation Program (STP) funds are listed in the STIP as STP -U-8155(744)- 70-07. The original PE authorization referred to NHSX-63-6(69)-3H-07. • FHWA Authorization Documentation: SA#11 refers to the (69) project number, but the FHWA authorization for applying the STP funds to the PE effort is being processed using the (744) number. While (744) is related to (69) in FHWA's accounting system, a new funding stream was created to track that (744) STIP entry. The authorization document will be an "original" for (744) similar to the one for (69) attached and not a modification to (69). • Recent Changes to Authorization: After the original 2006 authorization, every expansion of services required FHWA authorization prior to beginning work. Only recently did Department procedures change to allow "continuation" of services to begin before authorization. SA#11 (final design of select improvements in Segments 1 and 2) may be considered a continuation of the preliminary corridor design and the final Segment 3 design, or it may be considered a new phase or an entirely new project, a stand-alone effort separate from the other segments. • Time: It has been almost 8 years since the original authorization. Procedures change, staff come and go, duties are redistributed, and so on. Interpretation and application of authorization requirements can differ. While any one of these concerns could be thoroughly explored and explained if AECOM begins before FHWA authorization of (744), all of them together makes for a very complicated discussion. I would rather wait for the typical authorization process to be completed and have no chance of future concerns than assume my understanding is complete and will be shared by others later. I checked in on the authorization on Monday and today. I will check again later this week and contact FHWA on Friday if there appears to be no activity. Please call/reply if you have any questions. ("Consultant"), of Waterloo, Iowa, dated April 3, 2006, for the altemative evaluation, traffic analysis, environmental documentation, preliminary design, final design and construction review for improvements on U.S. Highway 63 between the U.S. 218 Interchange and Donald Street in Waterloo, Iowa; and WHEREAS, Preliminary Engineering (NHSX-63-6(69)--3H-07) was defined and authorized in said agreement dated April 3, 2006; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 1 dated July 27, 2007, for engineering services during the construction phase of the U.S. Highway 63 — Westfield Avenue Connection Project; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 2 dated December 14, 2007, to increase the Estimated Actual Costs for Task 15 — Management of Contaminated Subsurface Soil provided by Weston Solutions, Inc., due to delay in construction progress related to inclement weather conditions and management/disposal for excess spoil; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 3 dated August 19, 2010, to include the final design of a 4 -lane highway between Newell Street and Donald Street in Waterloo, Iowa, in accordance with the Preliminary Plans completed in November 2009; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 4 dated December 3, 2010, to remove the water main design from the Scope of Services; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 5 dated July 25, 2011, to include final design assistance to the Iowa DOT for U.S. 63 improvements between Franklin Street and Newell Street in Waterloo, Iowa; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 6 dated July25, 2011, to amend the previous agreements to segregate the sanitary sewer design compensation from the Federal -Aid compensation in Supplemental Agreement No. 3 and to include additional design activities related to Supplemental Agreement No. 3; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 7 dated May 24, 2012, to amend the previous agreements to revise, repackage and split the project into two construction contracts; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 8 dated November 14, 2012, to amend the previous agreements to make various revisions to the design, add an evaluation of construction period, and combine the plans into a single construction contract; and WHEREAS, the City and Consultant entered into Supplemental Agreement No. 9 dated February 21, 2013, to amend the previous agreements to include on-call services during the bidding and construction phases of the project between Newell Street and Donald Street; and A=COM Page 2 WHEREAS, the City and Consultant entered into Supplemental Agreement No. 10 dated August 24, 2014, to include additional on-call services during the construction phase of the project between Newell Street and Donald Street; and WHEREAS, the City and Consultant desire to amend the previous agreements to include additional services requested by the City for final design of roadway lighting, enhancements and sanitary sewer between Jefferson Street and Newell Street. NOW THEREFORE, it is mutually agreed to amend the original Professional Services Agreement as follows: I. PROJECT DESCRIPTION The project consists of U.S. 63 improvements between Jefferson Street and Donald Street in Waterloo, Iowa. The final construction plans for the roadway improvements are being completed by the Iowa Department of Transportation. II. SCOPE OF SERVICES The Scope of Services includes additional services requested by the City for final design of roadway lighting, roadway enhancements, railroad bridge enhancements, recreational trail, traffic signal interconnect and sanitary sewer between Jefferson Street and Newell Street. The following tasks are included in this scope: Division l: Roadway Design Assistance Task 1 - Roadway Lighting Design. This task consists of the conceptual and final design of a roadway lighting system along U.S. 63 between Jefferson Street and Franklin Street. It is anticipated that the system will include intersection and mid -block lighting on both sides of the roadway. Four control stations are anticipated, one on each side of the Cedar River and on Mullan Avenue and First Street. This task will include selection of lighting elements which are similar to lighting used on previous U.S. 63 projects and appropriate in scale to the downtown area. Luminaries shall be LED. Roadway lighting at signalized intersections will be part of the traffic signal system and is not included in this task. Roadway Lighting Design for Franklin Street to Newell Street was included in a previous supplemental agreement. Task 2 - Railroad Bridge Enhancements. This task consists of the final evaluation of enhancement concepts and final design plans for the enhancements at and immediately adjacent to the Canadian National Railroad overpass. The design concepts for these enhancements were prepared by Ritland Kuiper Landscape Architects (RKLA) during the initial design phase. The majority of this work will be completed by RKLA, with assistance and coordination completed by AECOM. Task 3 - Roadwav Streetscapinq. This task includes the conceptual design of streetscaping elements between Jefferson Street and Franklin Street and final design of streetscaping elements between Franklin Street and Newell Street within the existing right-of-way of U.S. 63. It is anticipated that the landscaping concept will be similar to the design which was developed for the north segment between Newell Street and Donald Street, consisting of roadside trees and plantings, plus a minimum amount of other streetscape elements, such as decorative pavement, brick pavers, retaining walls, additional lighting, road side furniture and other amenities. The majority of this work will be completed by RKLA, with assistance and coordination completed by AECOM. A=COM Page 3 Conceptual design of streetscaping elements between Franklin Street and Newell Street was completed by others. Final design of area between Jefferson Street and Franklin Street is not included in this agreement but can be added by supplemental agreement. Task 4 - Recreational Trail Design. This task includes conceptual and final design of a recreational trail connection along U.S. Highway 63 between Franklin Street and Parker Street. It is anticipated this trail will stay within the U.S. Highway 63 right-of-way north of Franklin Street. Between the Cedar River and Franklin Street, conceptual altematives will be reviewed to connect to the existing trail along the north side of the Cedar River, but no final design of this area is included. This task includes design of potential retaining walls along the trail in areas of limited right-of-way. Task 5 - Traffic Signal Interconnect. This task includes design of a fiber optic interconnect system for signals between the U.S. 63/Washington Street intersection and Newell Street and connecting to the City's existing interconnect network to connect to the Traffic Operations Center. This system will include conduit, cable splice points at each intersection and termination inside controller cabinet along the corridor. Task 6 - Traffic Signal Design. This task includes coordination with the Iowa DOT and City of Waterloo, as needed, to assist Iowa DOT in their final design of the traffic signals. Full traffic signal design is not included in this agreement, but can be added by supplemental agreement. Task 7 - Plan Preparation. The final plans developed under the previous tasks will be assembled into a stand-alone project that will be tied to the Iowa DOT construction plans during their bidding process. This task includes preparation of plan sheets and bidding documents necessary for an Iowa DOT letting. The project is currently scheduled for a December 2015 letting. Task 8 - Cost Estimates. This task includes preparation of an Engineer's Opinion of Probable Construction Cost for the portions of the project designed by the Consultant. Task 9 - Public Information Activities. This task includes participating in and attending public informational meetings for the project. The planning, preparation and conducting of public meetings will be completed by Iowa DOT and/or the City of Waterloo. It is anticipated that AECOM representatives will attend one public informational meeting and two neighborhood meetings. Task 10 - City Council Work Sessions. This task includes participating in two (2) work sessions with the City Council to present conceptual designs of enhancements. Task 11 - Prosect Coordination and Meetings. This task includes ongoing coordination, exchange of information and attendance at meetings, as requested by the City throughout the final design phase. The extent of this task is represented by the estimated hours assigned to the task. Railroad coordination, as needed for the roadway and potential enhancements, is not included in this scope but will be added by supplemental agreement, if needed. Task 12 - Project Administration. This task includes in-house, project -related administrative activities throughout the duration of the project. Included are intemal project management, intemal project team meetings, correspondence, filing, budget management, invoicing, monthly reports and other project -related administrative activities. Task 13 - Preliminary Design Development - U.S. 218 Interchange to Franklin Street (To be Completed by RKLA). A=COM Page 4 a. Utilize site topographic and utility survey information provided by the Client and develop a base map for drawings. b. Create an Enhancement Design Development Plan for the U.S. 218 interchange to Franklin Street section of U.S. 63 based upon further development of the corridor enhancement concept as described in the project understanding. c. Attend coordination and design review meetings for discussion of design concepts with Client and other consultants, as required. d. Refine Enhancement Design Development Plan based upon design review discussions. e. Develop preliminary cost opinions for Enhancement Design Development Plan. f. Provide a 3D concept model of the proposed corridor illustrating a view of the final enhancement concept. Final design of area between Jefferson Street and Franklin Street is not included in this agreement but can be added by supplemental agreement. Task 14 - Final Design Construction Documents - Franklin Street to Newell Street (To be Completed by RKLA). a. Attend coordination meetings with the Client, adjacent property owners and consultants. b. Coordinate with preliminary design development and final construction documents from other connected work along the U.S. 63 corridor. Coordinate with Iowa DOT for roadway construction documentation. c. Develop a set of construction plans, details and specifications for enhancement work from Franklin Street to Newell Street. d. Coordinate plans and details developed by our architectural subconsultant, InVision Architecture, for limestone entry monuments and steel tower features as part of the overpass enhancement design. e. Provide a revised cost opinion for the proposed construction based upon approved final design. f. Assist the Client through the bid process in the selection of the lowest appropriately qualified bidder. Division 2: Sanitary Sewer Design Task 15 - Sanitary Sewer Design. This task consists of the final design for replacement of the existing sanitary sewers under the proposed new roadways. The City of Waterloo will provide a televised inspection of the existing sewers and will provide the results to the Consultant. Construction staging and maintenance of traffic plans are not included in this task but will be added by supplemental agreement, if requested. This task includes the following activities: • Review of televised inspection tapes, and making a recommendation on repair or replacement options to the City. • Field survey to determine depth of existing sewers, and base mapping of existing profiles. • Preparation of final design plan and profile sheets, determination of bid items, preparation of design tabulations, quantities and cost estimates, and submittal of electronic sheet files to the Iowa DOT for inclusion in the Iowa DOT's final plan set. Sanitary Sewer Design for Franklin Street to Newell Street was included in a previous supplemental agreement. A=COM 1I1. TIME OF BEGINNING AND COMPLETION Page 5 Consultant shall not begin work under this agreement until so directed in writing by the City and they have received a copy of an executed agreement and a copy of the FHWA authorization. Work under this agreement shall be completed in anticipation of a December 15, 2015, Iowa DOT letting. IV. COMPENSATION The Consultant shall be reimbursed for the actual costs incurred in accordance with Article 3 of the original Agreement. The Estimated Actual Costs, Fixed Fee, Contingency and Maximum Amount Payable for this supplemental agreement, as stated below and as shown in Attachment A are segregated from previous agreements.
