Creative Services Agreement
for Traffic Safety Awareness Radio Campaign

The Client has decided to improve traffic safety by influencing driver behavior in Waterloo metropolitan area in
order to reduce distracted and impaired traffic accident related losses and suffering. It has been determined that
the Client shall proceed with a traffic safety awareness campaign to improve traffic safety.
The Client desires to employ the Agency to provide public awareness radio broadcast services in connection
with the project. The Agency is willing to perform such work in accordance with the terms hereinafter provided
and warrants that it is in compliance with laws of the state of Iowa.
The Agency (Paarlance) will conduct this project in partnership with Common Sense Advertising of Iowa City,
Iowa. The Agency shall ultimately be responsible for the proper execution of this project. Common Sense
Advertising will work with the Agency based on their agreements.
A) SCOPE OF SERVICES
A.1) Initial Meeting: The Agency will meet with the Client to discuss goals and develop messages to reach
25-54 year olds. The focus will be on key aspects of safe driving. Messages may span a series of radio
spots to raise traffic safety awareness.
A.2) Radio Production and Broadcast: Common Sense Advertising shall find the best value for placing
and buying the radio spots, with the goal of minimizing production costs and maximizing radio buys.
The conditions of Part D.1 shall apply. The Agency has already identified some radio stations that fit
the primary audience and shall work directly with the decision makers at these stations. All media
inquiries can be directed to the Agency.
B) PROJECT COSTS
B.1) Voiceover talent and studio time production costs — approximately $150 per ad (3 ads anticipated)
B.2) Number of Spots: Over 1,000 radio placements
B.3) All copywriting, meetings, conference calls, billing, negotiations, ad placement, are included at no extra
charge.
B.4) Total Project Cost: not to exceed $20,000.
C) FORM OF COMPENSATION
C.1) The Agency will be compensated through the commissions they receive from the broadcast industry
commissions. This shall cover all copywriting, meetings, conference calls, billing, negotiations, and ad
placement. The cost of producing the ads will be the only item the Agency will be compensated for by
the Client. There shall be being no other initial or ongoing charges.

C.2) The rest of the project budget will be spent on actual broadcast advertising time.
C.3) Common Sense Advertising will provide billing for this project. Common Sense Advertising will invoice
monthly upon receipt of media bills. All amounts paid by the Client for this project through Common
Sense Advertising is understood and agreed upon to be compensation and payment for fulfillment of the
Agency's contractual obligations for this campaign.
C.4) D.3 Maximum Amount: The project budget is $20,000. Amounts beyond $20,000 shall not be payable by
the Client unless Client's prior approval is received.
D) TERMS AND CONDITIONS
D.1) Coordination: Some Waterloo radio stations are already providing free broadcast services to the Client
for traffic safety awareness campaign. A condition of donated air time is that similar "paid" messages
should not be placed on other radio stations that do not provide donated airtime. The Agency shall
coordinate with the following person to give priority to those stations:

D.2) The campaign's anticipated date is between May 2013 and November 2013.
D.3) Ownership of Documents: All recordings, messages, and productions shall become the property of the
Client and shall be delivered to the Client upon completion of the services of the Agency. There shall
be no restriction or limitation on their future use by the Client on any other project. The Client may
reuse or make modifications to the recordings and messages.
D.4) Revision of Work: The Agency will develop and suggest message(s) and will present them to the Client.
Client will provide review comments. Final approval is required before a message is produced for
airing.
D.5) In the event that the work product prepared by the Agency is found to be in error and revision or
reworking of the work product is necessary, the Agency agrees that it shall do such revisions without
expense to the Client, even though final payment may have been received.
D.6) The right is reserved by the Client to terminate this Agreement at any time upon not less than thirty (30)
days' written notice to the Agency.
D.7) General Compliance with Laws: The Agency shall comply with all Federal, State and Local laws and
ordinances applicable to the work.
D.8) The Agency, with regard to the work performed by it, will not discriminate on the grounds of race,
religion, age, physical disability, color, sex or national origin including procurement of materials and
leases of equipment.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their proper officials
thereunto duly authorized as of the dates below indicated.
