HomeMy WebLinkAboutWaterloo Water Works-5/28/2013CITY OF WATERLOO PHONE SERVICE AGREEMENT NOW on this 8' day of M 4,-, , 2013, the Waterloo Water Works and the City of Waterlog Iowa, enter into this Agreement for and in consideration of the mutual covenants and promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged. I. RECITALS WHEREAS, both parties have a shared telephone system in the interest of achieving cost savings and additional functionality; and WHEREAS, the parties believe that the payments to be made to the Service Provider would best be handled by the City of Waterloo. NOW, THEREFORE, the parties agree as follows: II. TERMS OF AGREEMENT A. PURPOSE. Refer to Recitals. B. FINANCING. The Waterloo Water Works and the City of Waterloo shall share the costs for phone service according to the following: 1. The Waterloo Water Works shall pay 5.6% of the cost of PRI service for the City of Waterloo, derived by taking the number of Water Works phones (26) divided by the total number of phones in the system (465). 2. The Water Works shall maintain and pay for POTS service it deems necessary. 3. The Water Works shall pay for long distance costs it is responsible for above the allotted minutes included with the PRI service. 4. The City of Waterloo shall be responsible for administering the payments to the Service Provider, to bill the Waterloo Water Works and the Waterloo Water Works shall make payment within fifteen (15) days of said billing. 5. Financing for this Project shall be the responsibility of each of the parties hereto as reflected in this Agreement. D. ADMINISTRATION OF AGREEMENT. The City of Waterloo shall follow the current City bidding procedures for soliciting service and shall administer the agreement by coordinating service with the Service Provider. The Waterloo Water Works shall be notified of any changes of service which the City of Waterloo is made aware of by the Service Provider. F. DURATION. This Agreement shall be in effect for five years unless termination is agreed to by all parties by written agreement. DATED this 6 day of , 2013. Waterloo Water Works By: Terry M.
