See attached Addendum for list of products Timeline for implementation. Installation and training: Contract is signed May 28 Implementation meetings with the head of each dept. June 3, 4, 5 Programming and Testing June 6 - 28 Installation of the Avaya System July 1 - 5 Porting over the numbers to the PRI July 8 - ? Training Training for all users included. Training will be performed as the City requests in small groups of 15 or less. Locations to be determined by the City and agreed by Schmitt Telecom. Training also included for Administration of all applications, tools, and software provided by Schmitt Telecom. Support and Maintenance Schmitt Telecom does have the support of Avaya and Jenne, our distributor for any technical support and on-going maintenance. We also have a network of other Partners we can work with. * Price includes installation, training and one year warranty. * Price assumes all cables and jacks are in place and usable. Where cables and jacks are not usable additional time and material charges may apply. With the lease option, monthly payments of plus tax are required. Within ten (10) days after approval of the agreement by Schmitt Telecom, Customer has the option to convert this agreement to a lease with a third party Lessor approved by Schmitt Telecom. Terms of Payment: A deposit of Customer agrees to pay the remaining balance of must be submitted to Schmitt Telecom along with this agreement. ( $ 147,842.15 ) on the Cutover and Acceptance Date as directed below: Entire Agreement This agreement, including the provisions on the reverse of this page, constitutes the entire agreement between the parties, and supercedes and replaces all other prior understandings or agreements whether oral or written relating to the equipment and its installation. This agreement may not be changed, modified, or varied except by the specific written and signed approval by authorized representatives of each party. Any Customer purchase order or similar document issued relating to the purchase or installation of the equipment shall be govemed only by the terms and conditions of this agreement, which shall supercede and prevail over the terms and conditions of any such Customer purchase order.
