CEDAR RIVER ENHANCEMENTS
CITY OF WATERLOO, IOWA
SUPPLEMENTAL AGREEMENT NO. 1
WHEREAS, a Professional Services Agreement was entered into between the City of Waterloo,
Iowa (Client), and AECOM Technical Services, Inc. (ATS) of Waterloo, Iowa, dated November 4,
2011, for preliminary design and study of four Cedar River Enhancements Projects, including:
1) developing a navigable connection between the East Lake and the Cedar River, 2) developing
construction estimates for repairs to the existing San Souci Wing Dam, 3) incorporating boat docks
between Park Avenue and MuIlan Avenue, and 4) creating pedestrian connections from U.S.
Highway 63 to the Center for the Arts and the adjacent River Walk Loop; and
WHEREAS, the Client and ATS now desire to enter into Supplemental Agreement No. 1 for final
design and construction plan preparation for the repairs to the San Souci Wing Dam.
NOW THEREFORE, it is mutually agreed to amend the original Professional Services Agreement
as follows:
I. Project Description
The project consists of construction of repairs to the San Souci Wing Dam on the Cedar
River in Waterloo, Iowa.
I I. Scope of Services
The Scope of Services will encompass and include all detailed work, services, materials,
equipment, personnel and supplies necessary to provide design survey, final design and
construction plan preparation, and construction -related services for the project. The project
will be divided into two phases. The first phase will include design services, including the
preparation of plans and specifications in a format suitable for a City of Waterloo letting.
The second phase will include construction -related services, which will be determined at the
time the services are needed.
Phase I - Design Services
The Scope of Services for the Design Phase is further defined as follows:
Design Survey (Tasks 1-2)
The following identifies tasks leading to the completion of the design survey required for the
project:

These tasks include developing final construction plans for the San Souci Wing Dam
Repairs. Included in these tasks will be the typical cross-sections, tabulations and
quantities, final plan and profile sheets, tabulations, design cross sections, construction cost
estimate and technical specifications. The following specific tasks lead to the completion of
the construction plans.
Task 3 - Title and Legend Sheets
Task 4 - Typical Sections and Details
Task 5 - Bid Items and General Notes
a. Bid Item and Quantity Listing
b. Estimate Reference Information
c. General Notes
Task 6 - Tabulations and Quantities
Task 7 - Plan and Profile Sheets
Task 8 — Staging and Access Plan
Task 9 - Quality Control Review and Final Revisions
Task 10 - Construction Cost Estimate
Task 11 - Specifications
Task 12 - Printing and Submittals
Task 13 - Field Review
Project Administration, Coordination and Meetings (Tasks 14-16)
These tasks include project administration, agency coordination and two meetings
throughout the project development. These tasks also include pre -letting activities and
general project administration. The following identifies tasks leading to the completion of
project administration, meetings and coordination during the design phase of the project.

Phase 11— Construction -Related Services
The scope of construction -related services will be determined at the time the services are
needed and defined under a future amendment to this agreement. Construction -related
services include construction staking, on-site field review, materials testing, contract
administration during construction and right-of-way staking.
III. Compensation
Compensation for the above services will be on an hourly basis in accordance with Part VI
of the original agreement. Total compensation is an estimated fee of Twenty -Three
Thousand Three Hundred Dollars ($23,300.00) and shall be segregated with the fees
estimated for Part VI of the original agreement.

IV. In all other respects, the obligations of the Client and ATS shall remain as specified in the
Professional Services Agreement dated November 4, 2011.
IN WITNESS WHEREOF, the parties hereto have executed this Supplemental Agreement No. 1 as
of the dates shown below:
