CEDAR VALLEY RIVERFRONT RENAISSANCE
WATERLOO VISION IOWA PROJECTS
ADDITIONAL CONSTRUCTION REVIEW SERVICES
FOR RIVER WALK LOOP PROJECTS AND THE LOWER PLAZA
SUPPLEMENTAL AGREEMENT NO. 16
WHEREAS, a Professional Services Agreement was entered into between the City of Waterloo,
Iowa (Client), and AECOM Technical Services, Inc., formerly Earth Tech, Inc. (Consultant), of
Waterloo, Iowa, dated September 22, 2003, for the preliminary design, final design and
construction -related services for the Cedar Valley Riverfront Renaissance, Waterloo Vision Iowa
Projects, including the three major projects known as the Riverwalk Loop, Cedar River Dam
Improvements and the Cedar River Plaza and Amphitheatre in Waterloo, Iowa; and
WHEREAS, Supplemental Agreement No. 1 was entered into between the Client and the
Consultant dated January 24, 2005, for Phase II - Final Design Services of selected alternatives;
and
WHEREAS, Supplemental Agreement No. 2 was entered into between the Client and the
Consultant dated October 10, 2005, for Phase III - Construction -Review Services for that portion of
the project including floodwall modifications at the Lower Plaza and Waterloo Center for the Arts
Youth Pavilion; and
WHEREAS, Supplemental Agreement No. 3 was entered into between the Client and the
Consultant dated September 18, 2006, for Phase III — Construction -Review Services for that portion
of the project including the Riverwalk Loop Trail from East 6th Street to 18th Street; and
WHEREAS, Supplemental Agreement No. 4 was entered into between the Client and the
Consultant dated May 21, 2007, for Phase III — Construction Review Services for that portion of the
project including the Waterloo Dam Rehabilitation and River Wall Reconstruction; and
WHEREAS, Supplemental Agreement No. 5 was entered into between the Client and Consultant
dated June 15, 2007, for Phase III - Construction Review Services for that portion of the project
including the Riverwalk Loop Trail from Cedar Bend Park to Mullan Avenue; and
WHEREAS, Supplemental Agreement No. 6 was entered into between the Client and the
Consultant dated September 2, 2008, for Phase III - Construction Review Services for that portion
of the project including the Riverwalk Loop Trail Enhancements (Overlooks) along the north side of
the Cedar River, from 6th Street to the Cedar River Dam; and
WHEREAS, Supplemental Agreement No. 7 was entered into between the Client and the
Consultant dated October 20, 2008, for Phase III - Construction Review Services for repairs of
damage to portions of the project along the Cedar River caused by the flood of 2008; and
WHEREAS, Supplemental Agreement No. 8 was entered into between the Client and the
Consultant, dated August 17, 2009, for final design services for Mark's Park and additional design
services for a Performance Structure for the amphitheatre area of the Lower Plaza; and
WHEREAS, Supplemental Agreement No. 9 was entered into between the Client and the
Consultant, dated March 26, 2010, for Phase III - Construction Review Services for that portion of
the project including the Riverwalk Loop Trail from West 6th Street to 18th Street on the south side of
the Cedar River; and

WHEREAS, Supplemental Agreement No. 10 was entered into between the Client and the
Consultant, dated April 26, 2010, for Phase III - Constructed Review Services for that portion of the
project including the Lower Plaza, additional construction review services for the Waterloo Dam
Rehabilitation and River Wall Construction, and for additional design services for the Cedar Valley
Riverfront Renaissance Waterloo Vision Iowa Projects; and
WHEREAS, Supplemental Agreement No. 11 was entered into between the Client and the
Consultant, dated December 13, 2010, for that portion of the project including electrical service
modifications for the Cattle Congress Sanitary Pump Station; and
WHEREAS, Supplemental Agreement No. 12 was entered into between Client and the Consultant
dated March 14, 2011, for Phase III - Construction -Review Services for that portion of the project
including both the Riverwalk Loop Trail on the north side of the river from Mullan Avenue to Park
Avenue and the Mark's Park and the Performance Structure; and
WHEREAS, Supplemental Agreement No. 13 was entered into between the Client and the
Consultant dated March 14, 2011, for Phase III, Construction -Review Services for that portion of the
project including the Cattle Congress Storm Water Pump Station; and
WHEREAS, Supplemental Agreement No. 14 was entered into between the Client and the
Consultant dated May 16, 2011, for Phase III, Construction -Review Services for that portion of the
project including the FY 2011 River Renaissance Upper Plaza; and
WHEREAS, Supplemental Agreement No. 15 was entered into between the Client and the
Consultant dated November 21, 2011, for that portion of the project including additional features
near Mark's Park and the Performance Structure; and
WHEREAS, the Client and the Consultant now desire to enter into Supplemental Agreement No. 16
for additional construction review services for the Lower Plaza and the Riverwalk Loop projects.
NOW THEREFORE, it is mutually agreed to amend the original Professional Services Agreement
as follows:
Project Description
The project consists of providing additional construction -review services for the Lower
Plaza Project and the Riverwalk Loop Projects, which include funding from the State of
Iowa. The Riverwalk Loop Projects, which have state funding, include the 6th -18th Street
Recreational Trail on the south side of the river, the Overlooks Enhancement Project, the
North Downtown Trail and the Cedar River Water Trail.
II. Scope of Services
The Scope of Services will include all work, services, materials, equipment, personnel and
supplies necessary to provide the additional construction services required by the funding
agencies for the Riverwalk Loop Projects identified in addition to additional services
required for the Lower Plaza Project. The project consists of the following three elements:

1. Additional construction -review services required by the Iowa Department of
Transportation to complete a full materials audit on the Riverwalk Loop Projects
which have state funding. This is a new requirement as previous recreational trail
projects completed did not require a materials audit for the project.
2. Additional reporting requirements for the projects involving unique funding,
including economic stimulus, I -Jobs, Vision Iowa, and Great Places Funding.
Reporting was completed throughout the duration of the projects with the above -
referenced funding sources and was not included in the original construction -review
services.
3. Additional construction -review services required for the Lower Plaza Project.
These services included the following project elements:
• Property Owner Coordination. Substantial coordination was required during
construction of the project with adjacent property owners and stakeholders.
This included coordinating construction schedules with adjacent parking and
business usage, utility service coordination and responding to stakeholder
concerns.
• Project Administration. Due to the complexity of the project, in addition to three
construction contracts being completed in the same general area — Lower
Plaza, Upper Plaza and Mark's Park — additional coordination time was
required for the Lower Plaza Project. With the three projects being completed
simultaneously,16 subcontractors and three prime contractors were completing
work within the same area.
• Project Duration. As the project did require additional time due to the
coordination and construction of the three projects involved in the Plaza area,
additional construction review time has been required for project oversight,
contract administration and construction meetings.
Additional Construction -Review Services for Iowa DOT Materials Audit (Tasks 1-3)
These tasks include work necessary to prepare and complete a materials audit for the Iowa
Department of Transportation for the following projects:
• 6 -18th Street Recreational Trail (ESL -8155(709)-7S-07, City Contract No. 761)
• Overlooks Enhancement Project (STP -ES -8155(694)-81-07, City Contract No. 743)
• North Downtown Trail (STP -E -8155(721)-8U-07), City Contract No. 786
• Cedar River Water Trail (NRT-NT08(1)-96-07, City Contract No. 734
Task 1. Prepare materials submittal in accordance with the Iowa DOT requirements for
each of the four referenced projects listed above.
Task 2. Conduct a meeting with the Iowa DOT to review the materials submittal.
Task 3. Respond to comments received from the Iowa DOT and finalize materials audit for
each of the four projects.

Additional Construction -Review Services for Project Reporting Requirements
(Tasks 4-7)
These tasks include additional reporting requirements needed for the Riverwalk Loop
Projects which included economic stimulus, I -Jobs, Vision Iowa and Great Places funding.
Task 4. This task includes preparing and submitting quarterly economic stimulus reports for
the 6 -18th Street Recreational Trail Project.
Task 5. This task includes preparing and submitting quarterly I -Jobs reports for the Mark's
Park and Performance Structure Project.
Task 6. This task includes preparing reports for the Vision Iowa Board to update the Board
on project status.
Task 7. This task includes preparing and submitting quarterly reports to Great Places for
the North Downtown Trail Project.
Additional Construction -Review Services for Lower Plaza Project (Tasks 8-10)
These tasks include additional construction -review services necessary for the Lower Plaza
Project, including property owner coordination, project administration and additional
construction oversight throughout the duration of the project.
Task 8. This task includes coordination with the adjacent property owners and
stakeholders during project construction. This task includes on-site and office coordination
with adjacent business owners for parking concerns, utility service coordination and
responding to stakeholder concerns.
Task 9. This task includes additional coordination time required for the project due to the
number of contractors working in this area during the duration of the project. This task
includes additional staff hours required to coordinate the work on the three projects being
constructed in this area along with the multiple contractors completing work in the area.
Task 10. This task includes additional construction staking required for the project.to verify
and lay out the intricate colored portions of the Lower Plaza.
Task 11. This task includes additional construction -review services required during the
extended duration of the project, including on-site construction review, contract
administration (contractor payroll reporting requirements, pay applications) and project
meetings. InVision Architecture and Craig Ritland Landscape Architects (CRLA) will assist
in this task.
III. Compensation
Compensation for the above services will be on an hourly basis in accordance with Part III
of the original agreement. The fee for the services is estimated for the individual projects as
follows and shall not be exceeded without the authorization of the Client:

The fee for Items A and B will be integrated with the fee authorized in Supplemental
Agreement No. 12. The fee for Item C will be integrated with the fee authorized in
Supplemental Agreement No. 10.
IV. In all other respects, the obligations of the Client and the Consultant shall remain as
specified in the Professional Services Agreement dated September 22, 2003; and
subsequent amendments.
IN WITNESS WHEREOF, the parties hereto have executed this Supplemental Agreement No. 16
as of the dates shown below:
