Supplemental Agreement No. 2
Cedar River Water Trail
Portages at Park Avenue, Paramount Park and 6th Street Dam
Waterloo, Iowa
WHEREAS, an Agreement for Professional Services was entered into by the City of Waterloo, Iowa
("City"), and AECOM Technical Services, Inc., previously known as Earth Tech, Inc. ("Consultant"),
of Waterloo, Iowa, dated August 6, 2007, for the construction of two portages on the proposed
Cedar River Water Trail in Waterloo, Iowa; and
WHEREAS, the City and the Consultant entered into Supplemental Agreement No. 1, dated
November 16, 2009, for Phase II, Construction -Related Services, for the construction of three
portages on the north side of the Cedar River located near Park Avenue, Paramount Park and the
6th Street Dam; and
WHEREAS, the City and the Consultant now desire to enter into Supplemental Agreement No. 2 for
design and construction -related services for additional river wall repairs between 5th Street and 6th
Street, in addition to substructure modifications to the 6th Street dam portage due to unforeseen
subsurface conditions.
NOW THEREFORE, it is mutually agreed to amend the original Agreement for Professional
Services as follows:
I. Project Description
The project consists of river wall repairs on the north side of the river from 5th Street to 6th
Street in addition to footing modifications for the proposed 6th Street dam portage.
II. Scope of Services
The Scope of Services provided by the Consultant under this Agreement shall consist of
design and construction -related services for rehabilitation of the existing river wall on the
north side of the river between 5th and 6th Streets, in addition to modifications of the
proposed 6th Street dam portage footing due to unforeseen subsurface conditions. The
Scope of Services to complete this work is further defined as follows:
Design Services (Tasks 1-5)
These tasks include the final design of the river wall rehabilitation and the revised 6th Street
dam portage footing design and preparation of final construction plans and specifications for
the project. Included in these tasks will be structural design, typical sections and details,
tabulations and quantities, and project specifications. It is anticipated this work will be
added to the existing construction contract. The following specific tasks lead to the
completion of the design services:
Task 1 - Wall and Footing Structural Design
Task 2 - Typical Sections and Details
Task 3 - Bid Items and General Notes
a. Bid Item and Quantity Listing
b. Estimate Reference Information
c. General Notes
Task 4 - Tabulations and Quantities
Task 5 - Project Specifications

Construction -Related Services (Tasks 6-10)
These tasks include the construction -related services for the project. These tasks will be
completed in conjunction with the overall portage project. The following specific tasks lead
to the completion of the construction -related services for this portion of the project.
Task 6 - Answer Design Questions
Task 7 - Field Observation
Task 8 - Reports to Client
Task 9 - Final Field Review
Task 10 - Record Drawings
III. Compensation
Compensation for the above design services will be a lump sum fee of Ten Thousand
Dollars ($10,000.00), and compensation for the above construction -related services will be
a lump sum fee of Ten Thousand Dollars ($10,000.00) and shall not be exceeded without
authorization of the City.
IV. In all other respects, the obligations of the City and the Consultant shall remain as specified
in the Agreement for Professional Services dated August 6, 2007.
IN WITNESS WHEREOF, the parties hereto have executed this Supplemental Agreement No. 2 as
of the dates shown below:
