entered into with J. L. Holten, LLC. The property was later purchased by JSA
Development. You recently asked me for a document that would assign a rebate to
JSA. This document is enclosed. If you need anything else, please let me know.

ASSIGNMENT OF REBATES
The undersigned ("Assignor") is party to a development agreement (the "Agreement") with the
City of Waterloo, Iowa, concerning the real property identified below (the "Property"). Subject
to the terms of the Agreement, Assignor is entitled to tax rebates in respect of the Property in an
amount determined as set forth in the Agreement.
Assignor has sold the Property to JSA Development, LLC ("Transferee"). In consideration of
Transferee's purchase of the Property, Assignor does hereby assign to Transferee all of
Assignor's right, title and interest in and to any and all rebates payable in respect of the Property
pursuant to the Agreement, effective as of the date of transfer. The Property is located at 320-
322 E. 4th Street, Waterloo, Iowa .

Hi Chris,
I met with Noel this moming reviewing rebate files and the CU Restaurant (320-322 E. 4th St.) came to
our attention again. If you recall, the development agreement is between Holten JLLLC and the City. JSA
is now the deed holder of the property. Noel asked me to contact you regarding the preparation of an
"assignment of transfer' document (hope that is the correct name) so JSA can receive tax rebates on this
property. Please let us know if any questions. or if you need any other information from us to begin this
process.
