Subject to the terms of the Agreement, Assignor is entitled to tax rebates in respect of the Property in an amount determined as set forth in the Agreement. Assignor has sold the Property to JSA Development, LLC ("Transferee"). In consideration of Transferee's purchase of the Property, Assignor does hereby assign to Transferee all of Assignor's right, title and interest in and to any and all rebates payable in respect of the Property pursuant to the Agreement, effective as of the date of transfer. If you recall, the development agreement is between Holten JLLLC and the City. JSA is now the deed holder of the property. Noel asked me to contact you regarding the preparation of an "assignment of transfer' document (hope that is the correct name) so JSA can receive tax rebates on this property. Please let us know if any questions. or if you need any other information from us to begin this process.
