ISSUE: Educational Access Television Channel Operation Memorandum of
Agreement

BACKGROUND:
The District and the City of Waterloo have long-standing partnerships for the benefit of the
citizens served by both. Recent discussions focused on the possibility of collaborating on the
operation of the two entities' local access television channels. Both the District and the City
have been maintaining their own personnel, studios, and equipment necessary for the operation
of their respective channels. The District has one educational access channel, and the City
operates two public access channels.
A tentative agreement has been reached that provides for the operation of the District's channel,
using facilities and staff already in place at the City. The District's employee who had operated
the educational access channel as part of his duties is retiring at the end of July. The part-time
secretary who operated the on -air bulletin board retired in June.
District equipment that would support the City's operation of the educational channel is being
transferred to the City's studio location. Technical support has been provided by Mediacom so
that the City can originate the District's signal from its studio and, when appropriate, from the
Educational Service Center (ESC). Board meetings will continue to originate from the ESC,
under the supervision of City personnel.
Bulletin board announcements and some video programming for the channel will be managed by
City personnel. Other video content will be provided by the District through a part-time contract
with a video production specialist.
Overall, the new arrangement will reduce the need to support a stand-alone production facility
and studio equipment, reduce staffmg needs of the District, and allow limited District resources
to be focused on traditional and emerging communication applications of video on both TV and
the web.
THE SUPERINTENDENT'S RECOMMENDATION IS:
"the Board of Education approve the Memorandum of Agreement with the City of Waterloo for
the operations of the District's Educational Access Television Channel."

MEMORANDUM OF AGREEMENT
Between
Waterloo Community School District
And
City of Waterloo, Iowa
This Memorandum of Agreement is effective as of July 1, 2011, and is made by and between the
City of Waterloo, Iowa, hereinafter referred to as the CITY, and the Waterloo Community School District,
hereinafter referred to as the DISTRICT.
RECITAL:
A. The City has the ability to provide technical and professional services to the District to assist in
the operation of the Waterloo Educational Access Channel.
B. The District wishes to avail itself of the City's technical and professional services in this regard.
The parties agree as follows:
1. The City agrees to assist the District with the day-to-day operation of the Waterloo Educational
Access Channel and in the course thereof agrees to:
(a) Provide the video playback of the District's programs;
(b) Update the bulletin board as needed;
(c) Direct the bi-monthly Waterloo Community School Board Meetings and any additional
special meetings if necessary;
(d) Provide necessary music licensing, such as DeWolfe Music;
(e) Provide monthly program guide;
(f) Maintain all necessary equipment for operation of said channel;
(g) Schedule all channel programming in consultation with District for program times;
(h) Videotape the yearly graduation ceremonies for each high school;
(i) Videotape District professional development, school performances, or similar up to a
maximum of 15 hours per month. Videotaping services in excess of 15 hours per month
will be billed by the City to the District at the hourly rate of $40.00.
2. The DISTRICT agrees to:
(a) Pay the initial setup cost for modulator equipment and provide the license for the
Adobe editing software;
(b) Provide current broadcast playback system, computer, and scan converter as requested
by City;
(c) Pay the City an annual fee of $30,000, due by July 15th annually;
(d) Provide all content for the channel other than the board meetings, graduations, and
District professional development, school performances, or similar that are taped by the
City;
(e) Provide and maintain wall mounted cameras, audio equipment, and director's board in
the School Board room and;
(f) Provide the information needed to update the bulletin board;
(g) Provide dvds of District created programming and time schedule for airing;
3. It is further mutually agreed that:
(a) Any changes in this agreement, including scope of services or modifications to the
amount of compensation, shall be first mutually agreed upon by City and District and
incorporated into a written agreement;
4. The duration of the AGREEMENT shall be from July 1, 2011, to June 30, 2013. This agreement
shall automatically renew for periods of July 1 to June 30 from one year to the next. However,
either party may terminate the Agreement at the end of any contract year by notifying the other
party in writing of their intent to terminate this Agreement at least thirty (30) days prior to the
end of the current contract year.
AUTHORIZATION:
We the undersigned, hereby certify that we, the properly authorized officers of the organization,
approve and implement this Partnership Agreement.
