Waterloo Community School District
And
City of Waterloo, Iowa
This Memorandum of Agreement is effective as of July 1, 2011, and is made by and
between the City of Waterloo, Iowa, hereinafter referred to as the CITY, and the Waterloo
Community School District, hereinafter referred to as the DISTRICT.
RECITALS:
A. The District has the ability and equipment to host the City's website on the
District's server and wishes to provide that service to the City.
B. The City wishes to avail itself of this service by the District.
C. The parties wish to enter into this Memorandum of Agreement to accomplish
same under the terms and conditions set forth below.
The parties agree as follows:
1. The District agrees to:
a) Host the following websites on its server for the City: City of Waterloo,
Economic Development, Fire Rescue, Cable TV;
b) Provide the necessary server infrastructure to host the noted sites;
c) Provide the internet connectivity necessary to host the noted sites;
d) Provide the necessary software licensings, such as Windows Server;
e) Provide bi-weekly backups of the noted sites' content to an off-site
facility;
f) Migrate the noted sites to a framework compatible with District servers;
g) Provide initial basic training for the City on the procedure for modifying
the sites' content on District servers.
2. The City agrees to:
a) Pay the District a one-time setup cost of $650.00;
b) Pay the District a monthly hosting fee of $40.00 a month, billed annually
on the first date of the period, to be paid by the City within thirty (30) days
thereafter;
c) Provide and manage all content for the noted sites;
d) Host, or solicit another service to host, relevant DNS records and
configure them to an IP address provided by the District.
3. The parties agree that, should the City wish to change the scope of the website
hosted for the City by the District from the scope in existence at the beginning of the term of this
Agreement, such as the inclusion of streaming video, the changes will be implemented only after
both parties agree to amend this Agreement to include the desired scope and cost changes.
4. The parties agree that, should the City wish to have the District also host the
"Drive Safe Cedar Valley" site, the City will pay the District an additional $5.00 per month
hosting fee and an additional $150.00 one-time setup cost, with the other terms of this agreement
being applicable.
5. The parties agree that, if the City requests additional web programming or
training services by the District, the City will be billed at a rate of $45.00 per hour for such
programming or services.
6. The duration of the Agreement shall be from July 1, 2011, to June 30, 2012. This
agreement shall automatically renew for additional annual periods thereafter. However, either
party may terminate this Agreement at any time by notifying the other party in writing at least
sixty (60) days prior to the intended date of termination.
AUTHORIZATION:
We, the undersigned, hereby certify that we, the properly authorized officers of the party,
approve and implement this Memorandum of Agreement.
