This General Agreement to Amend made and executed this 13 day of May, 2011, by
and between Howard L. Allen Investments, Inc. ("Allen"), and the City of Waterloo, Iowa
("City").
WHEREAS, Allen and City entered into a Development Agreement dated October 4,
2010, Purchase Agreement dated September 20, 2010 and Occupancy Agreement dated
September 20, 2010, (collectively "Agreements");
WHEREAS, Allen and City contemplated closing on or about November 30, 2010;
WHEREAS, for various reasons closing has been delayed to May 31, 2011;
WHEREAS, the parties agree all dates and deadlines shall be amended and tolled for six
months.
NOW THEREFORE, the parties agree as follows:
1. Dates and Deadlines. All dates and deadlines in Agreements shall be amended
and tolled for six months to reflect the delayed closing of May 31, 2011.
2. Other Terms. Except as amended herein, all other terms in Agreements shall be
unaffected and stay in full force and effect.
