Contractor Agreement

This Agreement is made on March, 22 2011, between The City of Waterloo, Owner,
Whose address is 715 Mulberry St. Waterloo Ia. 50703, and Floor Decor Inc., Contractor,
whose address is 706 Ansborough, Waterloo, Ia. 50701. The work to be done will occur
at the Waterloo Public Library 3`d floor.
For valuable consideration, the Owner and Contractor agree as follows:
1. Floor Decor Inc. agrees to furnish all labor and carpet to do the following work
for The City of Waterloo as an independent contractor: New carpet replacement
for the 3`d floor of the Waterloo public library, and cove base were no existing
wood or slate base is in place. Floor Decor agrees to remove existing carpet. The
city of Waterloo agrees to remove & replace all furniture
2. The contractor agrees that the work will be completed by June 1 2011, unless
otherwise agreed to by both Contractor and Owner.
3. Floor Decor Inc. agrees to perform this work in competent and skillful manor
according to CRI industry standards and practices. All work performed shall be
subject to final approval by The City of Waterloo. Floor Decor Inc. also agrees to
repair or replace, with out cost to The City of Waterloo, Any defects due to
workmanship or material for a period of one (1) year after final acceptance.
4. The City of Waterloo agrees to pay Floor Decor Inc. $23891.51, for doing the
work outlined above. The City agrees to pay for all Material cost when it is on
location. Final payment of all labor to be received within 20 days after work is
complete. Material cost is $18399.45
5. Floor Decor Inc. and The City of Waterloo may agree to extra services and work,
but any such extras must be set out and agreed to in writing by both parties.

6. Floor Decor Inc. agrees to indemnify and hold The City of Waterloo harmless from
any claims or liability arising from Floor Decors work under this agreement. Floor
Decor Agrees to carry general liability insurance, automobile liability insurance,
workers compensation insurance, and employer's liability insurance in an amount
Exceeding the value of all work done under this agreement.
7. No modifications of this agreement will be effective unless it is in writing by both
parties. This agreement binds and benefits both parties and all successors. This
document is the entire agreement between the parties. This Agreement is governed by
the state of Iowa.
8. This contract meets all criteria set forth from The City of Waterloo for general
requirements of said project, sent out from the city, dated January, 10 2011.
