FOR CDBG GROUP NO. 137-AR-10-25-10-CDBG
THIS AGREEMENT made this 1St day of November, 2010, by and between
AUGUST ENTERPRISES, L.L.C., a corporation organized and existing under the laws
of the State of Iowa, hereinafter called the "CONTRACTOR", and the CITY OF
WATERLOO, IOWA, acting through its COMMUNITY DEVELOPMENT BOARD,
hereinafter called the "CITY", for the property formerly known as VAN EATON
SCHOOL in the 2200 block of Burton Avenue, Waterloo, Iowa.
WITNESSETH, that the Contractor and the City for the consideration stated herein
mutually agree as follows:
ARTICLE 1. STATEMENT OF WORK. The Contractor shall furnish all supervision,
technical personnel, labor, materials, machinery, services, and perform and complete
within 30 calendar days after receipt of Notice to Proceed, all work required for the
Removal and Disposal of Asbestos in an efficient and workmanlike manner, as required
by the Iowa Department of Labor and the U.S. Environmental Protection Agency
regulations.
ARTICLE 2. THE CONTRACT PRICE. The City will pay the Contractor for the
performance of the Contract in current funds, subject to additions and deductions as
provided in the Section "Changes in the Work" under General Conditions, Part I, and
subject to all other conditions set forth in the Contract Documents, the sum of
Sixty -Two Thousand, Three Hundred Four and no/100 Dollars ($62,304.00), and in
accordance with the contractor's bid.
ARTICLE 3. CONTRACT. The executed Contract Documents shall consist of the
following:
a. This Agreement
b. Addenda
c. Invitation to Bid
d. Instructions to Bidders
e. Signed copy of Bids.
f. General Conditions
Part I, II, and III
g. Special Conditions
h. Technical Specifications
i. Drawings as listed in the
Schedule of Drawings
THIS AGREEMENT, together with the other documents enumerated in this Article 3,
which said other documents are as fully a part of the Contract as if hereto attached or
herein repeated, forms the Contract between the parties hereto. In the event that any
provision in any component part of this Contract conflicts with any provisions of any
other component part, the provision of the component part first enumerated in this Article
3 shall govern, except as otherwise specifically stated.
ARTICLE 4.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed
in three (3) original copies on the day and year first above written.

Contractor Responsibility: We will provide
1. Necessary trained labor, supervision, tools and supply
2. Notifications, manifesting, close out documentation, insurance
Owner/Manager Responsibility:
1. Authorize us to act in your behalf
2. Move out all movables; if any
3. Provide access, oversight, liaison between trades
4. Restrict access to our work areas; & consider our shortest route to site
5. Provide access to water, electricity
6. Provide assistance with the veritable air issues
Duration:
I. The Owner will allow ten work day notification prior to scheduling

3. The room would be controlled with a>propriate removal methods
Exclusions:
1. This quotation is good for thirty days
2. It is intended that this will be performed on a mutually agreed upon schedule
3. Invoices unpaid after thirty days are past due and subject to a monthly finance
charge computed at the rate of five percent
4. To be listed as "addition insured" is a $550.00 supply fee
5. For "payment/performance bond" is a $550.00 supply fee plus cost/interest
