TechWorks Energy Plan Feasibility Study IN PROGRAM YEAR 2010 IOWA OFFICE OF ENERGY INDEPENDENCE — ENERGY EFFICIENCY AND CONSERVATION BLOCK GRANT THIS AGREEMENT is entered into this i `• ay of referred to as the "City" and Cedar Valley TechWork 20 0, by and between the City of Waterloo, herein Inc., herein referred to as "TechWorks" WHEREAS, the City is the recipient of a $50,000 Energy Efficiency Community Block Grant (EECBG) by the Iowa Office of Energy Independence (OEI), and WHEREAS, the purpose of the grant is to complete a feasibility assessment for the TechWorks Energy Plan: WHEREAS, the City desires to sub -grant the EECBG funds to TechWorks and engage the Subrecipient to complete the feasibility assessment on the City's behalf, and WHEREAS, the completion of this assessment will help advance the vision for the TechWorks System which will further the development and deployment of renewable energy in Waterloo and contribute to long term economic strength of the City, and NOW, THEREFORE, the parties agree as follows: Part 1 1. Purpose and Scope of Services: A. TechWorks will complete the TechWorks Energy Plan Feasibility Assessment consisting of the following Scope of Work: o Task 1: Project -wide energy needs assessment o Task 2: Solar site assessment/feasibility analysis o Task 3: Wind site assessment/feasibility analysis o Task 4: Fuel cell feasibility assessment/technology identification o Task 5: Bioenergy feedstock study o Task 6: Analysis and Preliminary engineering of waste heat utilization system o Task 7: Project management, partnership building, and funding strategy 2. Time of Performance The scope of work will be completed between May 1, 2010 and May 1, 2011. TechWorks Energy Plan Feasibility 3. Proposed Project Budget Amount Total Project Costs $100,000 Total Subrecipient grant from EECBG $ 50,000 Total Match Provided by TechWorks $ 50,000 4. Compensation and Method of Payment The City shall pay and the SUBRECIPIENT agrees to accept in full no more than FIFTY THOUSAND AND NO/100 ($50,000) (hereinafter "Grant") for performance under this agreement. Payment shall be made by the City to TechWorks upon receipt of funds from Iowa's Office of Energy Independence. Part 11 1. Grant Administration and Reporting A. TechWorks will administer the grant in accordance with the guidelines outlined by Iowa's Office of Energy Independence and all requirements outlines in the Energy Efficiency and Conservation Block Grant Subrecipient Contract between the Office of Energy Independence and the City of Waterloo. All provisions of the contract between the City and the Iowa Office of Energy Independence are incorporated into this contract, including the provisions of the American Recovery and Reinvestment Act. B. TechWorks will complete all reports required by the Iowa Office of Energy Independence and the American Recovery and Reinvestment Act. C. TechWorks will comply with the American Recovery and Reinvestment Act requirements for expenditures made under this grant. D. TechWorks will comply with the requirements of the Davis -Bacon Act for any laborers or mechanics employed under this grant. E. TechWorks will comply with the Buy American provisions required under the Recovery Act. F. TechWorks will comply with the provisions of the National Historic Preservation Act. G. TechWorks will comply with all other provisions as required by the Recovery Act. IN WITNESS THEREOF, the Parties hereto have executed this Agreement effective as of the 2010.
