SUPPLEMENTAL AGREEMENT NO. 3
WASTEWATER POLLUTION CONTROL SYSTEM REVIEW
WATERLOO, IOWA
WHEREAS, a Professional Services Agreement was entered into between the City of Waterloo, Iowa,
(Client) and AECOM Technical Services, Inc. (ATS), of Waterloo, Iowa, dated June 15, 2009, for the
review of various aspects of the Wastewater Pollution Control System for the City of Waterloo, Iowa;
and
WHEREAS, Supplemental Agreement No. 1 was entered into between the Client and ATS dated
November 2, 2009, for a computer simulation of the Wastewater Pollution Control Facility (WPCF) to
ascertain capacities and limitations at the facility, an evaluation of the maintenance issues and start-up
procedures needed to recommission the Satellite Treatment Facility at the WPCF, an evaluation and
design of improvements to the Raw Wastewater Pumping Station at the Anaerobic Lagoon, and a
feasibility analysis of constructing an "alternative" Wastewater Treatment Facility to serve the area near
the Waterloo Airport; and
WHEREAS, Supplemental Agreement No. 2 has been submitted to prepare plans, specifications and
contract documents for the rehabilitation of sanitary sewer manholes along U.S. Highway 63; and
WHEREAS, the Client and ATS now desire to enter into Supplemental Agreement No. 3 for
construction -phase services for the removal and replacement of aeration equipment in the existing
aeration basins at the Satellite and Easton Avenue Water Pollution Control Facilities in Waterloo, Iowa.
NOW THEREFORE, it is mutually agreed to amend the original Professional Services Agreement as
follows:
I. PROJECT DESCRIPTION
The project includes the removal and replacement of aeration equipment in the existing
aeration basins at the Satellite and Easton Avenue Water Pollution Control Facilities in
Waterloo, Iowa (City Contract No. 788).
II. SCOPE OF SERVICES
The scope of services is for construction -related services and includes the following:
1. Assign a project manager who will coordinate project activities and will be the principal
liaison between the Client, Contractor and regulatory agencies.
2. Assist the Client in assembling the contract documents for execution by the Contractor
and the Client.
3. Conduct a preconstruction conference with representatives of the Contractor and
Client.
4. Review shop drawings and other submittals as required of the Contractor by the
contract documents for conformance with the design concept of the Project and
compliance with the information given in the contract documents.
5. Answer design interpretation questions from the Client, Contractor, review staff and
appropriate agencies.

6. Process monthly applications for payment submitted by the Contractor and forward to
the Client for execution with recommendations for approval and payment.
7. Witness/provide, where applicable, field testing of the facilities furnished under the
contract to assist in determining conformance with the contract documents.
8. Visit the construction site by design personnel at appropriate stages of construction to
review the quality of the work and to determine, in general, whether the work conforms
with the contract documents.
9. Assist the Client and Contractor in preparing and processing contract change orders.
10. Provide periodic field observation during construction to review the work of the
Contractor to determine if the work is proceeding in general accordance with the
contract documents and that completed work appears to conform to the contract
documents.
Periodic field observation staff shall consist of a field representative for approximately
120 hours of service. Staffing requirements may be adjusted during the project in
relation to the level of construction activity.
11. Report to the Client any work believed to be unsatisfactory, faulty or defective or does
not conform to the contract documents, and advise the Client of any work that should
be corrected or rejected.
12. Consider and evaluate Contractor's suggestions for modifications and report them with
recommendations to the Client.
13. Maintain files for correspondence, reports of the job conferences, shop drawings and
sample submissions, reproductions of original contract documents including addenda,
change orders, field modifications, additional drawings issued subsequent to the
execution of the contract, Engineer clarifications and interpretations of the contract
documents, progress reports and other project -related documents.
14. Keep a diary, log book or report for those times on site, recording hours on the job site;
weather conditions; data relative to questions of extras or deductions; list of visiting
officials and representatives of manufacturers, fabricators, suppliers and distributors;
activities; decisions, observations in general and specific observations in more detail
when necessary, as in the case of observing test procedures.
15. Conduct a review of the project near completion and prepare a list of items to be
completed or corrected.
16. Perform a field observation of the completed project before a final application for
payment is processed for the Contractor.
17. Provide the Client with a copy of revised drawings of the construction plans for the
project based on the construction observation records of the review staff and
Contractor showing those changes made during construction considered significant.
18. Assist the Client with the final close-out documentation from the Contractor.

III. COMPENSATION AND PAYMENT

Compensation for the above services shall be integrated with the compensation defined in the
Professional Services Agreement dated June 15, 2009, and subsequent amendments. The
estimated additional compensation of Forty -Five Thousand Dollars ($45,000.00) shall not be
exceeded without authorization from the Client.
IV. In all other respects, the obligations of the Client and the Consultant shall remain as specified in
the Professional Services Agreement dated June 15, 2009, and subsequent amendments.
IN WITNESS WHEREOF, the parties hereto have executed this Supplemental Agreement No. 3 as of
the dates shown below.
