SUPPLEMENTAL AGREEMENT NO. 2
WASTEWATER POLLUTION CONTROL SYSTEM REVIEW
WATERLOO, IOWA
WHEREAS, a Professional Services Agreement was entered into between the City of Waterloo, Iowa,
(Client) and AECOM Technical Services, Inc. (ATS), of Waterloo, Iowa, dated June 15, 2009, for the
review of various aspects of the Wastewater Pollution Control System for the City of Waterloo, Iowa;
and
WHEREAS, Supplemental Agreement No. 1 was entered into between the Client and ATS dated
November 2, 2009, for a computer simulation of the Wastewater Pollution Control Facility (WPCF) to
ascertain capacities and limitations at the facility, an evaluation of the maintenance issues and start-up
procedures needed to recommission the Satellite Treatment Facility at the WPCF, an evaluation and
design of improvements to the Raw Wastewater Pumping Station at the Anaerobic Lagoon, and a
feasibility analysis of constructing an "alternative" Wastewater Treatment Facility to serve the area near
the Waterloo Airport; and
WHEREAS, the Client and ATS now desire to enter into Supplemental Agreement No. 2 to prepare
plans, specifications and contract documents for the rehabilitation of sanitary sewer manholes along
U.S. Highway 63.
NOW THEREFORE, it is mutually agreed to amend the original Professional Services Agreement as
follows:
I. PROJECT DESCRIPTION
The project includes the rehabilitation of approximately 75 sanitary sewer manholes along
Highway 63 south from approximately Shaulis Road to Washington Street. The manhole
rehabilitation will consist of lining the manhole with a fiberglass insert, grouting the interstitial
space, placing a chimney seal in the spacer rings, and inserting inflow dishes in manholes
subject to flooding.
II. SCOPE OF SERVICES
The Scope of Services will include preparation of plans, specifications and contract documents
for the defined project. The services are defined by the following tasks:
1. Conduct field survey to locate features throughout the project corridor and develop a
base map to be used in the plan development.
2. Prepare preliminary design and estimate of probable construction costs for the project.
3. Submit preliminary design to Client for review and comment.
4. Prepare and submit letter report to the Iowa Department of Natural Resources (Iowa
DNR) documenting the need to complete upgrades and assist the Client in obtaining
department approval to construct the recommended upgrades.
5. Incorporate Client and Iowa DNR comments and prepare final design of upgrades to
the existing facilities. Prepare bidding documents (plans, specifications and contract
documents) necessary to obtain competitive bids for the construction of the upgrades
to the existing facilities.

6. Prepare final estimate of probable construction costs.

7. Provide up to five (5) sets of reduced size (11"x17") plans and specifications for use by
the Client.
8. Provide bidding documents to prospective bidders.
9. Provide bidding coordination for one prime construction contract, which includes
responding to contractor questions and preparation of appropriate addenda.
10. Attend bid opening, prepare bid tabulation and make recommendation to Client on
contract award.
11. Assist Client in assembling the Contract Documents for execution by Client and
contractor, and furnish copies of the executed Contract Documents to the Client,
contractor and appropriate regulatory agencies.
III. COMPENSATION AND PAYMENT
Compensation for the above services shall be integrated with the compensation defined in the
Professional Services Agreement dated June 15, 2009, and subsequent amendments. The
estimated additional compensation of Twenty -Three Thousand Dollars ($23,000.00) shall not
be exceeded without authorization from the Client.
IV. In all other respects, the obligations of the Client and the Consultant shall remain as specified in
the Professional Services Agreement dated June 15, 2009, and subsequent amendments.
IN WITNESS WHEREOF, the parties hereto have executed this Supplemental Agreement No. 2 as of
the dates shown below.
