MEMORANDUM OF UNDERSTANDING
BLACK HAWK COUNTY — CITY OF WATERLOO
COMMUNICATION TOWER
BLACK HAWK COUNTY (hereinafter "County") and the CITY OF WATERLOO
(hereinafter "City") have constructed a replacement public safety tower (hereinafter "Tower")
located at 715 Mulberry Street, Waterloo, Iowa, to accommodate present and future
antennas, equipment and shelters of the E911 Service Board (hereinafter "Board"). The
Tower was constructed to meet all engineering requirements needed to support equipment
for public safety and other needs for communication, broadcasting, transmission and
reception of wireless communication signals and related services for the mutual benefit of
the County, the City, the Board and such other parties and agencies as the parties to this
Memorandum of Understanding (the "MOU") may hereafter agree.
1. As of the date of execution of this MOU, the County as current owner of the new Tower
located on Waterloo City Hall property, agrees to and does hereby transfer to the City all
right, title and interest in and to the Tower. The City hereby accepts all right, title and
interest in and to the Tower as of the date of execution of this MOU, and further agrees
to maintain ownership hereafter and to maintain future licensing requirements.
2. The construction, ownership and maintenance of the new Tower have been agreed to by
the parties, and attached hereto and by this reference made a part of this agreement are
copies of relevant documents on the construction, ownership, and maintenance of the
new Tower as follows: (a) Memorandum of Understanding dated May 31, 2016, marked
Exhibit "A"; (b) Standard Form of Agreement Between Owner and Contractor dated July
6, 2016 (the "Construction Contract"), marked Exhibit "B"; (c) Construction Drawings of
the Tower and its component parts, marked Exhibit "C"; and (d) an itemization of Tower
loadings as of the date hereof, marked Exhibit I'D". The parties agree that the Tower
was built substantially in accordance with the Construction Drawings, and such
drawings are hereby adopted by the parties as as -built drawings of the Tower.
3. The City hereby grants to the Board the easement rights for reasonable ingress and
egress onto the Waterloo City Hall property for such purposes of maintenance and care
of the present and future Board antennas, equipment and shelters as the Board
reasonably deems necessary. The Board shall provide no less than 24 hours' advance
notice to the City before exercising its access rights, except in cases of emergency, in
which case the Board shall contact the City as soon as possible to report the entry that
was made and the purpose of same. These arrangements assume and understand that
the City shall, nevertheless, be responsible for the general upkeep and care of the
Tower and its facilities, including maintenance and repair. Nothing herein shall be
construed to make the City liable for the costs of maintenance, repair or replacement of
any antenna or related equipment or components that are owned by the Board or
parties other than the City.
4. The FAA aircraft warning light on the Tower shall be maintained and operated by the
City so long as the City is the owner of the Tower. Additional details and responsibility
for the maintenance and the operation of the Tower shall be determined by the Board
and the City. This FAA warning light and its controller (located inside the radio
equipment shelter) are powered by the Board's electric meter and monitored by RACOM
via the site monitoring system, thus conforming to FAA requirements. If the warning light
fails, it shall be the responsibility of the City to notify the FAA within the time period
specified by FAA regulations and to arrange for its repair.
5. The parties agree that any future equipment placed on the Tower will have to be in
compliance with engineer's specifications, by a structural engineer as agreed upon by
the City and the Board. Any equipment placed on the Tower in the future shall not
interfere with the transmission or reception of the E-911 Public Safety Systems or
Emergency Management Equipment on the Tower. It shall be the responsibility of the
agency, organization or company adding to or modifying the Tower to insure this
compliance. Both the Board and the City will make said party aware of any changes to
tower loading before such action occurs. Because the Tower has been designed and
installed in accordance with the TINEIA-222G Standard, grounding meeting the Harris
AE/LZT 123 4618/1, Rev D Installation Planning Specifications and all antenna mounts
also conforming, it is agreed that any future changes or modifications will follow the
same requirements.
6. The County hereby assigns to the City all of its warranties and rights arising from or in
relation to the Construction Contract, and the County further agrees to cooperate with
the City promptly and in good faith in the handling of any warranty claim,'claim for
defective workmanship, or any other claim of any type or nature whatsoever that arises
from or in relation to the Construction Contract.
7. Amendments to this MOU shall require the written consent of all parties. This MOU may
be executed in multiple counterparts, each of which shall be deemed an original and all
of which together shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties hereto have executed this Memorandum of
Understanding by their duly authorized representatives as of the date set forth beneath
each signature.

MEMORANDUM Oil UNDERSTANDING

COMMUNICATION 'I'OVVI?R
BLACK HAWK COUNTY (hereinafter County) and the CITY OF WA1'iRLOO
(hereinafter City) have agreed that as a part of'thc recent bonding project (the Black hawk County
Public Safety Radio System, passed by Black Hawk County, January 20, 2015) a portion of the funds
from that project ("Bond Funds") shall be used to construct a replacement lower presently used by
both parties.
I. The present tower located on City !tall property has been used by both parties for siren
projection services for the public, and other communication needs.
2. The County agrees that from Bond Rinds it will erect a new tower whose purpose shall
he to provide communication, broadcasting, transmission and reception of wireless
communication signals and related services for the mutual benefit of the County, the
City, and such other parties and agencies as the parties to this Memorandum of
Understanding may hereafter agree.
3. As of the date of execution of this Memorandum of Understanding, the parties have not
yet agreed who the ultimate owner of the tower shall he. The parties do agree that at the
completion of the tower project, ownership of the tower shall be established in one party
by written instrument executed by both parties.
4. The County shall be responsible to demolish the present tower and to erect a new tower.
The new tower shall he erected pursuant to plans, specifications, and other requirements
as set forth in a future. agreement of the parties and shall be designed with the capability
to meet the present and foreseeable future communications uses and needs of the parties.
Therefore, both parties shall have part in making decisions for the erection and strength
of the new tower.
5. If the City chooses to benefit from having additional cellular carriers on the new tower, it
shall be responsible for the additional costs to allow for strengthening of the tower.
6. The County intends to place a 35Kw generator to meet the needs of the tower site and
components. There will be an alternate bid for a 200Kw generator in the RFP to provide
power to the City Hall building as well as the tower sitc. if the City decides to go with the
optional price for the 200Kw generator, the cost difference between the 35Kw Generator
and the 200Kw shall be borne by the City.
7. During the period of removal of the old tower and construction of the new tower, and
ininmediately prior to transfer of ownership, the County shall be responsible and liable for,
and shall hold harmless the City from and against, all claims, demands, causes of action,
and liabilities of any type or nature. including but not limited to reasonable attorney's
fees and expenses, arising from or in connection with all activities relating to said
removal and construction that are attributable to any acts or omissions of the County, its
agents, or employees. Except as may he set forth in this paragraph or in a separate
agreement between the parties, Duce title and ownership to the tower are transferred, the
new owner shall be responsible and liable for, and shall hold harmless the other party
from and against, any loss or damage arising from any claim to the extent such loss or
damage is attributable to any acts or omissions of the owner, its agents, or employees.
Thereafter, the owner shall maintain and operate the tower and be responsible for its care
and upkeep as the owner of the tower, If the City is the new owner, it shalt not be
responsible for the upkeep, care and maintenance of the E91 1 Service Board's radio
system antennas, shelters and equipment, which shall be solely the E911 Service Board's
responsibility. The E911 Service Board's maintenance of the antennas shall be done in a
way that is mutually satisfactory to both parties. In connection with establishing
ownership of the completed tower, the parties will enter into an agreement providing for
insurance and any other issues of joint cost or responsibility.
8. During the period of construction, the City is to maintain ownership of the new tower due
to licensing requirements.
9. Once ownership of the tower is established in one party, the City shall grant to the E911
Service Board the easement rights for ingress and egress onto the property for such
purposes of maintenance and care of the E911 Service Board antennas, equipment and
shelters as the Board deems necessary. If the E91 1 Service Board is the new owner of
the tower, it shall grant to the City an easement of rights for ingress and egress for
purposes of maintenance and care of the City equipment . These arrangements assume
and understand that the owner shall, nevertheless, be responsible for the general upkeep
and care of the tower and its facilities, including maintenance and repair. The aircraft
warning light on the tower shall be maintained and operated by the County up to the point
of transfer of the tower to the owner. Final details of ownership and responsibilities will
be determined between the E911 Service Board and the City of Waterloo.
10. The parties estimate that this project shall take approximately one year to complete.
11. The parties agree that any future equipment placed on the new tower will have to be in
compliance with engineer's specifications that the tower was built for. Any equipment
placed on the tower in the future cannot interfere with the transmission or reception of the
E-911 Public Safety Systems.
12. The parties agree that some antennas on the old tower will need to be moved to the new
tower. The old tower is 250 feet and the new tower is planned at 230 with antennas to
250 feet. The parties intend that the new tower shall include the following:
A. Three 5.8 GHz Traffic Department radio/antennas (per RC Systems) will be
moved to the new tower.
a. One for Bridges (120' on southwest leg)
b. One for Sullivan ( 150' on the east leg)
c. One for Covenant Medical Center (155' on the east leg)
B. One Siren activation antenna (per RC Systems) will be moved to the new tower
a. Replacement antenna will be located at 200'
C. Space for future City department antennas (per RC Systems) at about 100'-115'
D. US Cellular BDA antenna for in -building cellular phone support at about 50'
l . Verizon BDA antenna for in -building cellular phone support at about 80'.
This list is incomplete but a reflection of the expectations of the parties.
13. Also attached hereto is a drawing of the tower and special permit application. These are
referred to an incorporated herein by reference as attachment 2 and 3.
14. Amendments to this Memorandum or Understanding will require the written consent of
both parties.

The Contract Documents consist of this Agreement, Conditions of the Contract (General, Supplementary and other
Conditions), Drawings, Specifications, Addcnda issued prior to execution of this Agreement, other documents listed in

5.I.$ Except with the O`.vner's prior approval, the Contractor shall not make. advance payments to suppliers for materials
or equipment which have not been delivered and stored at the sire.
5.2 E1NAL PAYMENT
5,2.1 Final payment, constituting the entire unpaid balance of dee Contract Sum, shall be made by the Owner to the
Contractor when
.1 the Contractor has fully performed the Contract weeps for the Contractor's responsibility to corecr
'Shirk as provided in Section 12,2,2 of AIA Document .A201 -2007, and to satisfy other requirements, if
any, which extend beyond final payment, and
? a final Certificate for Payment has been issued by the Architect.
§ 0.2.2 The Owner's final payment to the Contractor shall be made no later than 30 days after the issuance of the
Architect's final Certificate for Payment, or as follows:
ARTICLE 8 DISPUTE RESOLUTION
§ 8.1 INITIAL DECISION MAKER
The Architect will serve as Initial Decision 1b(aker pursuant to Section 15.2 of AIA Document A201 2007, unless the
parties appoint below another individual, not a party to this Agreement to serve as Initial Decision Maker.
