Professional Services Agreement
for
ANSBOROUGH AVENUE FROM U.S. 20 TO SAN MARNAN DRIVE IMPROVEMENTS
Supplemental Agreement No. 1
This is an AGREEMENT, made as of the thirteenth (13th) day of November in the year 2017
by and BETWEEN the City of Waterloo, Iowa, identified as the Owner;

for the following Project:
The parties hereto entered into an agreement dated the twenty-eighth (28th) day of August, 2017 for survey,
design and preparation of plans, specifications, and estimates for the Ansborough Avenue from U.S. 20 to San
Marnan Drive Improvements in the City of Waterloo.
The Owner desires to employ the Consultant to provide additional work in connection with the construction of the
improvements. The Consultant is willing to perform the construction -relates services in accordance with the
terms hereinafter provided and warrants that it is in compliance with Iowa statutes relating to the licensure of
professional engineers.
ARTICLE 1 INITIAL INFORMATION
This Agreement is based on the following information and assumptions.
1.1 Project Parameters
The objective or use is:
Provide topographic surveys and design to add a multi -use trail to the north side of San Marnan Drive
from Ansborough Avenue to the east line of the Sunnyside South Addition.
1.2 Financial Parameters
1.2.1 The financial parameters are;
Amount of the Owner's budget for the Consultant's compensation is:
Eighty-eight thousand six -hundred eighty dollars and no/100 cents ($88,680.00)
1.3 Time Parameters
1.3.1 Date to Proceed: Consultant is to begin work under this Agreement upon receipt of a written
notice to proceed from the Owner.
1.3.2 This Agreement Amendment does not alter the schedule presented in the original Contract
Agreement.
ARTICLE 2 SCOPE OF SERVICES AND OTHER SPECIAL TERMS AND CONDITIONS
2.1 Enumeration of Parts of the Agreement.
2.1.1 The work to be performed by the Consultant under this Agreement shall encompass and include
all detail work, services, materials, equipment and supplies necessary to prepare and deliver the
scope of services provided in Attachments A.

ARTICLE 3 FORM OF COMPENSATION
3.1 Method of Reimbursement
3.1.1 For the Consultant's services as described under Article 2, compensation shall be as defined in
Attachment C.
ARTICLE 4 TERMS AND CONDITIONS
4.1 Extension of Time
4.1.1 The time for completion of each phase of this Agreement shall not be extended because of any
delay attributed to the Consultant, but may be extended by the Contract Administrator in the
event of a delay attributed to the Owner or the Contract Administrator, or because of
unavoidable delays caused by an act of God, war, government actions, or similar causes beyond
the reasonable control of the Consultant.
4.2 Consultant's Endorsement on Plans
4.2.1 The Consultant shall endorse the completed computations prepared under this Agreement, and
shall affix thereto the seal of a licensed professional engineer or architect, licensed to practice in
the State of Iowa, in accordance with the current Code of Iowa.
4.3 Severability
If any section, provision or part of this Agreement shall be adjudged invalid or unconstitutional, such
adjudication shall not affect the validity of the Agreement as a whole or any section, provision, or part
thereof not adjudged invalid or unconstitutional.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their proper officials
thereunto duly authorized as of the dates below indicated.

ATTACHMENT A
Scope of Services
Scope of Services
The scope of services to be performed by the ENGINEER shall be completed in accordance with generally
accepted standards of practice and shall include the services and supplies to perform tasks listed below.
Additional Topographic Surveys
Topographic Surveys — This item includes the field and office tasks to perform the research and field
measurements to provide the necessary topographic information for the Project to supplement the survey
data or mapping information already collected by the City of Waterloo or others within the Project corridor
in recent years. The information to be collected includes topography and visible permanent
improvements and features. It is anticipated that the topographic survey corridor lengths and widths will
be as follows:
San Marnan Drive
South limit will be the north edge of the existing San Marnan Drive pavement.
North limit will be approximately 10 feet north of the out-of-bounds stakes on the golf course.
East limit will be Ansborough Avenue.
West limit is approximately the east line of the Sunnyside South Addition.
II. Multi -Use Path Design
Sidewalk, Shared Use Paths, and Pedestrian Ramp Geometrics — This task includes the determination of
the detailed horizontal and vertical geometry for:
• A new eight -foot wide shared -use path along the north side of San Marnan Drive from
Ansborough Avenue to the east end of Sunnyside South Addition. The shared use path shall be
constructed within the existing right-of-way line of San Marnan Drive, and
• the proposed shared -use paths within the roadway corridor that will be constructed in accordance
with Americans with Disabilities Act (ADA) requirements for the roadway construction.
o Details will include station locations and offsets and grades and spot elevations shared
use path locations, such as sections across drainage way. Included is the development
of additional storm water management and erosion control plans to accommodate
construction of the new shared use path.

IV. Owner's Responsibilities

Fees and Payments - Cost Plus Fixed Fee
3.1.1 FEES AND PAYMENTS
3.1.1.1 Fees. For full and complete compensation for all work, materials, and services furnished under
the terms of this Agreement Amendment, the Consultant shall be paid an additional fee as
outlined below.
