COUNCIL INVOCATION GUIDELINES/APPLICATION
The City of Waterloo welcomes all people to present an invocation prior to City Council meetings on the first
meeting of each month.
Legislative prayer is deeply embedded in the history and tradition of this country and has coexisted with principles
of the separation of church and state. Under the Establishment Clause in the First Amendment of the Constitution it
is meant to lend gravity to the occasion at the opening of legislative sessions. Solemn words, respectful in tone that
invite City Council members to reflect upon shared ideals and common ends before they embark on the fractious
business of governing serves that legitimate function. Based on Constitutional interpretations rendered by the
United States Supreme Court the invocation should be non-sectarian and offer members of the City Council a time
of reflection and encouragement. It is an opportunity to convey a common message of shared values and ideals
derived from our American heritage.
Council meetings are held in the Council Chambers, 2nd floor of City Hall, and start promptly at 5:30 p.m. Please
arrive 15 minutes early. After roll call is taken, Mayor will call you forward. Please come forward to the podium and
state your name and address. The invocation should be one minute or less. It is acceptable and permissible to use
the name "God" or "Holy Spirit" and other names commonly utilized by most religions. In respect to others, please
do not use names such as Jesus, Allah, Buddha, or other names that are exclusively utilized by one religious sect.
You must refrain from making references that are specific to any particular religion, denomination or sect or that
promote particular religious figures, deities, images or symbols. The use of physical symbols or props is prohibited.
The invocation should not be used to proselytize or advance any one faith, belief or non -belief, nor should it be
used to disparage any other faith, belief or non -belief. When closing your prayer, you may say "in your name" or "in
your many names" without using the name of your belief.

Hotel Agreement
Leslie Hospitality (LK Holdings Waterloo, LLC)
- They purchase hotel ($4 million).
- They invest estimated $14 million into hotel (property improvements list attached to DA). Starting
within 6 months and completing within 18 months.
- They sign Minimum Assessment Agreement at $10 million, until 2058. 1 his is a separate document
that is part of the DA which does not allow them to fight their value below this amount during the
duration of the MAA.
- They pay for parking at ramp, with up to 200 spots reserved for them at rates determined by City
Policy.
- They will hire no fewer than 100 employees for staffing of hotel and convention center. They must
submit written reports to verify employment levels due at rebate payments.
- They must maintain a 4 -diamond rating hotel on site for term of agreement. Ibis rating is judged by
the Lodging Approval Requirements and Diamond Rating Guidelines issued by the American Automobile
Association. If the hotel flag changes to a lesser quality product, the City at its sole option may
terminate this Agreement and cancel any additional benefits that accrue to Company under this
agreement.
City
- Rebates from added value above current value of $1,617,050. Rebate payments do not start until
project is at completed value, not a partial value. Rebates are not given until Company has actually paid
general property taxes due and owing for such year.
- Rebates at 20 years at 85%. Estimated value of rebates is $4.3 million over 20 years.
- Return of hotel/motel revenue above base of $125,000 per year, for 20 years at 100%. Estimated
value is $2.3 million over 15 years. Company must file with City their quarterly or monthly sales tax
returns as filed with the State of Iowa.
Note: There is a Cross -Default section in both agreements that note if one agreement is in default, the
other is in default. The City shall be entitled to exercise any or all remedies available to it under either
agreement or under applicable law.
Both agreements note that there is a Binding Effect for respective successors, assigns, and legal
representatives. That is, if the properties are sold, the same requirements and benefits apply. There are
further sales restriction under Convention Center DA below.
Convention Center Agreement
Leslie Hospitality (LK Holdings Waterloo, LLC)
- They upgrade and renovate facility at estimated minimum cost of $6,000,000. (List of improvements
attached to Agreement). Start within 6 months and be completed within 18 months. If not started
within 6 months, title shall revert back to City, unless an extension of time is given by Council.
- They pay for parking at ramp, with 200 spots reserved for them. At rates determined by City Policy.
- They sign Minimum Assessment Agreement at $5 million, until 2049. This is a separate document that
is part of the DA which does not allow them to fight their value below this amount during the duration
of the MAA.
- They will hire no fewer than 100 employees for staffing of hotel and convention center. They must
submit written reports to verify employment levels due at rebate payments.
- They must maintain insurance until City releases reversion rights, for minimum value of Minimal Actual
Value of $5,000,000.
- Escrow account at 4% of operating revenues (defined in Agreement) or $100,000 minimum for
maintenance and improvements. First contribution will be after second year of operation.
- They must maintain a 4 -diamond rating hotel on site for term of agreement. This rating is judged by
the Lodging Approval Requirements and Diamond Rating Guidelines issued by the American Automobile
Association.
- Name will be Waterloo Convention Center at 5 Sullivan Brothers Plaza
City
- Convey Convention Center for $1.00, including skywalk. City has no duty to convey title to Company
until satisfactory proof of financial ability to undertake and carry on project.
- Grant of $700,000 after exterior improvement plans approved by DBMT and Building Official.
- Grant of $350,000 .iter interior improvements completed.
- City not to give incentives to another events center — over 10,000 sq. ft. - for 10 yrs
- Must remain a convention center unless city gives consent to change. If company changes use without
consent, property reverts to City.
- Rebates paid from added value above current value of $2,500,000
- Rebates at 15 years at 34%. Estimated value $355,000. Rebate payments do not start until project is
at completed value, not a partial value. Rebates are not given until Company has actually paid general
property taxes due and owing for such year. Rebates percentages can be changed by Review Board — if
scoring low, placed on probationary status and rebate payable in the succeeding year will be adjusted
down to a 25% rebate. Each year is separately evaluated.
- Review Board comprised of 2 city staff, Convention and Visitors Director, Main Street Director,
WDC member, a representative of a large convention user, and Leslie Hospitality member
to semi-annually to evaluate the use, operation, and condition of the Convention Center. The Board
will annually rate the evaluation criteria (including user attendance, service satisfaction metrics, etc.)
Board to review that building is being kept up, or may make recommendation to not pay rebate. If the
Company does not agree with Board, can go to arbitration per State Code 679A.
- Repurchase sliding scale and city approval of sale in agreement. Includes City's approval to sell, with
requirements of 10 years of experience in profitably operating facilities of similar size and agreement to
assume all obligations of Company in Agreements. City further holds a right of first refusal for same
price stated in offer, with credit given for
a) Assessed value of property at time of conveyance ($2.5 million) plus economic development
grant ($700,000 and $350,000) on or before December 31, 2023.
b) Assessed value of property at time of conveyance ($2.5 million) between January 1, 2024 to
December 31, 2028.
c) $250,000 after December 31, 2028.
