AMENDMENT TO DEVELOPMENT AGREEMENT
This Amendment to Development Agreement (the "Amendment") is entered into as of
, 2018, by and between the City of Waterloo, Iowa ("City") and Cardinal
Construction, Inc. ("Company").
RECITALS
A. Company and City are parties to that certain Development Agreement dated
August 7, 2017 (the "Agreement") concerning the development of property as
described in the Agreement.
B. The parties desire to amend the Agreement on the terms set forth herein.
NOW, THEREFORE, in consideration of the premises and of other consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties hereby agree to amend the
Agreement as follows:
1. The Agreement is amended to add the following new Section 2.1:
2.1. Platting of Property. The parties agree that the Property is to be
platted as Brock Third Addition. The parties will cooperate in formulating and
finalizing the plat. Company acknowledges that it has reviewed preliminary and
final plats of Brock Third Addition and hereby consents to said platting.
2. Exhibit "A" is hereby stricken in its entirety, and a new Exhibit "A" as attached to
this Amendment is substituted in its place.
3. Except as modified herein, the Agreement shall continue unmodified in full force
and effect. Capitalized terms used herein that are not defined in this Amendment shall have the
meaning attributed to them in the Agreement. The Agreement and this Amendment shall inure
to the benefit of and be binding upon the parties and their respective successors and assigns.
IN WITNESS WHEREOF, the parties have executed this Amendment to Development
Agreement by their duly authorized representatives as of the date first set forth above.

Waterloo June 03, 2009) and the Legal Description in Land Deed 570, Pages 898 and 899 (deeded to Marlene J. Brown
November 30, 1998). The exception reads as follows:
"...Except the East 200 feet of the North 200 feet of the South 1,380.5 feet thereof;...".
The legal description reads as follows:
"A part of the East half of the Southeast Quarter of Section Thirty-two (32), Township Eighty-nine (89) North, Range Thirteen
(13) West of the 5th P.M. in Black Hawk County, Iowa, commencing at a point on the East line of said Southeast Quarter
which is 1,380.5 feet North of the Southeast corner of said quarter section; thence West on a line parallel with the South line
of said Southeast Quarter 230 feet; thence North one a line parallel with the East line of said Southeast Quarter a distance of
200 feet; thence East on a line parallel with the South line of said Southeast corner* a distance of 230 feet; thence South
along the East line of said Southeast Quarter to the point of beginning, except all legal highways.

RESOLUTION NO. 2018-116
RESOLUTION APPROVING AMENDMENT TO THE
DEVELOPMENT AGREEMENT WITH CARDINAL
CONSTRUCTION OF WATERLOO, IOWA, APPROVED
AUGUST 7, 2017, FOR THE PROPERTY TO BE PLATTED AS
BROCK THIRD ADDITION, AND AUTHORIZE THE MAYOR
AND CITY CLERK TO EXECUTE SAID DOCUMENTS.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WATERLOO, IOWA,
that the First Amendment to the original Development Agreement dated August 7, 2017, between
Cardinal Construction, Inc. and the City of Waterloo, Iowa, for the sale of property located
northwest of 1318 Martin Road and to be platted as Brock Third Addition, is hereby approved
and the Mayor and City Clerk are authorized and directed to execute the same on behalf of the
City of Waterloo, Iowa.
