Our local team has years of experience in collection, processing, and marketing of recyclable materials. We take great pride in safely and efficiently serving our customers and maximizing their returns on material. In our work plan, we have included the best options we feel are available for processing the sorted and single stream materials collected by the City. Included is an alternative fee structure that we feel best protects and rewards both parties in a changing recycling marketplace. Trucks will be scaled in and directed to their designated tip floor. Once offloaded the trucks will scale out and our forklift operators will transfer the material into van trailers for transport to Cedar Rapids. At this point it will run our single stream line to be sorted into the end market grades for shipment. Personnel directly responsible for these processes are as follows: Mike Arens—Operations Manager—Mike has over fifteen years of operations management experience. Locally he operated the Republic Cedar Rapids material recover facility for two years prior to expanding into the operations manager position. Mike oversees operations of three of Republic's Iowa material recovery facilities and is integral in the movement both inbound and outbound for our material sales. Elliot Lambert—Operations Supervisor Material Recovery Facility/Hauling Division—Elliot has 2 years of industry experience with Republic Services. He has 20+ years in operations management and process improvement. He specializes in operations management, continuous improvement, and employee engagement. Elliot is responsible for all plant operations and employees at our Cedar Falls,Iowa location. All materials will be scaled in at our Cedar Falls location as the City of Waterloo trucks arrive. All of our scales are certified by the state of Iowa annually. A loaded inbound weight will be taken first, identified by each truck, and then completed when the vehicle is weighed empty. From there the material will be taken to Cedar Rapids. Republic Services will evaluate single stream materials by weight and grade once sorted. Once processing is completed,percentages will be utilized when calculating a potential rebate. These percentages are based off of materials recovered once they have folly run our sorting line as opposed to what is delivered on the tip floor prior to processing. Reporting will include a monthly pricing matrix showing materials by percentage,by weight, and markets to be paid from, as well as processing charges. This will be utilized when billing the processing charge and calculating the rebate. The report will be sent over monthly to the City of Waterloo along with a detailed report by truck that has been entered into our recycling scale program. Republic Services welcomes the opportunity to help promote more and better recycling habits within the communities we serve. Our staff and facilities are available to work with the City in developing materials for all types of media campaigns. We hold community events and work with our commercial customers to better engage proper recycling habits. Our fleet is available for scheduled events and is a good way to get kids interested and excited for the information we present. No assistance will be needed from the City of Waterloo for completion of the work outlined in the request for proposal. Republic Services will discuss any items in the Exceptions and Deviations at the time of negotiations. No subcontractors will be utilized in completion of the outlined work. Republic Services's primary focus is safety and we our known industry wide for our environmentally sound practices. RFP pricing and service options are only valid under the condition that the City of Waterloo can provide recycling receptacles specicifically for recycling for the households participating in the single stream recycling program. 2. Secton II —C. Contract Term a. Point 2, the Extension of the contract after the initial one (1) year term is at the Mutual discretion of both the City of Waterloo and Republic Services. b. Point 4, formal contract renewal will be issued, in writing, ninety (90) calendar days prior to expiration date of the current term. 3. Section IV 1.- C. Insurance Requirements — Certificate of Insurance; Cancellation or Material Modification. a. Remove the word "of' after approval. b. Add the word "material" after the word "any" and before "change" c. Strike (C) (1) (C) 4. If Republic Services is awarded the bid, we reserve the right to negotiate a mutually acceptable contract as alloved under Section IV (E)(2). 5. Records. Section II(G) should contain the following modifications: a. Only those books and records that are non-confidential and relevant to the services provided are available for inspections/copying. b. Republic should only be required to retain the books and records as required under applicable law. c. Any audits shall be paid for by the City and shall be conducted under mutually acceptable terms at Republic's premises. #18-51 REQUEST FOR PROPOSALS TO ��� REPUBLIC PROVIDE RECYCLING PROCESSING SERVICES j SERVICES 6. Contract Alterations. Section IV(F)(4) should be modified so the parties must mutually agree on any changes to the contract or scope of service. 7. Contract Sublettine. The following modifications should be made to section IV (F)(6): a. Contractor may assign this Agreement without the City's consent to its parent company or any of its subsidiaries, to any person or entitiy that purchases any operations from Contractor or as a collateral assignment to any lender to Contractor. b. Contractor may provide any of the services covered by this Agreement through any of its affiliates or subcontractors, provided that Contactor shall remain responsible for the performance of all such services and obligations in accordance with this Agreement. 8. Delivery Failures. Strike the following language from Section IV(F)(9): "When such failure occurs the City reserves the right to cancel or adjust the contract, whichever is in the best interest of the City . . . Acceptance will be at the sole discretion of the City." 9. Force Majeure. The following modifications should be made to Section IV(F)(10): a. This sentence should be deleted: "Under such circumstances, however, the City may at its discretion cancel the contract." b. The following should be added: "The collection or disposal of any increased volume resulting from a flood, hurricane or similar or different act of God over which Contractor has no control, shall not be included as part of Contractor's service under this Agreement. In the event of increased volume due to a Force Majeure event, Contractor and the City shall negotiate the additional payment to be made to Contractor. Further, the City shall grant Contractor variances in routes and schedules as deemed necessary by Contractor to accommodate collection of the increased volume of Recycling Materials." 10. Indemnification. The following modifications should be made to Section IV(F)(11): a. The following should be added to Section IV(F)(11): "Except as otherwise specifically set forth herein, each party shall be responsible for any and all claims for personal injuries or death, or the loss of or damage to property, only to the extent caused by that party's (1) negligence or acts of willful misconduct or those of its employees, contractors, subcontractors, or agents; or (2) breach of this Agreement. c. The following should be deleted from Section IV(F)(11): "Save the City, its agents and employees harmless from liability of any nature or kind for the use of any copy-right or non-copyright composition, secret process, license, patented or unpatented invention, article, apparatus, or appliance, including any device or article forming a part of the apparatus or appliance of which the Proposer is not the patentee, assignee, licensee or owner, furnished or used in the performance of the contract 11. Additional terms. The following are additional terms that Republic requests for the final contract: a. Excluded Waste. Excluded Waste means (1) hazardous waste; (2) radioactive, volatile, corrosive, highly flammable, explosive, biomedical, infectious, biohazardous, or toxic waste as defined by applicable law; or (3) any otherwise regulated waste. b. Title to Waste. Title to Recyclable Material shall pass to Contractor when loaded into Contractor's collection vehicle or otherwise received by Contractor. Title to and liability for any Excluded Waste shall at no time pass to Contractor. c. Right to Refuse or Refect Excluded Waste. If Excluded Waste is discovered before it is collected by Contractor, Contractor may refuse to collect the entire container that contains the Excluded Waste. In such situations, Contractor shall contact the City and the City shall promptly undertake appropriate action to ensure that such Excluded Waste is removed and properly disposed of by the depositor or generator of the Excluded Waste. In the event Excluded Waste is present but not discovered until after it has been collected by Contractor, #18-51 RREQUEST FOR PROPOSALS TO W REPUBLIC PROVIDE RECYCLING PROCESSING Z� SERVICES SERVICES Contractor may, in its sole discretion, remove, transport, and dispose of such Excluded Waste at a facility authorized to accept such Excluded Waste in accordance with applicable law and charge the depositor or generator of such Excluded Waste for all direct and indirect costs incurred due to the removal, remediation, handling, transportation, delivery, and disposal of such Excluded Waste. The City shall provide all reasonable assistance to Contractor to conduct an investigation to determine the identity of the depositor or generator of the Excluded Waste and to collect the costs incurred by Contractor in connection with such Excluded Waste. Subject to the City providing all such reasonable assistance to Contractor, Contractor shall release City from any liability for any such costs incurred by Contractor in connection with such Excluded Waste, except to the extent that such Excluded Waste is determined to be attributed to the City. d. Recycling Specifications. Recyclable Materials shall comply with any and all specifications provided by Contractor in order to meet quality thresholds for commodity markets and be free of contamination. To the extent any type of Recyclable Material received is rejected by the recycling facility or is not of the intended quality or grade, Contractor will notify the City and the City shall pay any damages, costs, and penalties incurred by Contractor due to such rejection or lesser quality or grade, to include transportation and disposal costs for the residual material. If market conditions develop that limit or inhibit Contractor from selling some or all of the Recyclable Materials, Contractor may (i) suspend or discontinue any or all Recycling Collection services, or (ii) dispose of the Recyclable Materials in a landfill and update the City's rates accordingly. e. Damage to Pavement.
