MIEHE, CCIM COMMERCIAL SPECIALIST BROKERAGE FEE AGREEMENT (City Owned Development Property) In consideration of the services of Fischels Commercial Group, Broker, we the undersigned owners of the property known as: Four (4) Tots: 1420-1422-1426-1430 Commercial St. Waterloo Iowa agree to the following: 1. Should said property, in whole or in part, be sold by us, at the price and upon the terms which we may authorize or accept, we agree to pay Broker a fee of 3% of the Minimum Assessed Value as defined in the Development Agreement for said property. 2. Payment of fee shall one-half (1/2) payable when ground is broken for the first building, and the second one-half (1/2) will be paid within fourteen (14) days after Company receives a certificate of occupancy for the first building. 3. In the event of any dispute or litigation as a result of or arising from this Brokerage Fee Agreement, the prevailing party in such dispute or litigation shall be entitled to recover from the non -prevailing party al! reasonable costs incurred (including, but not limited to, attorneys' fees) as a result of such dispute or litigation. 4. This agreement is binding for 12 months from the date of this agreement.
