RESOLUTION NO. 2009-897
RESOLUTION OF THE CITY OF WATERLOO REGARDING
ITS INTENT TO SELL REAL PROPERTY.
WHEREAS, the City of Waterloo is the owner of real property
known as parcel no. 8913-25-255-002 (the "Property" ) , which lies
within an area bounded by Elm Street, Mulberry Street, Vinton
Street and Lafayette Street; and
WHEREAS, the City has been working with Operation Threshold
("OT" ) and the Iowa Department of Corrections ("IDOC" ) for a
project to develop the Property, and said organizations have
secured a substantial portion of necessary funding for the
project; and
WHEREAS, to facilitate further efforts by OT and IDOC to
secure funding sources and to finalize project plans, the City
desires to state its intention to sell the Property to OT and
IDOC after project plans have been further developed and other
necessary conditions met .
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF
WATERLOO, IOWA, AS FOLLOWS:
Section 1 . The City Council does hereby state and affirm
its intention to sell the Property to OT and IDOC, subject to
finalization of project plans, development agreement terms, sale
terms, and other elements that the City deems reasonably
necessary or advisable to ensure the success of the project and
to comply with applicable laws and regulations, and subject
further to proper approval of all terms, conditions and
agreements by the City Council .
Section 2 . This resolution is adopted as a non-binding
statement of intent, upon the express understanding that the City
is in no way obligated to sell the Property or otherwise to
proceed with the project upon any particular terms, including
terms informally discussed before the date of this resolution.
The City shall be obligated with respect to the project and with
respect to OT and IDOC only as set forth in written agreements or
instruments that have been approved by the City Council or that
may be approved hereafter.
