F.O.B. — City and ZIP Lessor's responsibility to cease when Equipment is delivered in good order to Lessee or licensed carrier.
TERM OF LEASE:
1. The term of this lease shall be for

for like periods unless either party hereto gives the other party written notice of termination
days in advance of the expiration of any such period in which event this
lease shall terminate at the expiration of such period.
RENTAL RATE: t:
2. Lessee ay Lessor as rent therefore the sum of $ per (day)
(week) nth payable at the office of the Lessor (weekly in advance on every
(monthly in advance on the day of every

month). The foregoing rental rate is based upon use of the Equipment for 8 hours per day in the
case of rentals by the day, for 40 hours per week in the case of rentals by the week, and for 176
hours per month in the case of rentals by the month. If Lessee uses the Equipment in excess of
the foregoing, Lessee agrees to state in writing the number of excess hours the Equipment was
used in each period and to pay lessor as additional rent a sum calculated on whichever of the
following bases is applicable: if the Equipment is rented by the day, a sum equal to 1/8th of the
daily rate for each hour, or portion thereof, that the Equipment is used fn excess of 8 hours in
any one calendar day; if the Equipment is rented by the week, a sum equal to 1/40th of the
weekly rate for each hour or portion thereof that the Equipment is used in excess of 40 hours in
any one weekly term; if the Equipment is rented by the month, a sum equal to 1/176th of the
monthly rate for each hour or portion thereof that the Equipment is used in excess of 176 hours
M any one monthly term. Such additional rent for any period is payable on the sante date as the
next ordinary rent payment becomes due. Further, Lessee agrees to pay promptly any and all
taxes, assessments, licenses, and other government charges of any kind or nature against or
pertaining to the Equipment including but not limited to any such charges based upon Lessee's
interest therein, Lessor's ownership thereof; and the leasing thereof. Any sums received from
Lessee may be applied al Lessor's discretion to the obligations o s agre'ment to any
other obligations owed by Lessee to Lessor. Lessee also agrees to pay transportation charges
upon delivery thereof to Lessee and, upon termination of the lease, to pay transportation
charges thereon upon delivery to Lessor.
LESSEE'S REPRESENTATIONS:
3. Lessee represents that the Equipment shall be used only for business, commercial or
agricultural purposes. Lessee shall use the Equipment in accordance with all applicable
governmental laws, ordinances and regulations and shall keep and maintain the Equipment
free and clear of any claims, liens or encumbrances.
INSURANCE:
4.Lessee shall be liable for any loss or damage to the Equipment during the term of this lease.
Lessee shall, at it's expense, during the term of this lease, keep the Equipment insured against
loss or damage from fire, flood, explosion, theft, collision or otherwise with Lesssor named as
co-insured. The amount of such insurance shall not be less than $ 714:"0?" --4.44.4
Lessor shall be entitled to such portion or portions of the insurance proceeds as necessary to )i4?_V'
compensate the Lessor for Lessor's damages, including but not limited to, Lessor's lost rent,
residual fair market value of the Equipment, incidental and consequential damages, repair /4
costs, reasonable costs, disbursements and attorney's fees, and Lessee shall be entitled to the
balance of such proceeds, ff any. Lessee agrees to defend, indemnify and hold harmless Lessor
from and against any and all losses, including costs and expenses, by reason of claims for
injuries or death to persons and loss or damage to property arising out of possession, use or
operation of the leased Equipment by Lessee during the term of this lease and Lessee shall.
during the term of this lease, at its expense, carry liability insurance insuring Lessor and
Lessee, as their interests may appear, against such claims. The amount of such liability
insurance shall not be less than $ Lessee shall provide Lessor with evidence
of acquiring and maintaining insurance coverage required under this Lease within fifteen (15)
days of the date of the Lease and on an annual basis thereafter. Lessee shall not be relieved of
