MORTGAGE AMENDMENT This Mortgage Amendment (the "Amendment") is entered into as of I 1 45 120 h , by and between Cedar Valley Tech Works, Inc. ("Mortgagor") and the City of aterloo, Iowa, acting by and through its Community Development Board ("Mortgagee"). WHEREAS, by instrument dated July 1, 2009 and filed August 21, 2009 in the office of the Black Hawk County Recorder as Doc. No. 2010-03928, Mortgagor granted to Mortgagee a Forgivable Real Estate Mortgage in and to the real property (the "Property") described therein, which mortgage was amended by mortgage amendment dated June 27, 2012 and filed July 10, 2012 as Doc. No. 2013-00604 (collectively, said instruments are the "Second EDI Mortgage"); and WHEREAS, the parties desire to amend the legal description of the Property to modify the area that is subject to the Second EDI Mortgage. NOW, THEREFORE, the parties agree as follows: 1. The legal description of the Property as set forth in the Second EDI Mortgage as originally filed is hereby stricken in its entirety, and the following amended legal description is substituted in its place: Units 1, 2, and 3 and interests in the common elements appurtenant thereto in Tech 1 Commercial Condominiums, City of Waterloo, Black Hawk County, Iowa. 2. Except as expressly set forth herein, the terms of the Second EDI Mortgage shall continue unmodified in full force and effect. This Amendment represents the entire agreement between the parties concerning the subject matter hereof. This Amendment may be executed in one or more counterparts, each of which, including signatures transmitted by facsimile or other electronic means, shall be deemed an original and all of which, taken together, shall constitute one and the same instrument.
