This Access Agreement (the "Agreement") is entered into as of L 2020,
by and between City -of Waterloo, Iowa ("City") and 1-1 & A L.C. ("Owner' ). In consideration of
the possible acquisition and development of the property described in Exhibit "A" attached
hereto (the "Property"), and in consideration of the promises exchanged herein, Owner does
hereby grant to City, its employees, contractors and agents (collectively, "City Parties"), the right
to enter onto the Property for the purposes and on the terms set forth below.

view and assess the potential of the Property as a wetland. Said right of entry includes
such rights of ingress and egress as are reasonably necessary to conduct the inspection
and assessment,
2. City agrees to be responsible for any liability which may arise out of the activities of City
Parties on the Property, and in said connection City agrees to hold Owner harmless from
and against any and all claims, demands, actions, causes of action, and liabilities
whatsoever, of any type or nature.
3, The rights granted to City Parties herein shall terminate automatically upon completion of
the activities described above.
4. This Agreerxrerrt is binding upon the parties and their respective successors and assigns.
It represents the entire agreement between the parties concerning the subject matter
hereof and may not be amended except in a written instrument signed by both parties.
IN WITNESS WHEREOr, the parties hereto have executed this Access Agreement by
their duly authorized representatives as of the date first set forth above.
