Veterans Memorial Hall
Members present: White, Hastings, Hockey, Courbat, Dennis, Robinson, Mrzlak, Ambrosy,
Peyton.
Members absent: Miller, Tisdale, Ticknor, McMahon.
Also present: Suzy Schares.
Moved by Dennis, seconded by Courbat that the Agenda, as proposed, be approved. Ayes:
Nine.
Citizens Oral Comments
Dr. Doty Simpson -Taylor, Sister Soldier Network, explained that the organization is celebrating
Black Vietnam Veterans and they would like to collaborate with Memorial Hall Commission.
They will put a proposal together and bring it back in September.
Treasurer's Report
Marcia Courbat gave the Treasurer's Report. Ms. Courbat reported that the Commission has
sold 2,819 bricks at $50.00 each and 4 bricks at $250.00 each for a total of $141,950.00, with a
balance of $8,648.53 in the Brick Fund. She received $300.00 to add to the brick fund. The bills
presented were $72.00 for the post office, $32.00 for Richard Hastings (reimbursement for
flower purchase), and $275.00 for brick engraving to Black Hawk Memorial Company.
Moved by Ambrosy, seconded by Mrzlak, that the above payments be approved. Ayes: Nine.
Chairperson's Report
Chairperson White reported that the 7th Annual Honor Flight was a success. The next flight will
be September 17, 2013. He noted there have been funds stolen from several donation locations.
Committee Reports
Building, Grounds & Operations —Richard Hastings reported the fiber optics are broken and not
up and running yet. The downspouts will be painted this year. Floor Decor gave a quote of $168
a piece for 16 shades for the upper level. Jim Aronson's quote was $170.00 and Scott's Custom
Window Treatment gave a bid of $2,796.98 for the upper and lower level. The Commission
requested samples. Mr. Hastings noted that the flowers are in good shape and the sheet covers
need to be replaced in the brick directory.
Finance/Fundraising—Marcia Courbat reported that the brick engraving fee may increase. It was
suggested that she contact the UAW to do a gate collection to raise funds for the Commission.
Operations —Michael Dennis reported that the Gold Star Mothers have expressed concern with
missing pictures.
Unfinished Business
The MOU with the Department of Iowa has been reviewed by the City Attorney.
New Business
None
With no further business before the Commission, it was moved by Hastings, seconded by
Courbat that the meeting be adjourned at 5:58 p.m. Ayes: Nine.

Reference is made to you Memorandum to Suzy Schares dated April 1, 2013 regarding
the Memorandum of Understanding between the Veteran's Memorial Commission (VMC) and
the Iowa Department, Sons of Union Veterans of the Civil War (SUVCW).
On behalf of the Department, of which I am currently the duly elected Chief of Stall; we
are agreeable to the terms set forth in Paragraphs 1 through 3, 6 and 7 of your Memo. Paragraph
4 asks a question which is best addressed to the VMC, although it is my understanding that there
is some kind of security system for the Veteran's Memorial Hall.
With regard to Paragraph 5 regarding the duty to procure or maintain insurance coverage
protecting against loss or damage to items deposited by the Department or its members or
affiliates, it is my understanding that the VMC currently maintains property and casualty
insurance on the Hall, which includes the contents. While I appreciate your recommendation
that the MOU not state any duty of the VMC to the Department, under the circumstances, this
would appear to be a moot point. As of now I do not believe that there are currently any items
on deposit at the Memorial Hall having any value, (other than intrinsic value) which would again
make the point moot. Under the MOU, I think it sufficient that either party has the right to
maintain its own insurance, at its own cost, while neither party has the dutv to maintain such
insurance. That being said, we should be able to finalize and execute the MOU once the VMC
has received your approval. As for execution, please be advised that I already have obtained
authorization to execute the final Document as Department Chief of Staff; although it should be
countersigned by Jake Grim as the elected Department Commander for 2013-14.
Please advise the VMC that it is ok to execute the MOU as per this letter so we can move
ahead to its final execution. It you see any further problems or concerns, please let me know.

1. The VMH Commission can enter into agreements, subject to
council approval.
2. Paragraph 1 should say that "Veterans Memorial Commission
has the right to accept or reject any specific item or any class of items that the Department of Iowa proposes to place in
Veterans Memorial Hall for safekeeping."
3. Paragraph 2 should also provide: "; provided, that Veterans
Memorial Commission shall have no duty to implement more than reasonable measures to keep, preserve or maintain
such items, nor to undertake any measures that are not already in place to keep, preserve or maintain any collection of
papers or artifacts already on deposit in Veterans Memorial Hall."
4. Paragraph 6- Is there a security system in place currently?
5. In paragraph 8, add "Veterans Memorial Commission has not
duty to procure or maintain insurance coverage of any type or nature to protect against loss or damage to items
deposited by the Department of Iowa or any of its members or affiliates."
6. Add to the end of paragraph 9 - ", or until sixty (60) days
following written notice from Veterans Memorial Commission or the City of Waterloo to the Department of Iowa.
Regardless of the manner of termination, the Department of Iowa shall be solely responsible to remove all deposited
items at its sole cost and expense. In the event that the Department of Iowa fails to make a timely removal of deposited
items, the Commission or the City of Waterloo may remove said items and arrange for commercially reasonable off -site
storage of same, with the Department of Iowa being responsible to reimburse the Commission or City for any storage
costs incurred."
7. Paragraph 11 should say that it is subject to approval by
the Waterloo City Council. Also, someone should be careful to determine in advance who is going to sign, since specific
officers are designated here.
It might be better to simply say that the memorandum of understanding is being executed by the authorized officers of
each of the parties, subject to approval by the Waterloo City Council.
Any specific concerns? Is the Commission willing and capable of doing what this MOU calls for?
