Adjournment Suzy Schares City Clerk ,/,/7<5' 60 Co C 9o©. oo 8'71/S.53 42.4f-f-e-c MEMORANDUM OF UNDERSTANDING WHEREAS the Sons of Union Veterans of the Civil War is a fraternal patriotic education society organized to honor the heritage and patriotism of the Union Army and the veterans of the Union Army and their descendants and; WHEREAS the Department of Iowa is a subordinate unit of the Sons of Union Veterans of the Civil War, organized to honor the heritage and patriotism of Iowa veterans who served in the Union Army in the Civil War and their descendants, and; WHEREAS the Veterans Memorial Hall in Waterloo, Black Hawk County, Iowa has been designated by the Department of Iowa, Sons of Union Veterans of the Civil War as a repository for various items of property, records, relics, or memorabilia owned by, belonging to, retained, or otherwise of interest or of significance to the Department of Iowa, it's subordinate Camps, the Iowa role in the Civil War, the Sons of Union Veterans of the Civil War, and its predecessor, the Grand Army of the Republic, or its Posts, WHEREAS the Veterans Memorial Hall in Waterloo, Black Hawk County, Iowa is held and operated by the Veteran Memorial Hall Commission, NOW, therefore, IT IS AGREED AND UNDERSTOOD as follows: 1. That any and all items placed in the Veterans Memorial Hall by or in behalf of the Department of Iowa, any of its subordinate Camps, the Sons of Union Veterans of the Civil War or the Grand Army of the Republic, or any of their predecessors, successors, subordinates, assignors, assignees, bailees, contributors, or members, has been and shall henceforth be considered the property of the Department of Iowa, placed in the care, custody, control of the Veterans Memorial Hall solely for safekeeping in perpetuity, and not for purposes of ownership. 2_ That all such items so placed in the Veterans Memorial Hall shall be kept, preserved, curated and maintained in the same condition as when such items were so placed in the Veterans Memorial Hall 3. That there shall be no rental due or payable from the Department of Iowa, its subordinate camps or the Sons of Union Veterans of the Civil War, to the Veterans Memorial Hall for the bailment, storage, care or control of the various items of property, records, relics or memorabilia's owned by, belonging to, retained or otherwise of interest or significance to the Department of Iowa, its subordinate camps, the Sons of Union Veterans of the Civil War or its predecessor, the Grand Army of the Republic or its Posts. 4. That the Department of Iowa and the Veterans Memorial Commission shall each keep and maintain duplicate copies of an inventory of the property of the Department of Iowa to be deposited with, stored, kept and maintained at the Veterans Memorial Hall in Waterloo, Iowa. However the Department of Iowa may separately keep and maintain their own catalogue of the property to so be deposited with, stored, kept and maintained as provided herein. 5. That the Veterans Memorial Commission shall provide appropriate keyed cabinets, floor and wall space for the storage and maintenance of the property to be deposited with, stored, kept and maintained as provided herein. However, the Department of Iowa may provide appropriate cases for the display and curation of the property to be so deposited with, stored, kept and maintained as provided herein. 6. That the Veterans Memorial Commission shall at all times, keep and maintain the Veterans Memorial Hall in good and safe condition, including suitable temperature control and security and fire alarm systems. 7. That in the event that any property of the Department of Iowa deposited, stored, kept or maintained, pursuant hereto, or any items or objects thereof shall become unstable or constitute a threat to the safety or security of the Veterans Memorial Hall, or to any other property deposited, stored kept or maintained in the veterans Memorial Hall, same may be forthwith removed from the Veterans Memorial Hall, with good and sufficient notice to the Department of Iowa to immediately secure and retain the property so removed. 8. That the Department of Iowa shall have the right to procure and maintain separate fire, theft, flood or other casualty insurance on the property to be so deposited, stored, kept or maintained in the Veterans Memorial Hall, and the Veterans Memorial Hall Commission shall have the right to procure and maintain fire, theft, tornado, flood or other casualty insurance upon the Veterans Memorial Hall and any other property contained in said building. In the event of loss or casualty, the Department of Iowa and the Veterans Memorial Hall Commission shall cooperate in preparing, making or submitting any claim upon said insurance necessary or proper in the premises. 9. That such placement and bailment shall continue in perpetuity unless the items placed for safekeeping are reclaimed by a formal vote and resolution of the Department of Iowa, or until the repository of the Veterans Memorial Hall is determined to be no longer acceptable to the membership of the Department of Iowa by formal majority vote at an annual Encampment or in other emergency session, pursuant to the By-laws of the Department. 10. That in the event that the Veterans Memorial Hall be closed and shall no longer function as a repository due to exigent circumstances beyond the control of the Veterans Memorial Hall Commission, said facility shall deliver sixty (60) days notice of intent that the Veterans Memorial Hall be closed or no longer function as a repository and shall provide the Department of Iowa all available assistance in locating and designating an alternate site as a repository for the Department of Iowa, Sons of Union Veterans of the Civil War. 11. That the Commander and Counsel of Department of Iowa shall execute this Memorandum of Understanding on behalf of the Department of Iowa, while the General Chairman and Chairperson of Operations shall execute this Memorandum of Understanding on behalf of the Veterans Memorial Hall Commission.
