Be it enacted by the City Council of the City of Waterloo, SECTION 1. CREATION; PURPOSE There shall be re-established a Riverfront Improvement Commission to promote the orderly acquisition, development, preservation, management and control of Riverfront properties for the inspiration, protection, use and enjoyment of the citizens. SECTION 2. BOARD ORGANIZATION (1) The Board of Riverfront Improvement Commissioners shall consist of three (3) members to be appointed by the Mayor with the approval of the Council. The regular, full term of office shall be six (6) years, with one member's term expiring every two years on December 31. The Commissioners shall hold their office until their successors are appointed and qualified. Said appointments to be made upon the expiration of each present elected term of office. (2) Persons Eligible for Membership Qualified electors of the City are eligible to membership on the Board of Riverfront Improvement Commissioners. (3) Compensation of Members All members of the Commission shall serve without compensation except their actual expenses, which shall be subject to the approval of the Council. (4) Filling Vacancies Vacancies occurring on the Board of Riverfront Improvement Commissioners shall be filled by the Mayor in the same manner as regular appointments, which appointment shall be to fill out the unexpired term for which appointment is made. (5) Officers and Duties The Officers of the Board shall be Chairman and Secretary. At its first organizational meeting, held in January of each year, the Board of Riverfront Improvement Commissioners shall elect a Chairman and Secretary who shall serve for such a term as the Board shall determine. The Chairman shall decide on all points of order and procedure, subject to these rules, unless directed otherwise by a majority of the Commission members in session at the time. The Chairman shall appoint any Committee found necessary to investigate any matter before the Commission. The Secretary shall sign all resolutions, legal documents, and keep the minutes of the Commission. In the absence of the Chairman, the Secretary shall be the presiding officer. SECTION 3. POWERS AND DUTIES OF THE BOARD The Board of Riverfront Improvement Commissioners shall have and exercise the following powers: (1) Jurisdiction To have exclusive control of all riverfront lands and facilities acquired by it or of any other property owned by the City and set apart for like purposes. (2) General Powers To direct and control all of the affairs of the Riverfront Improvement Commission. To employ such staff, employees and consultants as may be deemed necessary for the proper management of the Riverfront Improvement Commission. -2- (3) 2-(3) Acquisition and Sale of Real Estate To have the power to acquire real estate, within or without the City, for Riverfront Improvement purposes, by donation, lease, purchase or condemnation, take title to real estate in the name of the City of Waterloo in trust for riverfront improvement Purposes and hold it exempt from taxation. To sell, subject to the approval of the City Council, exchange or lease any real estate acquired by it which shall be found unfit or not desirable, unnecessary or not required for riverfront improvement purposes. (4) Leasing to Organizations To lease, under reasonable rules and requirements, a portion of any riverfront property under their jurisdiction for such time or times, not to exceed six (6) consecutive months, as the Commission shall deem proper. (5) Board Meetings Regular meetings of the Riverfront Improvement Commissioners shall be held monthly on the first Wednesday of each month. Special meetings of the Board may be called by the Chairman. All meetings shall be open to the public. A quorum shall consist of a majority of the Commissioners. The business of regular meetings shall consist of (a) approval of the minutes of preceding meeting; (b) reports; (c) unfinished business; (d) new business; (e) approval of bills. (6) Condemnation of Property If the Board of Riverfront Improvement Commissioners and the owners of any property desired by it for riverfront improvement purposes cannot agree as to the price to be paid therefor, it may cause the same to be condemned in the manner provided for taking land for municipal purposes. SECTION 4. CONTROL AND DISBURSEMENT OF FUNDS The Commission shall have the power to establish charges and disburse moneys received. The Council may annually appropriate a sum of money from the general funds for the payment of the expense of such commission. (1) Expenditure of Funds The Commission shall have full, complete and exclusive authority to expend for and on behalf of such municipality all sums of money so appropriated. (2) Grants, Gifts and Donations All grants, gifts, donations or payments whatsoever which are received by such munici- pality for riverfront improvement purposes shall be placed in the Riverfront Improvement Commission fund, to be used by said Commission in the manner and for the purposes designated by this ordinance. (3) Debt-Contracting Powers The Commission shall have no power to contract debts beyond the amount of its income for the current year. SECTION 5. RECORD OF PROCEEDINGS AND ANNUAL REPORT The Riverfront Improvement Commissioners shall keep a record of its proceedings. Furthermore, the Commission shall make an annual, detailed report to the City Council immediately after the close of each municipal fiscal year of the amounts of money expended and the purposes for which used, and such annual statement shall be published as part of the annual municipal report. SECTION 7. SEVERABILITY in the event that a section or subsection of this ordinance is declared unconstitutional or invalid, all other sections and subsections shall remain applicable. SECTION 8. REPEALER All ordinances and amendments or parts thereof which are in conflict with any section of this ordinance are hereby repealed. PASSED AND ADOPTED this 7r day of 1975.
