There were present Mayor Tim Hurley , in the chair, and the following named Council Members: Kincaid, Welper, Gunderson, Greenwood, Getty, Schmitt Absent: Cole - 2 - Council Member Greenwood introduced the following Resolution entitled 'RESOLUTION AUTHORIZING THE REDEMPTION OF OUTSTANDING GENERAL OBLIGATION BONDS, SERIES 1998A, DATED JUNE 1, 1998 AND GENERAL OBLIGATION BONDS, SERIES 1999A, DATED JUNE 1, 1999, OF THE CITY OF WATERLOO, IOWA, AND DIRECTING NOTICE OF REDEMPTION," and moved its adoption. Council Member Welper seconded the motion to adopt. The roll was called and the vote was, AYES: Kincaid, Welper, Gunderson, Greenwood, Getty Schmitt NAYS: none Whereupon, the Mayor declared the resolution duly adopted as follows: RESOLUTION NO. 2007-511 RESOLUTION AUTHORIZING THE REDEMPTION OF OUTSTANDING GENERAL OBLIGATION BONDS, SERIES 1998A, DATED JUNE 1, 1998 AND GENERAL OBLIGATION BONDS, SERIES 1999A, DATED JUNE 1, 1999, OF THE CITY OF WATERLOO, IOWA, AND DIRECTING NOTICE OF REDEMPTION WHEREAS, the City did by Resolution No. 1998-421 dated June 15, 1998, authorize the issuance of$5,000,000 General Obligation Bonds, Series 1998A, dated June 1, 1998 (the "Series 1998A Bonds"); and WHEREAS, the City did by Resolution No. 1999-401 dated June 14, 1999, authorize the issuance of$9,835,000 General Obligation Bonds, Series 1999A, dated June 1, 1999 (the "Series 1999A Bonds"); and WHEREAS, the Series 1998A Bonds and the Series 1999A Bonds maturing after June 1, 2006 and June 1, 2007, respectively, are redeemable in any order of maturity upon giving notice in the manner provided in the resolutions authorizing the issuance of the Series 1998A Bonds and the Series 1999A Bonds; and WHEREAS, it is deemed necessary and advisable that all of the Series 1998A Bonds and the Series 1999A Bonds be so redeemed and notices of redemption be given. - 3 - NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WATERLOO, IOWA: Section 1. The outstanding General Obligation Bonds, Series 1998A, dated June 1, 1998, maturing after June 1, 2007 in the principal amount of$2,900,000, shall be redeemed on August 1, 2007. Section 2. The outstanding General Obligation Bonds, Series 1999A, dated June 1, 1999, maturing after June 1, 2007 in the principal amount of$8,290,000, shall be redeemed on August 1, 2007. Wells Fargo Bank, N.A., as Registrar and Paying Agent for the Series 1998A Bonds and the Series 1999A Bonds, is hereby authorized and directed to cause notices of such redemption to be given not less than thirty (30) days prior to the redemption date. Section 2. The Chief Financial Officer is hereby authorized and directed to cause to be deposited with Wells Fargo Bank, N.A., from the proceeds of the General Obligation Bonds, Series 2007A, an amount sufficient to pay all principal and interest on the redeemed Series 1998A Bonds and the Series 1999A Bonds to the date of redemption. Section 3.
