RESOLUTION NO. 2020-762
RESOLUTION TO CONSENT AND AGREE TO THE ASSIGNMENT
AND TRANSFER OF CITY CONTRACTS WITH AMENT INC., TO
WILLET HOFFMAN INC., WHO HAS PURCHASED AMENT INC.,
AND AUTHORIZING THE MAYOR TO EXECUTE SAID
DOCUMENT.
WHEREAS, the City of Waterloo, IA and Ament, Inc. ("Ament"), entered into the
following contract(s):
Downtown Fiber Optic and Camera project, Iowa DOT Project Number STBG-
SWAP8155(769)—SG-07, City of Waterloo Project Number TOF-234, dated March 11,
2020 (the "Contract(s)").
Ansborough Avenue Improvements, Iowa DOT Project Number STP-A-8155(757)-87-
06; Agreement Number 2017-ICAAP-05, dated, January 27, 2020.
West Ridgeway Avenue at Greyhound Drive — Traffic Safety Improvements, dated July
14, 2020. (the "Contract(s)", and
WHEREAS, Ament has elected to enter into an Asset Purchase Agreement for the sale
substantially all of Ament's assets to Willett Hoffmann & Associates Inc. (the "Buyer"), in the
foreseeable future, and
WHEREAS, the Buyer desires to assume the Contract(s).
THEREFORE, the City of Waterloo, Iowa hereby consents and agrees to the assignment
and transfer of the Contract(s) to the Buyer contingent upon the successful consummation of the
transaction contemplated in the Asset Purchase Agreement, and authorizing the Mayor to execute
said document on behalf of the City of Waterloo, Iowa.
