There were present Mayor Tim Hurley , in the Chair, and the following named Council Members: Kincaid, Greenwood, Clark, Schmitt , Gunderson, WeJper Absent: col e * * * * * * * * Council Member Clark introduced the following Resolution entitled "RESOLUTION APPROVING THE REQUEST FOR QUALIFICATIONS AND PROCEDURES FOR THE SALE OR OTHER DISPOSITION OF PROPERTY IN THE CEDAR VALLEY ART MALL, AND DIRECTING SOLICITATION OF PROPOSALS" and moved that the same be adopted. Council Member Schmitt seconded the motion to adopt. The roll was called and the vote was, AYES: Kincaid, Greenwood, Clark, Schmitt, Gunderson, Welper NAYS: none Whereupon, the Mayor declared the Resolution duly adopted as follows: RESOLUTION NO. 2 0 0 5-12 6 RESOLUTION APPROVING THE REQUEST FOR QUALIFICATIONS AND PROCEDURES FOR THE SALE OR OTHER DISPOSITION OF PROPERTY IN THE CEDAR VALLEY ART MALL, AND DIRECTING SOLICITATION OF PROPOSALS WHEREAS, the City Council of the City of Waterloo, Iowa has heretofore approved and adopted the Downtown Waterloo Riverfront Urban Renewal and Redevelopment Plan, as amended (the "Urban Renewal Plan") for the Urban Renewal Area described therein (the "Project Area"); and WHEREAS, the City currently is seeking to acquire certain real property located generally in the area of the Cedar Valley Art Mall for purposes of offering the same for sale or other disposition for private redevelopment of a mixed-use building to complement the economic, recreational and cultural improvements planned for the Cedar Valley Art Mall and downtown Waterloo; and WHEREAS, the property to be offered for sale for such redevelopment is legally described as follows: - 3 - (hereinafter called "Disposition Parcel No. 1"); and WHEREAS, the City Council has determined to solicit proposals for the purchase and rehabilitation of the Disposition Parcel No. 1 through the use of a Request for Qualifications dated February 14, 2005 (the "RFQ"), so as to ascertain the identity and qualifications of all parties interested in acquiring the Disposition Parcel No. 1 for redevelopment, and the general nature and feasibility of the redevelopment of the Disposition Parcel No. 1 proposed by such parties; and WHEREAS, in order to establish reasonable competitive bidding procedure for the sale of the Disposition Parcel No. 1 in accordance with the statutory requirements of Section 403.8, Code of Iowa (2003), and to assure that the City extends a full and fair opportunity to all prospective redevelopers interested in submitting a proposal for the rehabilitation of Disposition Parcel No. 1, the RFQ has been prepared to describe the minimum requirements each proposal must satisfy in order to qualify for consideration with respect to its evaluation under the competitive criteria, the information and documents which must be submitted, and the schedule for submission; and WHEREAS, the RFQ includes specified Submission Requirements and the offering documents (each as defined or described therein) to be used for this offering; and WHEREAS, this Council believes it is in the best interest of the City of Waterloo to act as expeditiously as possible to offer this Disposition Parcel No. 1 for development as set out herein. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Waterloo, Iowa, as follows: 1. Disposition Parcel No. 1, legally described in the preambles hereof, shall be offered for sale or other disposition for uses permitted by the Urban Renewal Plan, and on the terms and conditions set forth in this Resolution. 2. It is hereby determined that in order to qualify for consideration, each redeveloper must submit a proposal which meets the requirements set forth in the attached RFQ, which RFQ is hereby approved and authorized to be distributed to potentially interested parties for the purposes set forth herein. 3. The Official Notice of this offering shall be a true copy of this Resolution, but without the RFQ referred to herein. Said RFQ shall be maintained on file for public inspection at the office of the City Clerk, City Hall, 715 - 4 - Mulberry Street, Waterloo, Iowa 50703. 4. The City Clerk is authorized and directed to secure immediate publication of said notice in the Waterloo Courier, a newspaper having a general circulation in the community, by publication of the text of this Resolution at least thirty (30) days prior to the date that proposals are due under the Timetable included in the RFQ. 5. The offering documents and procedures set forth in this Resolution and the RFQ are hereby determined to comply with the provisions of Section 403.8(2), Code of Iowa (2003), requiring "reasonable competitive bidding procedures" and said prescribed offering documents and procedures are determined to be the appropriate method for making the Disposition Parcel No. 1 available for rehabilitation and for establishing the fair market value of the Disposition Parcel No. 1. 6. The required documents for submission of a proposal shall be in substantial conformity with the provisions of the RFQ and shall include each of the documents described therein. 7. The Project Review Team described in the RFQ is hereby authorized to receive proposals for the purchase of the Disposition Parcel No. 1 described in the RFQ at the date and according to the procedures specified in the RFQ for receipt of such proposals and to acknowledge receipt of each such proposal; and said Project Review Team be and is hereby authorized and directed to analyze each such proposal for compliance and ranking, and thereafter to recommend to the City Council that a specific proposal and developer be selected for final negotiation of the terms of the development agreement. The Council shall then consider the negotiated proposal and determine whether the City should accept the negotiated proposal; provided, however, that the City of Waterloo reserves the right to waive informalities and irregularities in the bidding procedures provided for in this Resolution and the right to reject any and all proposals. - 5 - PASSED AND APPROVED this 14th day of February 2005.
