TO
AGREEMENT FOR RESIDENTIAL HOUSING CONSTRUCTION
This instrument is an addendum(the "Addendum")to that certain Chapter 28E Agreement-
Agreement for Residential Housing Construction(the "Agreement") dated August 21, 2017,by
and between City of Waterloo, Iowa("City") and Hawkeye Community College ("College"),
previously recorded as Doc. No. 2018-00004311. This Addendum shall be effective when
executed by both parties.
WHEREAS, the parties have identified a Project site in the 200 block of Newell Street, as
described on Exhibit"A" attached hereto(the "Property"), and desire to set forth the terms by
which they will undertake the Project;
NOW, THEREFORE, in consideration of the mutual promises set forth herein,the parties
hereby agree as follows:
1. Within thirty(30) days after execution of this Addendum by both parties, City
will convey the Property to College by general warranty deed.
2. Acting with appropriate diligence hereafter,the parties will agree on Project
designs,plans and specifications (the"Plans") and a not-to-exceed budget for the Project.
3. This Addendum is subject to all terms, covenants, conditions, and restrictions set
forth in the Agreement; provided, however,that to the extent of any conflict between this
Addendum and the Agreement, the terms of this Addendum shall prevail. Except as modified
herein, the Agreement shall continue in full force and effect. Capitalized terms used but not
defined herein shall have the meaning ascribed to them in the Agreement. The Agreement and
this Addendum shall inure to the benefit of and be binding upon the parties and their respective
successors and assigns.
IN WITNESS WHEREOF, the parties have executed this Project Addendum to Chapter
28E Agreement -Agreement for Residential Housing Construction by their duly authorized
representatives.
