TEMPORARY EASEMENT AGREEMENT
For consideration received, the undersigned ("Grantor") does hereby grant and convey unto the
City of Waterloo , Iowa ("Grantee") , a temporary easement across the following described
property (the "Property ") in the City of Waterloo , Black Hawk County, State of Iowa :
See attached Exhibit
in conjunction with improvements related to the Shaulis Road Reconstruction Hess Road to
Highway 218 , Project Parcel 3 , together with a right of ingress and egress thereon (the
"Project") .
This Temporary Easement is granted in accordance with, and subject to , the following terms ,
conditions, requirements and limitations :
1 . The Temporary Easement is granted to permit the contractors to properly grade the area
along the roadway and reconstruct driveways to ensure the proper slope adjacent to the road.
The term of this Temporary Easement shall begin on the date hereof and end on the earlier of
July 31 , 2023 or the completion of the Project. Grantee shall use the Property solely for the
foregoing purpose .
2 . Upon expiration of the Temporary Easement, Grantee, at its sole cost and expense, shall
restore the Property to substantially the same condition that it was prior to Grantee ' s use ;
provided that Grantor and Grantee agree that it will be re-graded as described in paragraph 1 .
3 . To the extent permitted by applicable law, Grantee shall indemnify and hold Grantor and
its affiliates harmless against any claim of liability or loss from personal injury or property
damage resulting from or arising out of the use or access to the Property by Grantee, its
contractors , consultants , subcontractors , subconsultants, materialmen, suppliers, and workers,
including the successors and assigns thereof, except to the extent such claims or damages are
caused by the negligence or willful misconduct of Grantor or its affiliates .
4 . Grantor reserves all rights attendant to its ownership of the Property, including but not
limited to the continued use and enjoyment of the Property for all purposes not inconsistent with
the terms and conditions of this Temporary Easement.
5 . In the exercise of the rights granted herein, Grantee will not permit or suffer any
mechanic ' s lien claims to be filed or otherwise asserted against the Property and will promptly
discharge, the same in case of filing of any such claims or proceedings for the enforcement
thereof.
6. This Temporary Easement will be governed by and construed in accordance with the
laws of the State of Iowa.

As owners of real estate needed for the above-referenced project and parcels, and
acknowledging the fact that we are entitled to just compensation for the subject property
interests, nevertheless, we desire to donate the permanent acquisition and temporary
easement. We hereby waive such compensation rights and will promptly execute the
necessary documents for the City of Waterloo, Iowa.
This donation to the City of Waterloo, Iowa, is made knowingly, voluntarily, and not under
coercion or threat of any nature by the City of Waterloo or its agents . Before signing this
fornz, we have had the opportunity to consult with our own legal and tax advisors. References
in the singular number include the plural , and vice versa.
