PUBLIC NOTICE IS HEREBY GIVEN that the above mentioned governmental body will meet at the date, time and place above set out. The tentative agenda for said meeting is as follows: $9,595,000 Sewer Revenue Refunding Bonds, Taxable Series 2004B X Resolution authorizing the redemption of outstanding Sewer Revenue Bonds, Series 1991A, dated December 1, 1991, Taxable Sewer Revenue Bonds, Series 1995, dated June 1, 1995 and Taxable Sewer Revenue Bonds, Series 1996A, dated June 1, 1996 Such additional matters as are set forth on the additional 12 page(s) attached hereto. (number) This notice is given at the direction of the Mayor pursuant to Chapter 21, Code of Iowa, and the local rules of said governmental body. SL-1— City Clerk, aterloo, Iowa Nancy Eckert July 8 , 2004 The City Council of Waterloo, Iowa, met in special session, in the Council Chambers, City Hall, Waterloo, Iowa, at 4 : 0 0 o'clock p.M., on the above date. There were present Mayor Tim Hurley , in the chair, and the following named Council Members: Kincaid , Cole , Schmitt , Gunderson, Welper Absent: Greenwood , Clark * * * * * * * * -1- Council Member Gunderson introduced the following Resolution entitled "RESOLUTION AUTHORIZING THE REDEMPTION OF OUTSTANDING SEWER REVENUE BONDS, SERIES 1991A, DATED DECEMBER 1, 1991, TAXABLE SEWER REVENUE BONDS, SERIES 1995, DATED JUNE 1, 1995 AND TAXABLE SEWER REVENUE BONDS, SERIES 1996A, DATED JUNE 1, 1996, AND DIRECTING NOTICES OF REDEMPTION TO BE GIVEN," and moved its adoption. Council Member Schmitt seconded the motion to adopt. The roll was called and the vote was, AYES: Kincaid , Cole, Schmitt , Gunderson, Welper NAYS: none Whereupon, the Mayor declared the resolution duly adopted as follows: RESOLUTION NO . 2004-438 RESOLUTION AUTHORIZING THE REDEMPTION OF OUTSTANDING SEWER REVENUE BONDS, SERIES 1991A, DATED DECEMBER 1, 1991, TAXABLE SEWER REVENUE BONDS, SERIES 1995, DATED JUNE 1, 1995 AND TAXABLE SEWER REVENUE BONDS, SERIES 1996A, DATED JUNE 1, 1996, AND DIRECTING NOTICES OF REDEMPTION TO BE GIVEN WHEREAS, the City Council has heretofore, by Resolution No. 1991-778 approved on December 2, 1991, authorized the issuance of$3,260,000 Sewer Revenue Bonds, Series 1991A, dated December 1, 1991 (the "Series 1991A Bonds"); and WHEREAS, the City Council has heretofore, by Resolution No. 1995-348 approved on June 12, 1995, as amended by Resolution No. 1995-401 on June 26, 1995, authorized the issuance of$4,000,000 Taxable Sewer Revenue Bonds, Series 1995, dated June 1, 1995 (the "Series 1995 Bonds"); and WHEREAS, the City Council has heretofore, by resolution approved on June 17, 1996, authorized the issuance of$5,000,000 Sewer Revenue Bonds, Series 1996A, dated June 1, 1996 (the "Series 1996A Bonds"); and -2- WHEREAS, the Series 1991A Bonds maturing after May 1, 2000, the Series 1995 Bonds maturing after May 1, 2005 and the Series 1996A Bonds maturing after May 1, 2006 may be called for redemption and paid before maturity on said dates or any date thereafter, from any funds regardless of source, in whole or from time to time in part, upon giving notice in the manner provided in the foregoing resolutions authorizing the issuance of the Series 1991A Bonds, the Series 1995 Bonds and the Series 1996A Bonds; and WHEREAS, it is deemed necessary and advisable that the Series 1991A Bonds, the Series 1995 Bonds and the Series 1996A Bonds be so redeemed and that notices of redemption be given. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WATERLOO, IOWA: Section 1. That all of the outstanding Sewer Revenue Bonds, Series 1991A, dated December 1, 1995, maturing after May 1, 2004 in the principal amount of$665,000, be and the same are hereby redeemed as of August 13, 2004. Section 2. That all of the outstanding Taxable Sewer Revenue Bonds, Series 1995, dated June 1, 1995, maturing after May 1, 2005 in the principal amount of $4,000,000, be and the same are hereby redeemed as of May 1, 2005. Section 3. That all of the outstanding Taxable Sewer Revenue Bonds, Series 1996A, dated June 1, 1996, maturing after May 1, 2006 in the principal amount of $4,085,000, be and the same are hereby redeemed as of May 1, 2006. Section 4. The Finance Officer is hereby authorized and directed to utilize and apply (i) the proceeds of the Sewer Revenue Refunding Bonds, Taxable Series 2004B and (ii) such other available funds of the municipal sanitary sewer utility as may be necessary, to the payment of the principal of and interest on the Series 1991A Bonds, Series 1995 Bonds and Series 1996A Bonds on the applicable dates of redemption. Section 5. Wells Fargo Bank, N.A., as the Registrar and Paying Agent for the Series 1991A Bonds and the Series 1995 Bonds, is hereby authorized and directed to cause notice of such redemption to be given not less than thirty (30) days prior to the applicable redemption date by registered mail to the registered owners of the Series 1991A Bonds and the Series 1995 Bonds. -3- Section 6. Wells Fargo Bank, N.A., as the Registrar and Paying Agent for the Series 1996A Bonds, is hereby authorized and directed to cause notice of such redemption to be given not less than thirty (30) days nor more than sixty (60) days prior to the redemption date by registered mail to the registered owners of the Series 1996A Bonds. Section 7. That the forms of such notices be substantially as follows: -4- NOTICE OF THE CALL OF BONDS FOR REDEMPTION TO THE HOLDERS OF THE FOLLOWING DESCRIBED BONDS: Please take notice that the Bonds described below have been called for redemption. Owners of the Bonds should present their Bonds for payment on the Redemption Date.
