Time of Meeting: 4 : 0 0 o'clock P.M. Place of Meeting: Council Chambers, City Hall, Waterloo, Iowa. PUBLIC NOTICE IS HEREBY GIVEN that the above mentioned governmental body will meet at the date, time and place above set out. The tentative agenda for said meeting is as follows: $11,640,000 Sewer Revenue Refunding Bonds, Series 2004A X Resolution authorizing the redemption of outstanding Sewer Revenue Refunding Bonds, Series 1994C, dated October 1, 1994, Sewer Revenue Refunding Bonds, Series 1996B, dated June 1, 1996, Sewer Revenue Bonds, Series 1997A, dated June 1, 1997, and Sewer Revenue Bonds, Series 1998B, dated June 1, 1998 Such additional matters as are set forth on the additional 14 page(s) attached hereto. (number) This notice is given at the direction of the Mayor pursuant to Chapter 21, Code of Iowa, and the local rules of said governmental body. There were present Mayor Tim Hurley , in the chair, and the following named Council Members: Kincaid, Cole , Schmitt , Gunderson, Welper Absent: Greenwood, Clark * * * * * * * * -1- Council Member Gunderson introduced the following Resolution entitled "RESOLUTION AUTHORIZING THE REDEMPTION OF OUTSTANDING SEWER REVENUE REFUNDING BONDS, SERIES 1994C, DATED OCTOBER 1, 1994, SEWER REVENUE REFUNDING BONDS, SERIES 1996B, DATED JUNE 1, 1996, SEWER REVENUE BONDS, SERIES 1997A, DATED JUNE 1, 1997, AND SEWER REVENUE BONDS, SERIES 1998B, DATED JUNE 1, 1998, AND DIRECTING NOTICES OF REDEMPTION TO BE GIVEN," and moved its adoption. Council Member Schmitt seconded the motion to adopt. The roll was called and the vote was, AYES: Kincaid, Cole , Schmitt , Gunderson, Welper NAYS: none Whereupon, the Mayor declared the resolution duly adopted as follows: RESOLUTION NO . 2004-437 RESOLUTION AUTHORIZING THE REDEMPTION OF OUTSTANDING SEWER REVENUE REFUNDING BONDS, SERIES 1994C, DATED OCTOBER 1, 1994, SEWER REVENUE REFUNDING BONDS, SERIES 1996B, DATED JUNE 1, 1996, SEWER REVENUE BONDS, SERIES 1997A, DATED JUNE 1, 1997, AND SEWER REVENUE BONDS, SERIES 1998B, DATED JUNE 1, 1998, AND DIRECTING NOTICES OF REDEMPTION TO BE GIVEN WHEREAS, the City Council has heretofore, by Resolution No. 1994-475 approved on September 26, 1994, authorized the issuance of$8,580,000 Sewer Revenue Refunding Bonds, Series 1994C, dated October 1, 1994 (the "Series 1994C Bonds"); and WHEREAS, the City Council has heretofore, by resolution approved on June 17, 1996, authorized the issuance of$4,995,000 Sewer Revenue Refunding Bonds, Series 1996B, dated June 1, 1996 (the "Series 1996B Bonds"); and WHEREAS, the City Council has heretofore, by resolution approved on June 2, 1997, authorized the issuance of$4,000,000 Sewer Revenue Bonds, Series 1997A, dated June 1, 1997 (the "Series 1997A Bonds"); and -2- WHEREAS, the City Council has heretofore, by resolution approved on June 15, 1998, authorized the issuance of$3,000,000 Sewer Revenue Bonds, Series 1998B, dated June 1, 1998 (the "Series 1998B Bonds"); and WHEREAS, the Series 1994C Bonds maturing after May 1, 2003, the Series 1996B Bonds maturing after May 1, 2004, the Series 1997A Bonds maturing after May 1, 2005 and the Series 1998B Bonds maturing after May 1, 2006 may be called for redemption and paid before maturity on said dates or any interest payment date thereafter, from any funds regardless of source, in whole or from time to time in part, upon giving notice in the manner provided in the foregoing resolutions authorizing the issuance of the Series 1994C Bonds, the Series 1996B Bonds, the Series 1997A Bonds and the Series 1998B Bonds; and WHEREAS, it is deemed necessary and advisable that the Series 1994C Bonds, Series 1996B Bonds, Series 1997A Bonds and the Series 1998B Bonds be so redeemed and notice of redemption be given. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WATERLOO, IOWA: Section 1. That all of the outstanding Sewer Revenue Refunding Bonds, Series 1994C, dated October 1, 1994, maturing after May 1, 2004 in the principal amount of $1,995,000, be and the same are hereby redeemed as of August 13, 2004. Section 2. That all of the outstanding Sewer Revenue Refunding Bonds, Series 1996B, dated June 1, 1996, maturing after May 1, 2004 in the principal amount of $3,340,000, be and the same are hereby redeemed as of August 13, 2004. Section 3. That all of the outstanding Sewer Revenue Bonds, Series 1997A, dated June 1, 1997, maturing on and after May 1, 2005 in the principal amount of$3,230,000, be and the same are hereby redeemed as of May 1, 2005. Section 4. That all of the outstanding Sewer Revenue Bonds, Series 1998B, dated June 1, 1998, maturing on and after May 1, 2005 in the principal amount of$2,555,000, be and the same are hereby redeemed as of May 1, 2006. Section 5. The Finance Officer is hereby authorized and directed to utilize and apply (i) the proceeds of the Sewer Revenue Refunding Bonds, Series 2004A, dated August 1, 2004 and (ii) such other available funds of the municipal sanitary sewer utility as may be necessary, to the payment of the principal of and interest on the Series 1994C -3- Bonds, Series 1996B Bonds, Series 1997A Bonds and the Series 1998B Bonds maturing after the date hereof and on the applicable date of redemption. Section 3. Wells Fargo Bank, N.A., as the Registrar and Paying Agent for the Series 1994C Bonds, Series 1997A Bonds and the Series 1998B Bonds, is hereby authorized and directed to cause notice of such redemption to be given not less than thirty (30) days prior to the applicable redemption date by registered mail to the registered owners of the Series 1994C Bonds, Series 1997A Bonds and the Series 1998B Bonds. Section 4. Wells Fargo Bank, N.A., as the Registrar and Paying Agent for the Series 1996B Bonds, is hereby authorized and directed to cause notice of such redemption to be given not less than thirty (30) days nor more than sixty (60) days prior to the applicable redemption date by registered mail to the registered owners of the Series 1996B Bonds. Section 5.
