RESOLUTION BY THE CITY COUNCIL OF THE CITY OF
WATERLOO RECOGNIZING A SEPARATE ENTITY TO BE
CALLED THE WATERLOO CONVENTION AND VISITORS
BUREAU.
WHEREAS, Resolution No. 1981-376 of the City of Waterloo City
Council contracted with the Waterloo Chamber of Commerce to create
and operate the Waterloo Convention and Visitors Bureau, and
WHEREAS, the Waterloo Chamber of Commerce (Chamber) and the
Waterloo Convention and Visitors Bureau (Bureau) do hereby agree
to the organizational separation of the Bureau.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL AND THE
CITY OF WATERLOO, IOWA that:
1 . A new entity be formed under its own Articles of
Incorporation, to be called the Waterloo Convention and
Visitors Bureau (WCVB) , which under Article II states,
"The Corporation is organized exclusively as a business
league within the meaning of Section 501 (c) (6) of the
Internal Revenue Code of 1986 as amended. The primary
purpose for which the corporation is formed is to enhance
the economic development of the City of Waterloo by
promoting Waterloo as a visitors destination and as a
viable setting to hold meetings and conventions and by
promoting area events and community attractions. "
2 . The City recognizes that the Chamber and Bureau have as a
primary charter and interest the mutual desire to
promote, and enhance the economic development of the city
for business, residential, and visitation. The City of
Waterloo wishes to extend this common goal by insuring
that this partnership and affiliation will continue. It
recognizes that the synergies of these groups will
conserve the limited resources and coordination of our
tax dollar by combining energies and resources that will
assure the sharing of costs and facilities and
cooperation of the efforts that flow from these
arrangements, and proximity, and by these unified efforts
achieves a common goal.
3. The Waterloo Convention and Visitors Bureau is expected
to continue to receive an allocated share of Hotel/Motel
tax proceeds collected as authorized under Ordinance No.
4052 of the City of Waterloo, Iowa. The City shall use
its best efforts to disburse funds within thirty (30)
days of receipt to the City from the Iowa Department of
Revenue.
4 . The policies and activities of the Waterloo Convention
and Visitors Bureau will be governed by a fifteen (15)
member board, each with one vote, to be comprised of the
following:
(a) Five representatives of the Waterloo Chamber of
Commerce appointed by the Chamber of Commerce
Board of Directors.

(b) Five at-large representatives, appointed by the
WCVB members at their annual meeting, initially
to be appointed by the previously existing
advisory board of the former Waterloo Convention
and Visitors Bureau prior to its final
adjournment.
(c) Five representatives recommended by the Mayor of
the City of Waterloo and approved by the City
Council.
(d) The President of the Waterloo Chamber of Commerce
shall serve as a nonvoting ex-officio member, and
the Mayor of the City of Waterloo may select an
administrative liaison.
5 . The WCVB, in cooperation with the Waterloo Chamber of
Commerce, shall at the end of each year, transmit to the
Waterloo City Council, for its review and approval, the
operating budget and marketing plan for the new fiscal
year and the annual operating report from the most
recently completed fiscal year.
6. In order to insure that the Chamber and Bureau do work
together and that the Bureau successfully transitions
into an independent legal entity, the City has
facilitated discussions between all interested parties
leading to an agreement as to the their future working
relationship. The formalization of that agreement (as
reached by the Working Committees on September 14, 1999)
is required in writing within sixty (60) days of this
resolution with executed copies of same to be delivered
to the City Clerk.
BE IT FURTHER RESOLVED BY THE COUNCIL OF THE CITY OF
WATERLOO, IOWA that the Waterloo City Council and Waterloo
Convention and Visitors Bureau shall meet semi-annually to
ensure continued support and success.
