HomeMy WebLinkAboutRCSystems - video monitoring system - 4.10.2006 CONTRACT PURCHASING A VIDEO MONITORING SYSTEM CITY OF WATERLOO, IOWA TRAFFIC OPERATIONS DEPARTMENT This contract is executed this ar� day of /� r I I _, 2006, by and between the City of Waterloo, Iowa, hereinafter called "the City", and Radio Communications Co. Inc. - RCSystems of Waterloo, IA, 50701 a corporation incorporated under the Laws of the State of Iowa, its successors and assigns, hereinafter called "the Contractor' for delivering a traffic monitoring system. 1- THE CONTRACT DOCUMENTS The Contract Documents shall consist of this Contract, and the attached proposal submitted by the Contractor as outlined in the Contractor's February 13, 2006 letter, and the City's Request for Proposal (RFP). The Contract shall be governed by the Contract Documents. . 2- THE WORK The Work consists of supplying all the equipment and material based on the Contractor's design, and delivering, with help from the City as noted in the Proposal, a fully operational and functional system. The Contractor shall perform all necessary work required by the Contract Documents to deliver a working video monitoring system with proper operation. 3- PROPER OPERATION The Video Monitoring System's proper operation is dependent upon installing microwave links that would allow linkage from location to destination, as described in the RFP, by having line of sight to establish sub-links. The Video Monitoring's proper operation is also dependent upon availability of Licensed Channels. It will be the City's responsibility to obtain appropriate permissions and licenses from private property owners and federal agencies. Based upon the Contractor's background and current business practices, the Contractor shall make a good faith effort in helping the City in this matter. 4- TIME OF DELIVERY The effective date of the Contract is the date the Contract is signed by the Mayor of the City. The City Traffic Operations Department will issue a Notice to Proceed within two (2) weeks of the date of Contract. The Contractor shall deliver the Work to the satisfaction and approval of the City within ninety (90) days from the date of Contract. The Contractor further agrees that time is of the essence on this Contract and that if it fails to complete and deliver the work within the time specified above, the Contractor will pay the City, as Liquidated Damages and not as a penalty for such failure, the sum of fifteen dollars ($15.00) per calendar day passed the completion date until the Work is completed and accepted. The City may extend the completion date of the Contract for causes deemed beyond the control of the Contractor. 5- CONTRACT SUM The City will pay the Contractor for the performance of the Work, subject to additions and deductions by change order, the contract sum of twenty one thousand and twenty eight dollars and ninety five cents ($21,028.95). One partial payment may be processed upon the request by the Contractor and approval by the City when the Work is more than fifty percent (50%) complete. 1 6- FINAL PAYMENT The City will pay final payment of the entire unpaid balance of the contract sum, to the Contractor within thirty (30) days after acceptance of the work. The Contractor should submit a request for final payment. 7- UNIT PRICES Unit prices contained in the Proposal submitted by the Contractor in response to the RFP shall be the basis for processing change orders except when such unit price is for a lump sum type item. 8- CHANGE ORDERS The following will constitute grounds for change orders: A. The City decides to delete from the contract any line item, if such deletion does not affect the communications system, on the list of items submitted by the Contractor, in such case price of other items shall not increase. B. Twenty percent (20%) or more change in quantities of any one item, except for lump sum type items. C. Adding new items not in contract, or opting for optional equipment mentioned in the proposal. D. Licensing costs for wireless communications. E. Change in type of item due to market availability of newer technologies. F. Substantial change in the design that will require substantial installation labor. 9- SYSTEM DESIGN The Contractor covenants and confirms that the system design the Contractor has proposed shall meet the requirements of the RFP, and that the Contractor shall make design adjustments, at no extra charge to the City for the design work, to optimize the system if and when during the course of this contract a need arises for such design work. 10-SYSTEM INSTALLATION The Contractor agrees to make a good faith effort in securing access for the purpose of installing equipment, on the private properties indicated on the Contractor's proposal. It shall be the Contractors responsibility to furnish and install and deliver a fully functional system including pan tilt and zoom control from the City's Traffic Operations Center at 408 E. 6`h Street, Waterloo, Iowa. The City agrees to provide its high reaching and specialized equipment and their operators to assist the Contractor in installation. 11-WARRANTY In addition to any other guarantees or warrantees such as manufacturer's warranties, the Contractor agrees, after acceptance of the Work performed under this Contract, to remedy without cost to the City, any defect provided said defects in the judgment of the City, are caused by defective or inferior materials, equipment or workmanship for a period of twelve (12) months. If the corrective work is not completed within thirty (30) days after the notification by the City to the Contractor, the City may do the work and submit those costs to the Contractor for reimbursement. 12-INSURANCE The Contractor agrees to indemnify the City for any loss or damage caused by the Contractor's acts or error in the course of performing the Work, including loss or damage to third parties. The Contractor shall carry liability insurance which shall save the City harmless and protect the public and any person from injury sustained by the reason of the prosecution of the work or the handling or storing of materials therefor, and said Contractor shall also carry liability insurance which shall meet the requirements of the Iowa Worker's Compensation Law. Before work shall be started on this contract, the Contractor shall furnish the City Clerk with proper affidavit or Affidavits executed by representatives of duly qualified insurance companies, evidencing that said insurance company or companies have issued liability insurance policies, effective during 2 the life of the contract, or for a period of a least ten (10) days following the filing of written notice of cancellation, protecting the public and any person from injuries or damages sustained by reason of carrying on the work involved in the Contract. The affidavit shall specifically evidence the following forms of insurance protection: (a) Public liability insurance covering all operations performed by persons directly employed by the Contractor. (b) Public liability insurance covering all operations performed by any Subcontractor to whom a portion of the work may have been assigned. (c) Public liability insurance covering all work upon the project performed by any independent Contractor working under the direction of either the principal Contractor or a Subcontractor. (d) Motor vehicle bodily injury liability insurance and property damage liability insurance on all motor vehicles employed on the work, whether owned by the Contractor or by other persons, firms, or corporations. (e) The minimum protection shall be as follows: Comprehensive General Liability Insurance General Aggregate Limit $ 2,000,000.00 Products—Completed Operations Aggregate Limit $ 2,000,000.00 Each Occurrence Limit $ 2,000,000.00 Comprehensive Automobile Liability Insurance $ 1,000,000.00 The Contractor shall have the City of Waterloo, Iowa, named as an "Additional Named Insured". A certificate, or a policy if requested, shall be filed with the City. All certificates and/or policies of insurance furnished by the Contractor to be filed with the City Clerk shall include the name and address of the agency issuing the same. It shall also be required that the City Clerk be notified by registered mail of the cancellation or expiration of the above insurance. 13-EQUAL OPPORTUNITY The Contractor agrees to abide by and be bound by the Laws of State of Iowa relating to and regulating the hours and conditions of employment. Contractor agrees to abide by all the State and Federal Laws prohibiting discrimination in hiring or employment opportunities. Dear Sandie: Thank you for the opportunity to propose a Traffic Camera solution for key intersections in the city. In considering all options available for a connection from intersections to Traffic Control,we are recommending a wireless solution.This solution is based on utilizing existing city owned Water Towers and key buildings for a backbone connection to the City Hall Tower.Our system is based on a licensed solution to reduce outside interference. Another option would be to use an unlicensed system on 5800(5.8g),2400(2.4g)and/or 900 MHz. All the unlicensed channels are presently in use in the city by wireless internet providers and private enterprise thereby rendering those channels questionable for your use.Our licensed solution is based on the Waterloo Police Department obtaining an FCC license for the 4.9G channels for use in a traffic control scenario. This frequency is for Public Safety use only and there is no charge for licensing. The Traffic Monitoring System can also be installed using twisted pair and/or fiber cable. Per our conversation we are hesitant to propose this type of system do to the following unknowns,the number of twisted pair available at the traffic corners,the fiber locations and who controls the fiber at those locations. We are proposing a point to multi-point system for this application. We have completed a site survey for the city and there is line of site from the intersection to Covenant Hospital and from Covenant Hospital to the City Radio Tower in downtown Waterloo. I have been in contact with Dick Miller,Covenant Medical Center,he is checking with his IT people on the interference issue and the donation is kind scenario. We will need to establish a link from the Police tower to your office, CAT 5,Fiber,etc. The establishment of this link is not part of our proposal. All the equipment we are proposing is non-exclusive. - The system,as proposed, is designed to support multiple cameras by adding the wireless transmitter and camera equipment at the intersections you wish to monitor. There is some equipment that can be added to the system for recording and remote viewing. That equipment is not part of this proposal. We would like to have the opportunity to set up a demonstration of this equipment and show you some options for your approval prior to purchase.
