THIS AMENDMENT is made by and between the IOWA DEPARTMENT OF
ECONOMIC DEVELOPMENT, (hereafter "Department' or "IDED"), 200 East Grand Avenue,
Des Moines, Iowa 50309 , an agency of the State of Iowa and the City of Waterloo (hereafter
"Contractor"), 715 Mulberry Street, Waterloo, Iowa 50703.
Contractor,by correspondence dated December 21, 2005 requested that the contract be
amended. Contract Number 99-CAT-020 is hereby modified as follows:
• The project completion date is extended to March 1, 2007.

Dear Don:
I am writing in reference to the relocation of Ed and Wanda Hedges. As you are
a�uite 333 aware Ed only received one bid for moving his belongings from the Lafayette
-4 Street address to his new home. Ed 'did contact several other moving
Wath loo 3 903 companies, but they declined to bid. Ed has given me his handwritten notes
showing when he contacted the other moving companies. On March 8, 2006, I
Pho 3 311 talked to Ursula McClendon from the Kansas City HUD Regional office to
determine if it was okay to go forward with only 1 bid. She indicated that I
F r 91 should retain Ed's notes on the contacts he made and do a follow up with the
same companies. I was able to contact and talk to someone from 3 different
companies originally contacted by Ed Hedges. The 3 companies indicated they
are not interested in bidding the move because they are either to busy, they
don't do in-town moves or because of the size of the project.
Consequently, I would recommend that the City move forward and award the
Hedges move to Blue Line Moving and Storage. I have attached a copy of their

bid. Please note that they have indicated that this is an estimate of the cost and
that the price could change.

Notes to File on Ed Hedges Moving Bid

- I talked to Ursula McClendon at the Kansas City HUD Regional Office about
the fact that Ed Hedges had only received 1 bid for moving his property.
- She said to keep Ed's written statement or notes in the file and for me to
follow-up by contacting the companies that Ed had originally contacted to
confirm their failure to bid and then go with the 1 bid.

- I contacted Hawkeye Moving, Mayflower Transit and Takin Brothers about
bidding the Hedges move from their Lafayette Street home to their new
location.
- They all declined to bid for reasons ranging from they were to busy,they
don't do in town type moves or it was too large of a project.

RESOLUTION NO. 2005-1109
RESOLUTION ACCEPTING AND APPROVING CERTAIN
ACQUISITION CONTRACTS TO SELL REAL PROPERTY
TO THE CITY AND ACCEPTING AND APPROVING
CERTAIN DEEDS.
WHEREAS, the City of Waterloo, Iowa, has had all the parcels
described herein appraised and the fair market value ascertained,
and
WHEREAS, the acquisition of the hereinafter described parcels
is necessary to carry out the Eastside Riverfront Housing Project.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WATERLOO, IOWA, that the contract for the parcels
hereinafter described to sell the same to the City of Waterloo,
Iowa, all of which are situated in the City of Waterloo, Black
Hawk County, Iowa, are accepted and approved and the Mayor and
City Clerk are authorized and directed to execute the same in
behalf of the City and to execute all instruments necessary to
consummate the agreement to purchase the properties from the
owners thereof, and the deeds for the conveyance of the same are
also accepted and approved and the City of Waterloo is directed to
pay for the properties and the incidental expenses necessary to
the consummation of the sales from City funds.

Lease of Property Agreement
This lease of one Pierce Aerial Truck, made April 1, 2006, by and between City
Of Sioux City, Iowa, whose address is 405 Sixth Street, Sioux City Iowa, 51102,
(hereinafter called Lessor), and City of Waterloo, whose address is 715 Mulberry,
Waterloo, Iowa, 50703, (hereinafter called Lessee).
WITNESSETH:
1. That Lessor hereby leases to Lessee, and Lessee leases from Lessor, subject to
the terms and conditions herein set forth, the following (hereinafter sometimes
referred to as the "Property"):

Together with all equipment and accessories attached thereto or used in
connection therewith including the following:
1989 Aerial Ladder.
All of which are included in the term Property as used herein. Lessee hereby
acknowledges delivery and acceptance of the aforesaid Property upon the terms
and conditions of this lease.
2. Lessor hereby leases to Lessee said Property for the purpose of emergency
response in the City of Waterloo.
3. The term of this lease is four months, beginning this day and ending August 1,
2006.
4. In consideration of said lease, Lessee covenants and agrees as follows:
(a) To pay to Lessor for the possession and use of said Property for the purpose
aforesaid payable as follows: Twelve hundred dollars ($1,200) April 1, 2006, and
a like amount of Twelve hundred dollars ($1,200) monthly payment for the period
of use.
(b) To safely keep and carefully use the Property and not sell or attempt to sell,
remove or attempt to remove, the same or any part thereof, except reasonably
for the purpose aforesaid.
(c) Lessee shall, during the term of this lease and until return and delivery of the
Property to Lessor, abide by and conform to, and cause others to abide by and
conform to, all laws and governmental rules and regulations, including any future
amendments thereto, controlling or in any manner affecting operation, use or
occupancy of said Property.
(d) Lessee accepts the Property in its present condition, and during the term of this
lease and until return and delivery of the Property Lessor the Lessee shall
maintain it in its present condition, reasonable wear and tear occurring despite
standards of good maintenance of Property excepted, and shall repair at his own
expense any damages to said Property caused by operation or use by lessee or
by others during the term of this lease and until delivery of the Property to
Lessor.
(e) Neither Lessee nor others shall have the right to incur any mechanic's or other
lien in connection with the repair, maintenance or storage of said Property, and
Lessee agrees that neither Lessee nor others will attempt to convey or mortgage
or create any lien of any kind or character against the same or do anything or
take action that might mature into such a lien.
(f) Lessee shall be responsible and liable to Lessor for, and indemnify Lessor
against, any and all damage to the Property, which occurs in any manner from
any cause or causes during the term of this lease or until return and delivery of
the Property to Lessor. Lessee shall be responsible and liable for, indemnify
Lessor against, hold Lessor free and harmless from any claim or claims of any
kind whatsoever for or from, and promptly pay any judgment for, any and all
liability for personal injuries, death or property damages, or any of them, which
arise or in any manner are occasioned by the acts or negligence of Lessee or
others in the custody, operation or use of, or with respect to, said Property,
during the term of this lease or until return and delivery of the Property to Lessor.
(g) Lessee will keep insured from and including this day until return and delivery of
the Property to Lessor, in such company or companies as Lessor shall approve,
according to applicable standard forms of policy, and for the benefit of Lessor, (1)
against loss or damage from any cause or causes to the Property for the full
value thereof in the amount of one million dollars, and (2) against liability for
personal injuries, death, or property damages, or any of them, arising or in any
manner occasioned by the acts or negligence of Lessee or others in the custody,
operation or use of, or with respect to said Property, in the amount of one million
dollars relative to personal injuries and/or death and one million dollars relative to
property damages.
(h) Lessee shall take possession and return the Pierce Aerial Truck to Sioux City,
Iowa, at the expiration of the term herein granted, the whole of said Property to
the Lessor in as good condition as the same is, reasonable wear and tear
expected.
(i) The Lessor agrees that the said Property is in good working condition.
(j) It is mutually agreed that in case Lessee shall violate any of the aforesaid
covenants, terms and conditions Lessor may at his option without notice
terminate this lease and take possession of said Property wherever found.
k) If in the determination of the Sioux City Fire Chief the Aerial Truck is needed in
the Lessor's City for reasons of safety, the Lessee agrees to return the Truck to
Lessor within eight hours after the request for return. Rent will be prorated.
