Dear Mr. Castle:
Terracon Consultants, Inc. (Terracon) appreciates the opportunity to submit this proposal for
preliminary engineering services for the replacement of the north flood control relief well located
at the Hawthorne Avenue Pumping Station in Waterloo, Iowa (hereinafter, the site). Terracon's
general scope of services, budget, schedule, health and safety plan, and general comments are
provided in the following sections
A PROJECT INFORMATION
Terracon completed a Relief Well Assessment Report (Terracon Project 13217071, dated
November 12, 2021) for the North and South wells at the site. A Report Addendum for the North
Relief Well dated February 16, 2022 was also completed. The City of Waterloo submitted these
reports to the United States Army Corp of Engineers (USACE) for their review. On March 16, the
USACE recommended that the north relief well be replaced in -kind due to expected unsatisfactory
performance as indicated by a well efficiency of 60% and significant sanding of the well.
B SCOPE OF SERVICES
Terracon has a 100% commitment to the safety of all its employees. As such, and in accordance
with our Incident and Injury Free® safety culture, Terracon will develop a safety plan for use by
our personnel during field services.
Prior to commencement of on -site activities, Terracon will hold a meeting to review health and
safety needs for this specific project.
Our proposed Scope of Services includes field exploration, laboratory testing, and
engineering/project delivery. These services are described in the following sections.

Drilling Program Plan (DPP)

Prior to performing field services, Terracon will prepare and submit a DPP to the City of Waterloo
and USACE for review and approval to perform the work. The DPP will include and/or address
the following:
• Project objective and justification
• Terracon key project team members
• Existing information review
• Terracon Project No. 13217071, reports dated November 12, 2021 and February 15,
2022.

Drilling scope and methodology
Risk evaluation for soil borings at the toe of the existing levees.
Field Services
Boring Layout and Elevations: The location of the proposed location of the replacement well
will be within 10 feet north of the existing north relief well. Terracon will stake the location in the
field. Latitudes and longitudes will be obtained by superimposing the site plan onto Google Earth
photography. We will used handheld GPS equipment to locate the boring in the field. Our GPS
equipment has a horizontal accuracy of about 20 feet or better. Relative surface elevation at the
boring location will be determined by using differential leveling techniques and will be reported to
the nearest'/2-foot. The location and elevation of the boring should be considered accurate only
to the degree implied by these methods. If more accurate boring location and elevation are
desired, we suggest a land surveying firm stake the boring location and provide surface elevations
at the boring location to us.
Subsurface Exploration: Terracon's field services include performing the following subsurface
exploration program.

Subsurface Exploration Procedures: We will advance the boring with a rotary drill rig using

throughout the depth of the boring. Upon encountering bedrock or practical auger/bit refusal in
the boring, the boring will be terminated. We observe and record groundwater levels during and
after drilling and sampling. In some instances, groundwater observations may not be
representative because drilling fluids or water are used.
Terracon's exploration team will prepare a field boring log as part of standard drilling operations.
The field log will include sampling interval depths, penetration resistances, and other relevant
drilling and sampling information. Our field log will also include visual descriptions of materials
encountered during drilling and the drill crew's interpretation of subsurface conditions between
samples. The samples will be containerized and transported to our laboratory for further testing
and classification.
Our engineering staff and the drill crew will communicate during the exploration. If the subsurface
conditions encountered appear to be unfavorable or marginal, we will modify our subsurface
exploration while we are on site. If additional fees apply, we will contact the client for
authorization, prior to performing any additional services.
Disposal of Excess Drilling Fluids and Cuttings: Terracon plans to backfill the borehole with
bentonite grout. Terracon's exploration team will make an effort to minimize the amount of drilling
fluids and auger cuttings remaining upon backfilling of the borehole.
In the event that excess auger cuttings and drilling fluids are generated, disposal of the
investigation derived waste (IDW) will be required. Terracon requests that the City of Waterloo
provide an area where the IDW can be disposed. Based on Terracon's experience with previous
explorations, the City of Waterloo has accepted IDW at their facilities. If the City of Waterloo is
unable to provide a disposal area, Terracon's exploration team will place the soil and drilling fluids
in drums, transport the drums to an area designated by the City of Waterloo, and the drums will
need to remain in that area until the results of analytical testing are completed and can be provided
to a licensed landfill facility. Soils will be logged during drilling to document soil or rock type, color,
and relative moisture. Although not expected, if impacted material is perceived to be
encountered, Terracon will contact the City of Waterloo prior to further exploration. Fees
associated with analytical testing and disposal at a licensed landfill facility are not included in
Terracon's current scope of services and fee.
Safety and Underground Utility Locations: The client or others shall secure all necessary site
related approvals, permits, licenses, and consents necessary to commence and complete the
services and will execute any necessary site access agreement. Consultant will be responsible
for supervision and site safety measures for its own employees, but shall not be responsible for
the supervision or health and safety precautions for any third parties, including Client's
contractors, subcontractors, or other parties present at the site. In addition, Consultant retains
the right to stop work without penalty at any time Consultant believes it is in the best interests of
Consultant's employees or subcontractors to do so in order to reduce the risk of exposure to the

coronavirus. Client agrees it will respond quickly to all requests for information made by
Consultant related to Consultant's pre -task planning and risk assessment processes.
Upon completion of staking, Terracon will notify Iowa One Call to request the location and marking
of public utilities, at least 48 hours prior to performing borings/excavations. We will consult with
the owner/client regarding potential private utilities, or other underground hazards. Based on the
results of this consultation, Terracon will consider the need for alternative subsurface exploration
methods; as the safety of our exploration team members and avoiding damage to existing
improvements are priorities.
Any private utilities should be marked by the client or owner prior to subsurface exploration.
Terracon will not be responsible for damage to utilities that are incorrectly marked or not made
aware to us. If the client is not able to accurately locate private utilities, Terracon can assist the
client by coordinating or subcontracting with a private utility locating service. Please note that our
scope of services and fee does not include the location and marking of private utilities.
Site Access and Property Disturbance: We considered that the site and boring location can be
accessed using our ATV -mounted drill rig and 4-wheel drive support truck. Terracon personnel
will take reasonable measures to limit the amount of damage to the property. However, some
rutting of the ground surface, and/or damage to landscape could occur. Please note that our
scope of services and fee do not include services associated with site clearing, wet ground
conditions, or repairing damage to existing landscape. If such services are desired by the City of
Waterloo, we should be notified so we can adjust our scope of services and fee. It is important
that Terracon be granted access to the site (or legal right of entry) by the property owner. At least
3 days advanced notice will be provided to the City of Waterloo of our intent to notify Iowa One
Call and perform the subsurface exploration.
We will backfill the boreholes with bentonite grout to within about 2 feet of the ground surface and
backfill the remainder of the boreholes with a mixture of bentonite chips and soil cuttings upon
completion. Our services do not include repair of the site beyond backfilling our boreholes. Any
excess auger cuttings and drilling fluids will be removed from the site, as previously described.
Because backfill material often settles below the surface after a period, we recommend the
boreholes to be periodically checked and backfilled, if necessary.
Laboratory Testing
The project engineering team will review field data and assign laboratory tests to aid in our
evaluation of the engineering properties of the various soil and rock strata. Exact types and
number of tests cannot be defined until completion of field work. Anticipated laboratory testing
includes the following:

Our laboratory testing program also includes examination of soil samples by an engineer. Based
on the material's texture and plasticity, we will describe and classify soil samples in general
accordance with the Unified Soil Classification System (USCS).
Engineering and Project Delivery
Results of our field and laboratory programs will be evaluated by an experienced geotechnical
engineer licensed in the State of Iowa. The engineer will develop a hydrogeological site
characterization, perform the engineering evaluations necessary to provide recommendations
regarding the proposed replacement well. If requested, your project can be delivered using our
Client Portal system. Upon receipt of authorization, we will provide you and your design team the
necessary link and password to access the website. The typical delivery process includes the
following:
Project Planning — Proposal information and the schedule and anticipated
exploration plan will be posted for review and verification
Site Characterization — Findings of the site exploration
Engineering — Recommendations regarding the proposed replacement well
When our report has been completed, we can upload it to our Client Portal system website for
you if requested or provide a `pdf file of it via email. Previous submittals, collaboration, and the
report are maintained in our system to allow for future reference and integration into subsequent
aspects of our services, as the project goes through final design and construction. The
engineering report will include and/or address the following:
General site and project description
Site and Boring Location diagrams
Stratified boring logs with field and laboratory data
Subsurface exploration procedures
Summaries of soil and groundwater conditions observed
■ Recommended engineering design parameters for replacement well
The fees to conduct the next phase of the relief well replacement will be provided to the City of
Waterloo after the recommended engineering design parameters for replacement well are
determined. The next phase of the project will include development of a relief well Drilling Program
Plan (DPP) with well specifications, installation, testing and reporting. After the relief well design
parameters are developed, Terracon will prepare general well installation specifications and
obtain bids from qualified well drilling firms for the City to review. Terracon will provide a Drilling
Program Plan for review and approval by the City and the Corps of Engineers for the relief well
installation. The DPP will also contain the anticipated testing, data analysis and as -constructed
reporting requirements as listed in ER 1110-2-1914.

C COMPENSATION

For the scope of services outlined in this proposal, we estimate a fee of $14,500 to $16,500.
However, Terracon would only invoice for the services provided. Unless instructed otherwise,
invoices would be submitted monthly to the addressee of this proposal.
D PROJECT SCHEDULE
Our schedule may be dependent on when we receive authorization to proceed. We can generally
begin the subsurface exploration within about 15 working days after receiving authorization, the
clearance of public and private site utilities, and any other access and permit permission. In some
instances, weather and/or site conditions can delay our drilling schedule.
E AUTHORIZATION
This proposal may be accepted by the City of Waterloo by executing the attached Supplement to
Agreement for Services and returning one copy along with this proposal to our Cedar Falls, Iowa
office. In some instances, we can proceed with verbal approval; however, we request that written
authorization still follow. This proposal is valid for 30 days. After 30 days we reserve the right to
re -visit our material and fuel cost and adjust our pricing structure accordingly.

This SUPPLEMENT to AGREEMENT FOR SERVICES to the original Agreement for Services (original Agreement dated 07/19/2021, Agreement
reference number P13217071) is between City of Waterloo IA ("Client") and Terracon Consultants, Inc. ("Consultant") for additional or changed Services to
be provided by Consultant for Client on the Project, as described in the Agreement for Services. This Supplement is incorporated into and part of the
Agreement for Services.
Scope of Services. The scope of the additional or changed Services are described in the Scope of Services section of the Consultant's
Supplemental Proposal, unless Services are otherwise described below or in Exhibit B to this Supplement (which section or exhibit are incorporated
into the Supplement).

Compensation. Client shall pay compensation for the additional or changed Services performed at the fees stated in the Supplemental Proposal
