Please confirm, and update if necessary, the accuracy of the actual start date of the Project. This is the date pertaining to the underlying work; for example if a capital improvement Project, provide the date construction begins. 04/01/2023 Project End Date* The Grant period ends as of the Project End Date as identified in the grant application and shown below. Please update if necessary. 06/01/2024 THIS AGREEMENT DETAILS THE RESPONSIBILITIES OF THE OTTO SCHOITZ FOUNDATION AND YOUR ORGANIZATION (GRANTEE), AND THE TERMS AND CONDITIONS OF THE GRANT. Use of Funds The grant is to be used solely for the project as described in Grantee's proposal, for expenditures incurred after the Foundation's award notice and within the time frame identified in the proposal. Projects must be started and completed on time and completed as presented. Any monies received under this agreement should be expended for no other purposes. Any funds not used for the specific purpose of the grant must be returned to the Otto Schoitz Foundation, unless otherwise authorized in writing by the Otto Schoitz Foundation. Grantee specifically agrees that no part of the funds received from this grant will be used to carry on propaganda, influence legislation, influence the outcome of any specific public election, or carry on, directly or indirectly, any voter registration drive. Modification If circumstances impact the Grantee's ability to meet the terms as committed in this Grant Agreement, a modification may be requested. The Grantee may request modifications in writing in order to change the duration, Printed On: 2 August 2022 Partnership Grant 2 Paul Huting City of Waterloo/leisure Services value or other terms of this commitment. The written request should outline the nature of the modification including specifics with respect to budget, timeframe and scope. Within a reasonable timeframe following receipt of the Grantee's request, the Foundation will provide a written response indicating the acceptance, denial or further consideration of the Grantee's request. Non -Competition with MercyOne The grant is not to be used in any manner that competes, or could reasonably be determined to appear to compete, with MercyOne or its affiliates due to the arrangement by which the Otto Schoitz Foundation was formed in 2016. This restriction on competition against MercyOne or its affiliates applies to the grant funds absolutely. The restriction on competition applies to fiscal agents and fiscal sponsors and their associates even if, for example, the fiscal agent or sponsor does not necessarily directly compete against MercyOne or its affiliates. Any grant funds that are determined by the Otto Schoitz Foundation, in its sole discretion, to compete, or to appear to compete, with MercyOne or its affiliates must be returned to the Otto Schoitz Foundation. Non -Profit Status If Grantee is a 501c3 organization, Grantee warrants and represents that its receipt of this grant will not adversely affect the grantee's status as a public charity under Section 509(a) of the Internal Revenue Code. Grantee agrees immediately to notify the Otto Schoitz Foundation, in writing, if: a. Grantee's legal or federal tax status is revoked or altered; b. Grantee has reasonable grounds to believe that its tax exempt status may be revoked or altered; or, c. Grantee has reason to believe that these grant monies cannot be or continue to be expended for the specific purposes. In the event that Grantee loses its tax exempt status before all funds under this grant are dispensed, this grant contract will be considered null and void and all obligations of the Otto Schoitz Foundation hereunder will terminate. Regulatory Compliance Cooperation Grantee will cooperate with the Otto Schoitz Foundation in supplying additional information or in complying with any procedures which might be required by any governmental agency or financial audits or investigations in order for the Otto Schoitz Foundation to establish the fact that it has observed all requirements of the law with respect to this grant. Reporting and Record Keeping Grantee agrees to submit electronic reports on the status of the Grant when requested including an Accountability Report(s). The Accountability Report(s) provides analysis on the achievement of qualitative and quantitative goals, including the financial aspects of the Project. A component of the Accountability Report is the Project Financial Report, which compares the Project's actual financial results to the Project Budget as submitted in the underlying Grant Application. Unused funds related to the purpose of the Grant and its terms are to be returned to the Foundation upon submission of the Final Grant Accountability Report. Grantee will maintain its books and records in a manner that provides the Foundation with sufficient detail to review the Grantee's receipts and expenditures relating to the Grant. Grantee will make such records available for review by the Foundation upon reasonable notice during the Grant Period and for two years following the Grant Period. Payment Schedule The Foundation will disburse the initial Grant installment within ten business days following a) receipt of the Grant Agreement or b) the actual start date of the Project, whichever occurs later. Each subsequent installment will be disbursed within 10 business days following receipt of the respective Accountability Report. Remittance Address We will send payment to the address you identified in the organizational profile in our grant management system unless you indicate an alternative "remit to" address below. Printed On: 2 August 2022 Partnership Grant 3 Paul Huting City of Waterloo/Leisure Services Grant Related Additional Feedback Grant funds are re tricted to expenses as outlined in your application and incurred after the award date. Further restrictions or additional feedback, if any, are noted below. As discussed with Paul Huting, the OSF Board encourages the City of Waterloo to utilize the Gates Park/Pool investment as a springboard towards revitalizing the remainder of the Gates neighborhood. Recognition The Otto Schoitz Foundation desires that all resources of Grantee be dedicated to accomplishing its philanthropic purposes. Accordingly, Grantee agrees not to recognize the Foundation, its board members or staff, or this grant with mementos or provide benefits or services to such parties, unless pre -approved by the Foundation. That said, Grantee may announce and publicize the grant in recognition of the Foundation's support. Grantee and Foundation may each disclose the other party's name, and use each other's logo, in internal and external communications, including, on its website and in its outreach materials. Generic Communications In order to reduce the amount of mail the Otto Schnitz Foundation receives that is not specifically relevant to the management of this grant, the Grantee agrees to keep the Foundation off its generic marketing lists, including, but not limited to donor appeals. At its sole discretion, the Otto Schoitz Foundation may provide a news release summarizing the grant to television, newspaper and other media. Further, the Otto Schoitz Foundation may include related information of the grant in the Foundation's annual report. Fiscal Agent or Fiscal Sponsor Grant Agreement If you are using a fiscal agent or fiscal sponsor for this grant award, please upload a letter/agreement signed by the Executive Director/CEO of the fiscal sponsor/agent indicating: • The fiscal agent/sponsor's agreement to the Terms & Conditions of the Otto Schoitz Foundation's Grant Agreement as outlined. For your convenience, click here for a template. Acceptance of Terms & Conditions* This grant is conditional upon Grantee's acceptance of the terms and conditions set forth herein. By selecting the "I Accept Grant Terms and Conditions" below, Grantee agrees to accept and comply with the stated terms and conditions of this grant.
