("Allen"), and the City of Waterloo, Iowa ("City"). WHEREAS, Allen and City entered into a Development Agreement dated October 4, 2010, Purchase Agreement dated September 20, 2010 and Occupancy Agreement dated September 20, 2010, (collectively "Agreements"); WHEREAS, Allen and City contemplated closing on or about November 30, 2010; WHEREAS, for various reasons closing has been delayed to May 31, 2011; WHEREAS, the parties agree all dates and deadlines shall be amended and tolled for six months. NOW THEREFORE, the parties agree as follows: 1. Dates and Deadlines. All dates and deadlines in Agreements shall be amended and tolled for six months to reflect the delayed closing of May 31, 2011. 2. Other Terms.
