HomeMy WebLinkAboutUniti Dark Fiber, LLC - Purchase Agreement Newell St - 4.17.2023.docxPURCHASE AGREEMENT THIS CONTRACT AND AGREEMENT, made and entered into effective as of the date of the last signature hereon (the "Effective Date"), by and between the City of Waterloo, Iowa, a municipal corporation (hereinafter referred to as "Seller"), and Uniti Dark Fiber LLC, (hereinafter referred to as "Buyer"), WITNESSETH: That for and in consideration of the sum of One Dollar ($1.00) and other good and valuable consideration, the receipt of which is hereby acknowledged by Seller, Seller does hereby CONTRACT AND AGREE TO SELL to Buyer and Buyer does hereby CONTRACT AND AGREE TO PURCHASE from Seller, the following described real property located along Newell Street, Waterloo, Black Hawk County, Iowa more particularly described in the attached Exhibit A, to -wit: PART OF THE NORTHEAST 1/4 OF SECTION 20, TOWN 89 NORTH, RANGE 12 WEST, LOT 2 OF NORTHEAST INDUSTRIAL PARK PLAT No. 1, CITY OF WATERLOO, BLACK HAWK COUNTY, IOWA DESCRIBED AS: COMMENCING AT THE NORTH 1/4 CORNER OF SAID SECTION; THENCE SOUTH 00°14'36" WEST A DISTANCE OF 50.00 FEET TO THE SOUTH RIGHT OF WAY OF NEWELL STREET (83' WIDE/PUBLIC); THENCE SOUTH 89°47'30" EAST ALONG SAID RIGHT OF WAY A DISTANCE OF 89.45 FEET TO THE NORTHWEST CORNER OF LOT 2 OF SAID PLAT AND THE POINT OF BEGINNING; THENCE SOUTH 00°25'20" EAST ALONG THE WEST LINE OF LOT 2 OF SAID PLAT A DISTANCE OF 227.62 FEET; THENCE NORTH 89°34'40" EAST A DISTANCE OF 64.62 FEET; THENCE NORTH 00°10'05" WEST A DISTANCE OF 226.90 FEET TO SAID RIGHT OF WAY; THENCE NORTH 89°47'30" WEST ALONG SAID RIGHT OF WAY A DISTANCE OF 65.63 FEET TO THE POINT OF BEGINNING. CONTAINING 14,800 SQUARE FEET OR 0.340 ACRES. (hereafter referred to as the "Subject Property"). The following mutual covenants and conditions are a part of this contract and furnish a part of the consideration therefor, viz: 1. Purchase Price. The Purchase Price for the Subject Property is Forty Thousand Dollars ($40,000.00) ("Purchase Price"). The Purchase Price shall be paid by Buyer to Seller as follows, to -wit: (a) Earnest Money. The Earnest Money Deposit shall be made on or before fourteen (14) days from the date of the signature of the Seller on the said Purchase Agreement. Buyer will deliver to Beecher Law Firm, 620 Lafayette Street, Waterloo, Iowa 50703 (hereafter referred to as "Escrow Agent"), the sum of Five Thousand and 0/100 Dollars ($5,000.00), which represents an Earnest Money Deposit to be held by the Escrow Agent pending closing, at which time said Earnest Money Deposit shall be credited to the Purchase Price referred to herein. In the event of default by Buyer in any of its obligations hereunder, the said Escrow Agent shall deliver said Earnest Money Deposit to Seller who is hereby authorized to retain said Earnest Money Deposit as liquidated damages. In the event of default by Seller in any of Seller's obligations hereunder, the said Escrow Agent shall refund said Earnest Money Deposit to Buyer. In the event of default by either party hereto, each party shall have such remedies as are provided by law, in addition to the remedies as are provided herein. (b) Balance of Purchase Price. The balance of the Purchase Price, which is due after credit for the Earnest Money Deposit, plus or minus pro -rations and subject to such adjustments as are hereinafter provided, shall be paid and delivered by Buyer to the Escrow Agent at, or prior to, the Closing in immediately available U.S. funds. 2. Closing. The sale which is contracted herein shall be closed as soon as practical, on a date, at a time, and at such location as the parties shall mutually agree but in no event later than twenty (20) days from the expiration of the Due Diligence Period. On the failure of the parties to agree to a date, time, or location of said closing, the same shall be closed at the offices of the Escrow Agent at 10:00 A.M. on the 30th day after the expiration of the Due Diligence Period provided that said date is not a Monday. In the event that the 30thday after expiration of the Due Diligence Period is a Monday, closing shall occur on the next business day at 10:00 A.M. The deadline for closing may be extended for an additional thirty (30) days for the purposes of conveyance of good and marketable title to Buyer. 3. Survey. Buyer, at its sole expense and in its discretion, may obtain such surveys of the Subject Property as it deems necessary. 4. Title Insurance. Seller agrees to provide an abstract of title to Buyer continued through Effective Date at Seller's cost. Buyer may obtain its own ALTA form owner's title insurance commitment with standard coverages insuring the Subject Property in the face amount of the Purchase Price ("Title Insurance Commitment"). In the event this sale is closed, at Closing, Buyer may cause the Escrow Agent to issue an ALTA form owner's title insurance policy to Buyer with standard coverages in the face amount of the Purchase Price, subject only to those Schedule B-II exceptions appearing in the Title Insurance Commitment which have not been either cured by Seller, or which are waived by Buyer ("Title Insurance Policy"). At any such Closing, Buyer shall pay the premium and search fee customarily charged by Escrow Agent for the issuance of the Title Insurance Policy. At closing, Seller shall execute an Owner's Affidavit and other affidavits, certificates, and documents reasonably required by Buyer or the title company to deliver title as required by this agreement. 5. Title Defects. In the event that the Title Insurance Commitment or a Survey disclose matters which Buyer, in good faith, identifies as defects in the good and merchantable fee simple title to the Subject Property and which are reasonably capable of being cured by Seller ("Title Defects"), Buyer shall, within ten (10) calendar days after delivery to Buyer of the last of the Title Insurance Commitment and Survey, notify Seller of such defects. In such event, Seller shall immediately undertake commercially reasonable efforts to timely cure such defects and shall bear all costs or expenses associated with such efforts. 6. Title to Be Conveyed; Form of Conveyance. At Closing, Seller shall convey to Buyer the good and merchantable fee simple title to the Subject Property by execution and delivery of a general, full Warranty Deed in form satisfactory to Buyer, free and clear of all liens or encumbrances, except as to (a) ad valorem taxes or assessments not then due or payable; (b) any roll back taxes due as a result of the change of use of the Subject Property by Buyer; (c) any matter reflected on the Survey and waived by Buyer; and (d) those Schedule B-II exceptions to title appearing in the Title Insurance Commitment which are waived by Buyer. Title shall be taken in the name of Buyer or such entity as it shall designate prior to closing. 7. Due Diligence Inspection by Buyer. For a period of One Hundred -Twenty (120) days from the Effective Date, Buyer shall be entitled to conduct a due diligence inspection and investigation of the Subject Property as Buyer deems appropriate at its sole expense. At any time prior to the expiration of said due diligence inspection period, Buyer, in its sole discretion, shall be entitled to cancel its obligations hereunder and this contract shall be NULL and VOID and the Earnest Money Deposit shall be refunded to Buyer by Escrow Agent. 8. Representations and Warranties. Seller represents and warrants to Buyer that Seller is the owner of the good and merchantable fee simple title to all of the Subject Property; that Seller is aware of no claims by any third party to any interest in, lien, or encumbrance on the Subject Property; that Seller is aware of no boundary line encroachments or disputes on the Subject Property; that Seller has not placed or disposed of any hazardous or toxic materials or waste on said property and knows of no person, firm, or corporation having done so; that Seller knows of no underground storage tanks or containers of any kind which exist on said property; and that Seller knows of no refuse, trash, or garbage having been buried on the Subject Property. The foregoing representations and warranties shall survive closing. 9. Conditions to Obligation of Buyer to Close. Buyer's obligations hereunder are contingent upon Seller satisfying all of Seller's obligations hereunder and Buyer obtaining any necessary approvals from any governing agency with authority over development of the Subject Property that is acceptable to Buyer in order to convey good and merchantable title and utilize the Subject Property for Buyer's intended purpose. Any expense associated with obtaining said approval shall be borne solely by Buyer. Seller shall co-operate with Buyer's efforts to obtain said approval. The said right of Buyer to terminate and cancel its obligations hereunder shall in all respects be treated as a condition precedent to the obligation of Buyer to close hereunder. Upon failure of any condition precedent to occur, Buyer shall have the right to declare this contract to be NULL and VOID and the Earnest Money Deposit shall be refunded to Buyer by Escrow Agent. 10. Proration of Ad Valorem Taxes. At closing, the parties hereto agree to prorate all state and county ad valorem taxes or assessments which constitute a lien against the Subject Property and which are due for the current tax year, which proration shall be effective as of the date of closing. 11. Real Estate Commissions; Agency Disclosure Form. Seller shall be responsible for payment of any and all real estate commissions due and owing as the result of the transaction contemplated hereunder which shall be paid from Seller's proceeds at closing. Buyer shall not be liable for the payment of any real estate commissions. Buyer's initials 12. Costs of Closing. (a) Buyer to pay for Escrow Agent settlement fee, recording fees, Title Insurance Commitment, and Title Insurance Policy. (b) Seller to pay for preparation of Warranty Deed, updated abstract fee and revenue stamps. (e) All other costs shall be borne as indicated herein. 13. Binding Effect and Assignment. The foregoing contract shall be binding upon and inure to the benefit of the respective heirs, successors, executors, administrators and to the nominees and assigns of the parties hereto. This contract is assignable by Buyer in its sole discretion. 14. Possession and Risk of Loss. Possession of the Subject Property shall be delivered to Buyer at closing. The risk of loss, damage, destruction, or alteration of the Subject Property or of any change in any land use or environmental law or regulation, shall pass to Buyer at closing. 15. Time of Essence. Time is of the essence with respect to this agreement and all obligations hereunder. However, should a date set out herein be calculated as a number of days from the Effective Date or otherwise and such date shall fall on a Saturday, Sunday, or national holiday, then the next business day shall be considered the operative date or deadline. 16. Modification or Termination. This agreement cannot be modified or amended orally, or in any manner other than by a written agreement executed by all parties. 17. Intentionally Omitted. 18. Authorization. Each individual executing this agreement on behalf of a party warrants, covenants, and represents that he has the authority to enter into this agreement on behalf of the party for which he acts and to perform all of the duties and obligations imposed upon that party. 19. Notice to the Parties. Any notice to Seller shall be made at City of Waterloo, Iowa, c/o Hon. Martin Petersen, City Attorney, 715 Mulberry Street, Waterloo, Iowa 50703 and any notice to Buyer shall be made to it in care of its Vice President and Deputy General Counsel Kelly McGriff, at 107 St. Francis Street, Suite 1800, Mobile, Alabama 36602 and via e-mail at Kelly.McGriff@uniti.com. 20. Miscellaneous. This agreement constitutes the parties' entire agreement. No part of this agreement shall be construed more strictly against any party hereto regardless of which party is responsible for its drafting or preparation, it being agreed that this instrument was fully negotiated by the parties. This agreement supersedes all prior agreements or understandings concerning the subject transaction, written or oral. This agreement, its performance, the parties' relationship, and any claim that may arise out of or relate to this agreement, whether in contract, tort, or otherwise, shall all be governed, interpreted, and construed under Alabama law, disregarding any law on conflict of laws. This agreement may be executed in multiple counterparts. Each is an original. All, taken together, shall constitute one instrument. Scanned, emailed, or other electronic signatures shall be binding as the original. 21. Additional Terms. The sale is further contingent upon appropriate rezoning acceptable to the Buyer within the time as set forth in the Due Diligence period as set forth herein.
