East line of Section 32 which is 1,180.5 feet North of the Southeast corner of said Section 32; thence
West 200 feet; thence North 200 feet; thence East 200 feet; thence South 200 feet to the point of
beginning, except that part conveyed to the City of Waterloo, Iowa in 569 LD 609.
Grantors do hereby covenant with grantees, and successors in interest, that grantors hold the real estate by title
in fee simple; that they have good and lawful authority to sell and convey the real estate; that the real estate is free
and clear of all liens and encumbrances except as may be stated above; and grantors covenant to warrant and defend
the real estate against the lawful claims of all persons except as may be stated above.
Words and phrases herein, including acknowledgment hereof, shall be construed as in the singular or plural

AFFIDAVIT OF AUTHORITY
The undersigned, being sworn on oath, and deposes and states as follows:
1. I am Secretary of First Baptist Church of Waterloo,Iowa(the"Church").
2. Toby Teare is Chairman of the Board of Trustees of the Church.
3. At a meeting of the Church membership on March 26, 2023, approval was given to sell
to City of Waterloo, Iowa,the real property locally known as 1318 Martin Road and legally described on
Exhibit"A"hereto. Such approval constitutes the only approval necessary to authorize the transaction.
4. Toby Teare and Steve Harty, Chairman of the Board of Trustees and Secretary,
respectively, are authorized to execute and deliver a deed for the property sale to City of Waterloo, Iowa.
