ORDINANCE NO. 2 6 3 1 /
AN ORDINANCE ESTABLISHING A McELROY AUDITORIUM
AND CONWAY CIVIC CENTER BOARD AND SETTING FORTH
ITS POWERS, DUTIES, METHOD OF APPOINTMENT,
QUALIFICATIONS, COMPENSATION AND TERMS OF MEMBERS.
SECTION 1. CREATED; PURPOSE.
McElroy Auditorium and Conway Civic Center Board is hereby created and
established for the management and control of McElroy Auditorium and Conway
Civic Center.
SECTION 2. COMPOSITION; QUALIFICATIONS OF MEMBERS.
McElroy Auditorium and Conway Civic Center Board shall consist of
seven (7) members, each of whom shall be a resident voter of the City of Waterloo,
Iowa.
SECTION 3. APPOINTMENT, COMPENSATION AND INITIAL AND REGULAR TERMS OF OFFICE;
AND ORGANIZATION OF BOARD.
(a) The members of the McElroy Auditorium and ConWay Civic Center Board
shall be appointed by the Mayor, by and with the approval of the Council. The
first seven (7) members appointed shall hold office as follows:
One for one year;
One for two years;
One for three years;
One for four years;
One for five years;
One for six years; and
One for seven years.
Vacancies shall be filled as original appointments are made.
(b) Members of the Board shall serve without compensation.
(c) The Board shall elect from their own members, a Chairman and a
Secretary, who shall serve for such a term as the Board shall determine.
SECTION 4. POWERS AND DUTIES.
The Board shall have and exercise the following powers:
(a) To have charge, control and supervision of McElroy Auditorium and
ConWay Civic Center including plans, specifications and construction thereof,
and all appurtenances, fixtures and rooms constituting said facilities.
(b) To direct and control all of the affairs of McElroy Auditorium and
Conway Civic Center.
(c) To employ an :administrator and such assistants and employees for each
facility as may be deemed necessary for the proper management thereof and to fix
their compensation.
(d) To establish and collect charges, and dispense the monies received
for the use of each facility.
(e) To make and adopt, amend, modify, or repeal by-laws, and such laws
and regulations for the care, use, government and management of McElroy Auditorium
and Conway Civic Center and the business of the Board and to fix and enforce
penalties for violation thereof.
SECTION 5. RECORD OF PROCEEDINGS AND ANNUAL REPORT.
The Board shall keep a record of its proceedings and shall make an annual
report to the Council of the City of Waterloo each fiscal year.

SECTION 6. CONTROL, DISBURSEMENT OF FUNDS.
All funds derived from taxes or otherwise for auditorium or civic
center purposes shall be under the full control of the Board for the purposes
prescribed herein and by law and shall be deposited with the Treasurer to the
credit of the Board and shall be disbursed only on the written warrant or
order of the Board.
