ASSIGNMENT AND ASSUMPTION OF
DEVELOPMENT AGREEMENT
FOR VALUE RECEIVED, UNION DEVELOPMENT HOLDINGS, LLC, an Indiana
limited liability company("Assignor"),hereby assigns to UNION AT NORTH CROSSING,Ll',an
Iowa limited partnership ("Assignee"), all of its right, title and interest in,to and under that certain
Development Agreement dated April 4, 2022, by and between Assignor and the City of Waterloo,
Iowa (the "Seller"), all with respect to certain property located on E. 4th Street in the City of
Waterloo, Iowa(Tax Parcel No. 8913-12-326-003)(the"Development Agreement").
This Assignment may be executed in multiple counterparts with separate signature pages,
each such counterpart shall be considered an original,but all of which together shall constitute one
and the same instrument. This Assignment was executed by Assignor and Assignee to be effective
as of the 4th day of April,2022.
